WHEREAS, The University of Texas at El Paso ("UTEP"), Magnolia coca-cola Bottling Company ("Magnolia"), and coca-cola USA ("ccuS") entered into an Agreement granting Magnolia and CCUSA certain exclusive rights with regard to the dispensing, sale, advertising, and promotion of soft drink products on the UTEP campus and in UTEP facilities for a period of ten (10) years beginning September 1, 1993 through August 31, 2003 ("Tern"); WHEREAS, Magnolia and CCUSA are obligated under the provisions of the Agreement to make certain annual payments to UTEP as consideration for the exclusive rights granted by UTEP; and WHEREAS, the Agreement was not executed by the parties until october 1993 and the artificial turf surface of the football field of Sun Bowl Stadium with the Coca-Cola advertising panels provided for in the Agreement will not be installed until August, 1994.
