    WHEREAS,the City Councilof the City of PelicanBay (the"City") hasappointed bond


    counselto represent
    the City in connection of the City's Combination

    of Obligation,Series2000;

    WHEREAS,theattorneyrepresenting theCitywith respectto suchdutieshasjoinedanother


    law firm, and this City Councilfindsand determines
    that it is in the bestinterestsof the City to
    designateandappointsuchotherlaw firm asbondcounselfor the City; and

    WHEREAS,it is officiallyfoundanddetermined thatthemeetingatwhichthisresolutionhas


    beenconsidered andacteduponwasopento the publicandpublicnoticeof the time, placeand
    subjectof saidmeetingwasgiven,all asrequiredby Tex.Gov't CodeAnn.ch.551;Now,Therefore

    BE IT RESOLVEDBY TITE CITY COUNCIL OF TFIE CITY OF PELICAN BAY.


    TEXAS:

    Section1. The law firm of McCall,Parkhurst& Horton L.L.P., is herebyappointedand


    retainedasbondcounselfor the City. TheMayor is herebyauthorizedanddirectedto executean
    engagement letter with McCall,Parkhurst & HortonL.L.P.,in theform andsubstance
    presented
    at
    this meeting,settingforth the termsof suchengagement.

    Section2. ThisResolution
    shalltakeeffectimmediately
    uponits adoption.
