Hereinafter sometimes referred to as “Agent”

Witnesseth:

For and in consideration of the mutual covenants and agreements herein

contained, the parties hereto agree as follows:

Owner/Artist warrants that it is the sole owner of the painting(s) described

below;
that there are no liens or encumbrances against said painting(s)
or that there are no legal restrictions preventing sale of said
painting(s), listed in detail as follows:

Owner authorizes Agent to take possession of and arrange the sale of

the above described painting(s). Owner/Artist authorizes Gallery
Bienvenu, Agent, to arrange and make sales of the above-described
painting(s) and receipt of the sales price by Dealer, Dealer shall
transmit to Owner/Artist 60% of the sale price of the items. Discounts
agreed upon are as follows:
10 % discount to regular clients
15 % discounts to interior decorators
Up to 20 % if necessary to close a sale.

Agent’s liability for loss, damage or destruction of the painting(s) is limited to

the time that the painting is actually in his possession in his gallery at 518
Julia Street. Owner agrees to pay for packing, shipping and insurance to the
gallery and to have Gallery Bienvenu as an additional insured in the loss
payee clause of Owner’s insurance during that transit. Gallery Bienvenu will
provide insurance upon receipt of painting.

Initial consignment contract is 6 months. In the event Agent is unable to

arrange for sale of the above painting(s) in the gallery he may notify Owner
and return the painting(s) to Owner at the Agent’s expense with no further
responsibility on the part of the Agent.
