SUBJECT: Recommended Development Agreement
DATE: September 16, 2009

Attached please find the proposed Development Agreement between Dranoff Properties and the
Township for the Ardmore Transit Center and Business District Revitalization project. Also
attached is a Memorandum from special counsel, David Scolnic of Hangley, Aronchick, Segal &
Pudlin that outlines the details of the Development Agreement.

This Development Agreement reflects many months of negotiations and discussions between the
Township and Dranoff Properties and is recommended by both Dranoff Properties and the
Township Negotiating Team (myself, Angela Murray, Commissioners Rogan and Zelov, Dick
Voith and David Scolnic).

It is my understanding that recommendation by the ERC and approval by the Board of

Commissioners on September 23rd will enable the Township to submit this document to
PennDOT for submission to the Federal Transit Administration (FRA) for the Keystone East
Corridor High Speed Rail program (HSIPR) funding. This will demonstrate to PennDOT,
SEPTA, Amtrak, the Federal Transit Administration and the FTA the Township and Dranoff
Properties joint commitment to undertake and complete the Ardmore Transit Center project.
