END USER LICENSE AGREEMENT =================================================== BY CLICKING THE "Yes" BUTTON, YOU ARE AGREEING TO THE FOLLOWING TERMS

AND CONDIT IONS OF THE LICENSE AGREEMENT: NOTICE TO END USER: CAREFULLY READ THE FOLLOWING LEGAL AGREEMENT ("AGREEMENT"). INSTALLATION OR USE OF THE ENCLOSED GearPoker.com SOFTWARE ON YOUR COMPUTER SYST EM CONSTITUTES YOUR ACCEPTANCE OF THESE TERMS. IF YOU ("USER") DO NOT AGREE TO T HE TERMS OF THIS AGREEMENT, DO NOT INSTALL OR USE THE SOFTWARE. THIS AGREEMENT G OVERNS GearPoker.com SERVER ("SERVER"), GearPoker.com CLIENT ("CLIENT"), ALL INT ELLECTUAL PROPERTY CONTAINED THEREIN (COLLECTIVELY, THE "SOFTWARE") AND THE FOLL OWING TERMS AND CONDITIONS. The Server software runs from a remote computer owned and operated by GearPoker. com. You ("User") will not have access to the Server software, except through th e means provided via the operation of the Client software. The Client software wi ll be made available to the user, under the terms outlined in this agreement. Th e User will identify himself/herself to the software via a unique Player ID ("Pl ayer ID") and unique and secret password ("Password") known only to the User. Both the Client and the Server are protected by copyright laws and International copyright treaties, as well as other intellectual property laws and treaties. 1. GRANT OF LICENSE: GearPoker.com grants the User the right to install and run t he Client software on any computer for which it was designed. The User may only u se the software to connect to the GearPoker.com Servers. 2. PERSONAL USE: Commercial use of the Software is strictly forbidden. The User is only allowed to wager for his/her personal entertainment. The User agrees tha t his/her use of the Software is in a personal (and not professional) capacity. Before the User participates at GearPoker.com, he/she is responsible to verify t he laws on gambling which govern the place where the Software is used to determi ne restrictions and act in accordance with those restrictions. The User agrees h e/she has reached the age of 18 or the legal age of majority in his/her jurisdic tion, whichever is greater. 3. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS: The User may not attempt to modi fy, decompile, reverse-engineer or disassemble the software in any way. 4. NO WARRANTIES: Expressly disclaims any warranty for the Server software and t he Client software. THE SOFTWARE AND ANY RELATED DOCUMENTATION IS PROVIDED "AS IS " WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LI MITATION, THE IMPLIED WARRANTIES OR MERCHANTABILITY, FITNESS FOR A PARTICULAR PU RPOSE, OR NONINFRINGEMENT. THE ENTIRE RISK ARISING OUT OF USE OR PERFORMANCE OF THE SOFTWARE PRODUCT REMAINS WITH THE END USER. 5. LIMITATION OF LIABILITY: To the maximum extent permitted by applicable law, in no event shall GearPoker.com be liable for any special, incidental, indirect, o r consequential damages whatsoever (including, without limitation, damages for l oss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use (or misuse) of either the Serv er or Client software. 6. SECURITY: The User agrees that he/she is solely responsible for all use of Gea rPoker.com software through his/her User ID and Password. The User is obliged to keep his/her User ID and Password secret and confidential. Any unauthorized use of the Player ID or Password shall be the sole responsibility of the User and be deemed as his/her use. Any liability there from shall be the responsibility of the User.

TERMINATION. Without prejudice to any other rights, GearPoker.com may terminat e this LICENSE AGREEMENT if you fail to comply with the terms and conditions of this agreement. In such event, you must destroy all of your copies of the softwa re. GearPoker.com, reserves the right to change the license agreement and the terms and conditions from time to time.
