February 27th, 2014 Ms. Emma Piket Brand Protection Manager FIFA Dear Ms. Piket: I hope this finds you well. Since 2006, KIA Motors has been a FIFA Official Partner with

comprehensive rights for all FIFA competitions, including the FIFA Women's World Cup, the FIFA U-20 and U-17 World Cups for both female and male players, the FIFA Beach Soccer World Cup, the FIFA Interactive World Cup, the FIFA Futsal World Cup, the FIFA Confederations Cup as well as two more editions of the FIFA World Cup. Our local market strategy with the World Cup - where soccer is still emerging and mostly recreational- is to jointly produce a Fan Fest with other rights holders, that like us, constantly face ambushing, tampering our rights and investments in the island. The event is branded as Puerto Rico Fan Fest instead of KIA Fan Fest in order to level all rights and provide safe cover to all the partner brands and the local broadcaster. As you already know, Ms. Elizabeth Figueroa, is coordinating the efforts of all the key players through an established Non For Profit Corporation, Puerto Rico Fan Fest Experience, Inc. (R#334327), where the executive committee (or organizing committee) will be composed by the brand/marketing managers of each company. This structure will allow us a better protection of our brands, interests and budgets through the synergy of commercial opportunities this type of event might generate. Most of the partners have accepted the invitation and are willing to participate, while we are still waiting on others that are only represented locally by their advertising agencies, something that unfortunately, have delayed and interrupted communications, decisional processes and paper works. We are aware that jointly we are stronger than local larger companies or event/concert producers that are already marketing their public viewing events and Fan Fests within the frame of the FIFA World Cup with brands with no legal rights to it. We will appreciate your attention regarding this issue. Right now, we are on the stage of formalizing the committee, synchronizing the campaigns, securing the venue - determining its spectator capacity and verifying the viability of another if the first falls

through in order to proceed with the local governmental permits and other relevant procedures that Ms. Figueroa is working on and that should be in place before requesting a license. We understand that for the territory of USA (and Puerto Rico) FIFA does not grant public viewing licenses. This is done through the media rights licensee whom is free to charge, or not, organizations a fee to receive the broadcast signal. Although once set, a formal notification to FIFA with progress reports are in order. We are very excited and will appreciate your support regarding this initiative. We believe this will be the first time than we - and our peers - will finally be able to locally benefit from our global sponsorship of FIFA. For further information regarding the progress of the event you might contact Ms. Elizabeth Figueroa, she is in constant communication with all parties involved. Looking forward for a Great World Cup,

Mrs. Lynnette Veguilla Kia Marketing Manager
