List of Documents required Corporate (Section 5) If a Company: 1. A copy of the Certifcate of Incorporation of the Company; 2. A directors resolution nominating a person to make the investment on behalf of the Company (can be on application form or resolution); 3. A list of authorized signatories on a Company letterhead with sample signatures (with supporting copies of the signatories identity documents). This list must state whether signatories can sign on their own or if all the signatories are required; and 4. A cancelled cheque or recent copy of a bank statement indicating the investors banking details. If a Close Corporation: 1. A copy of the Founding Statement of the close corporation (CK1). 2. A members resolution nominating a person to make the investment on behalf of the close corporation; 3. A list of authorized signatories of a close corporation on a letterhead (with supporting copies of the signatories identity documents). This list must state whether signatories can sign on their own or if all the signatories are required. 4. A cancelled cheque or recent copy of a bank statement indicating the investors banking details. Trusts: (NS or IS or TS) 1. A copy of the Letter of Authority of the trust. This is issued by the Master of the High Court, indicating the date on which the trust was registered, the name of the trust, the registration number of the trust and the names of the trustees; 2. A copy of the complete Trust Deed or Will containing the powers of the Trustees where it is refected that the Trust may invest the funds; 3. A copy of a resolution taken by the Trustees authorizing the investment and empowering the trustees to transact with Fairbairn Capital or an Insurer. (if such are resolution does not exist all the trustees will have to sign all documentation); 4. If all the Trustees have not signed the investment application form, documentary proof that the Trustee who has signed has the authority to do so, i.e. a list of authorized signatories of the Trust; 5. Details of the trust bank account. Section 10 of the Trust Property Control Act compels a trustee to deposit trust money into a separate trust bank account.
