AMERICAN CANYON and UKIAH Amcor


Flexibles Capsules and Maverick Enterprises plan to combine their manufacturing and sales
resources for the decorative tops of wine and spirits bottles in North America.
Under the deal, effective Feb. 1., France-based Amcor will move capsule-making equipment
and a few employees from its American Canyon base of operations in the U.S. to Mavericks
facility in Ukiah next month. The two companies are combining their expertise in making
polylaminate, PVC and sparkling-wine foil bottle capsules.
Amcor will continue to sell Amcor brand capsules, but they will be made by Maverick.
Our local sales team in American Canyon will be able to offer a much deeper range of
products meeting all our customer needs, thanks to the enhanced portfolio that this
partnership with Maverick Enterprises brings said Frederic Catteau, general manager of
Amcors American Canyon plant. Our plant in American Canyon will remain strong in
Stelvin-Plus closure production to support the growing market of screwcaps.
Steve Otterbeck, president of Maverick, said the company has been buying raw materials for
capsules from Amcor for more than a decade.

Its natural that we now take this partnership to the next level, Mr. Otterbeck said.
Between our two teams, we will have an improved presence in North America and be able
to offer enhanced service thanks to our increased capacity and ability to react to all
customer needs.
Amcor employs about 35 in American Canyon. Maverick employs more than 100 and is one
of the largest employers in Ukiah.
In the past year, Maverick expanded to a second 25,000-square-foot plant in Ukiah,
providing greater capsule-printing capacity.

their customers needs .This partnership is suited to the practice of profession because of
personalize nature of the services offered by the professionals. The partnership is called a
general professional partnership. This general partnership means that they are exempted
from paying of income tax provided, that no part of income of which is derived from
engaging in any trade or business whereas a co-partnership or non-general professional
partnership which are formed for the purpose of engaging in trade or business are taxed
like a corporation, hence, subjected to 30% income tax rate based on its taxable net
income. The partners has made some contribution like sharing some of their employees
and the partner that contributed not only money or property but personal services is also
called as a Capitalist-Industrial Partner . The partners has their share on the business and
the amount of their share depends on how much each partners have contributed or how
much they had agreed on their contract, it could be they will receive a share of 50% each
or one might receive greater than the other.
