TENDER OF PAYMENT

Greetings!

Ms. Santos,
I am writing you this letter in reference to the Agreement to Sell that we
have executed last September 30, 1996 located at AFP Officers Village
described at Lot-10 Blk-7, Phase I covering a two hundred (200) square
meters part of parcel of Lot facing the corner alley in the amount of FIVE
HUNDRED THOUSAND PESOS (P500,000.00).
That based on such agreement to sell, we agreed to a certain payment
scheme which you were not able to religiously followed, in fact there was a
breach.
Nevertheless, I am now offering / tendering you the amount SIX HUNDRED
THOUSAND PESOS (P600,000.00 ) corresponding the total payments that you
have already paid in consideration for the rescission or cancellation of our
agreement to sell covering the subject property described above.
Considering that you have failed to pay the agreed payment scheme, plus
the fact that you have not able to pay the entire amount of P500, 000.00,
which can be considered a ground or a breach of our contract and that I am
know giving you the amount of P600, 000.00 which is way more greater than
the purchased price I am now offering you a good deal to escape liabilities
arising from such breach only in consideration for your cooperation for the
rescission of the said agreement to sell.
