BOARD RESOLUTION

D.B. DAFFODIL REALTY, INC.

The following resolution was passed at a meeting of the Board of Directors of

D.B. DAFFODIL REALTY, INC. (hereinafter referred to as the Company) on
the 23rd day of January 2016.

It was resolved that:

Annalou Zambrano be hereby authorized to conduct the opening of a bank
account for and on behalf of the Company and also be authorized to sign, initial,
accept or execute all documents in connection with the transaction.
