Meeting Minutes

Discussion

Connie began the meeting by giving the group a breakdown of the meeting that was held at DIB
this afternoon.
Ken Money is loaned by Greg Whibbs to Ken and Connie and will have to be paid back. This
does not make him a sponsor. It puts him in the same situation as we are once again with owing
more money. Ken needs to bring receipts to him. Discussion was held on the expenses for
Gallery Night. Need to decide if we need to get a dumpster. Do we need to get porta potties?
Don & Ken started the discussion on having PensaCruise at Jefferson.
Gallery Night - Permit is an open container area. The after party can be open container. Judy
asks what price should businesses pay for open container on Jefferson Street that night? Ken
says you have to provide a walkway. Don What if we block it off at Intendencia? We would be
able to block it off.
Don doesnt want borrowed money at all and says we should be taking care of our own in the
Inner Circle; that there should be no reason Judy is owed money at this point from the last
PensaCruise. He also brought up that there was a jewelry vendor contact on the PensaFest
page. Connie said she sold only junk jewelry. Judy said that it didnt matter, Pensacola
Jewelers should be the only vendor. Connie informed the group she has made contact with
Miles.
Don said that Blues Angel Music has a fund that they may be able to give money from. The
contact name there is Jim DeStafney.
Judy showed fears of PensaCruise not happening.
Don Worried time is passing by. Tomorrow is 40 days away. Thats not working days, thats
calendar days. We dont have a website up, no registrations. Social Media is Cyber Bullying. At
this point in time we are dead in the water. We dont have sponsorship and we dont have one
person signed up.
Connie is trying to get sponsorship and she is trying to get vendors.
Ken moved for a motion to move PensaCruise to Jefferson. All were in favor. Motion Passes.
Everyone but Glenn needs to meet at City Hall, 4th Floor, with Kim Carmody for permitting with
PensaCruise at 2:00 p.m.
Ken brought up that Judy asked him about the fact that Friends of the Community Maritime Park
is still shown with a non-profit status. Ken said that money is an issue. The IRS will let us form
an association, an agreement between two or more people to create a 501(c)(4) a social welfare
organization promoting the economic welfare and development of the citizens of the community.
The association will let Ken go back 90 days and he needs to see if FL will let him go back 90
days to let him get his tax-exempt status. Who is going to be the board? Do we all have
problems being named as members of the board?
After a heated discussion between Judy and Ken, Judy presented Ken with the inactive status of
Friends of the Community Maritime Park since 2008 and addressed the fact that it has been
presented to WEAR, the presidents of all of the car clubs, the DIB, and anyone we have solicited
money from, that Friends of the Community Maritime Park IS a non-profit/not-for-profit

corporation. Judy then stated that if this is not taken care of BY THE END OF THIS WEEK, she
will no longer be participating with PensaCruise/PensaFest, but expects to be paid the money
that she is due and owing.
Ken thanked Judy for presenting him with the document she printed from the State of Florida,
Division of Corporations reminding him of the corporation status that he forgot about. Don
stated, How could you forget about something like this with your own company? Glenn also
stated, You forgot about this?
Ken says we can reinstate the Friends of the Community Maritime Park and everyone will be on
the board of directors.
Don will have 2 3 generators for Gallery Night for all of the lights and equipment.
Meeting was adjourned at 8:25 p.m.
