WYNNE, Trustee for the benefit of Community First Bank under BCCC DOT Instrument 030011183; Trustee Defendants; and BEDFORD COUNTY, VIRGINIA, 2 political subdivision of the Commonwealth of Virginia, and PARTIES UNKNOWN, Defendants, COMPLAINT COMES NOW the Plaintiff, Ivy Hill Recreation, LLC (THR”), a Virginia limited liability company, pursuant to § 8.01-184 et. seg., Code of Virginia, 1950, as amended (“Code”), 16 15929/8002/7505099"1 and files this Complaint for declaratory judgment as to the rights and duties of the parties for maintenance and repair of Ivy Lake, the dam which forms Ivy Lake, the roadway which crosses the dam, and related structures and requesting appropriate relief. In support, Plaintiff states as follows: Introduction Plaintiff IHR currently owns a man-made lake and the dam and spillway created by previous owners decades ago. IHR received the property from Liberty University (“Liberty”) after Liberty received it as a gift from a real estate investment trust in 2008. More recently, state agencics have determined that the dam and spillway require extensive work to meet current state requirements regarding Virginia dams. Although Liberty appre ied the lake property gift for its aesthetic beauty and recreational opportunity, as well as the spirit of the gift, as compared to other available recreational outlets the lake is insufficiently utilized by Liberty or its staff or students. ‘The lake is not located on Liberty’s campus, and it does not provide its non-resident owners a benefit equivalent to the benefits enjoyed by Landowner Defendants. Nevertheless, IHR is sensitive to the lake's value to the surrounding property owners, as ‘well as the easement rights over the dam, which many people rely on to access their homes, IHR communicated with the Landowner Defendants in an effort to work together to solve the problems caused by the dam’s configuration, the updated dam safety standards, and the costs of repairing and maintaining the dam, prior to instituting this action for declaratory judgment. ‘These communications have resulted in a proposed plan of action, addressing not only the work necessary to meet state dam standards, but also providing for the future maintenance and repair 7 15929/8002/7505009v1 of the dam by those who have the greatest interest in preserving the lake — the Landowner Defendants. As of April 15, 2016, approximately 125 of the Landowner Defendants had committed to support the proposed plan by signing Memoranda of Agreement with Plaintiff and Liberty University. Still, questions remain as to the legal duties and liability related to the maintenance of the dam and lake and the costs necessary to bring the dam into compliance with the current safety standards, as required by state law. IHR asks this Court to make legal determinations that will allow all parties to determine their best interests, in the hope of facilitating the proposed plan of action, which depends upon the cooperation und contribution of all of the lake's beneficiaries. A. The Parties 1. THR owns certain real property located in Bedford County, Virginia, consisting of the land under a lake commonly known as “Ivy Lake”; a dam which created and maintains the water level in Ivy Lake (“Ivy Lake Dam”); the associated spillway and other structures; a section of Ivy Lake Drive that crosses over Ivy Lake Dam (Ivy Lake Dam Road”); and a Jakefront lot for access (collectively, the “Ivy Lake Property”). ‘The Ivy Lake Property is more particularly described as follows: Parcel 1 — Tax Map No. 812A-11C: That certain tract or parcel of land, together with the privileges and appurtenances thereunto appertaining, and the buildings and improvements, if any thereon, designated as “PROPOSED IVY LAKE 101.8 ACRES” on that certain plat entitled “Plat showing Boundary Survey of a Portion of Ivy Hill for Ivy Hill Associates & Ivy Hill Development Corp., Jefferson Magisterial District, Bedford County, Virginia”, dated July 27, 1981, made by Thomas W. Guffey, P.C., recorded in the aforesaid Clerk’s Office in Plat Book 22, at page 90. Parcel 2 ~ Tax Map No. 99-1-1C: That certain tract or parcel of land, together with the privileges and appurtenances thereunto appertaining, and the buildings and improvements, if any thereon, designated as dam site, containing 5.583 acres, 18 1s929/sou2/750S099v1 as shown on a certain plat of survey entitled “PLAT OF SURVEY OF IVY LAKE DAM SITE AND SPILLWAY EASEMENT, JEFFERSON DISTRICT, BEDFORD COUNTY, VA), made by Berkley-Howell and Associates, P.C., dated August 12, 1987, revised November 5, 1987, recorded in the aforesaid Clerk's office in Plat Book 25, at page 97. Parcel 3 — Tax Map No. 99-1-9R: That certain tract or parcel of land, together with the privileges and appurtenances thereunto appertaining, and the buildings and improvements, if any thereon, designated as “Spillway Easement, 3.547 Acres”, on a certain plat of survey entitled “PLAT OF SURVEY OF [VY LAKE DAM SITE AND SPILLWAY EASEMENT, JEFFERSON DISTRICT, BEDFORD COUNTY, VA”, dated August 12, 1987, revised November 5, 1987, recorded in the aforesaid Clerk's office in Plat Book 25, at page 97. Parcel 4 ~ Tax Map No. 99-1-1T; That certain tract, or parcel of land, together with the privileges and appurtenances thereunto appertaining, lying and being in Jefferson Magisterial District, Bedford County, Virginia, containing according to the Bedford County Assessor’s records approximately four acres, more or less, and designated by Bedford County as “PT Tract 3 ~ Ivy Lake” and shown on a plat entitled “PLAT OF SURVEY OF IVY LAKE DAM SITE AND SPILLWAY EASEMENT”, dated November 13, 1987, made by Willard T. Sigler, C.LS., of Berkley-Howell & Associates, P.C., being recorded in the Office of the Clerk, Circuit Court, Bedford County, Virginia in Plat Book 25, at page 97, which tract on said plat is not designated, but its boundaries are set out and shown as being surrounded by the Dam Site (Parcel 2 above) and Spillway Easement (Parcel 3 above) and the 800 foot contour of Ivy Lake as it meanders and on said plat said tract has the words “Tract 3 Glen White Construction Co., Inc. — D.B. 525, Pg, 793”, within its boundaries, 2. In 2008, Liberty received the Ivy Lake Property as a gift from a real estate investment trust. Liberty formed THR to own the Ivy Lake Property, and conveyed the property to itin 2012. 3. Most of the Defendants are record owners of real estate on and around Ivy Lake, in three general categories: Lakefront Owners, Limited Access Owners, and Lakefronv/Limited Access Owners, as defined below (collectively, the “Landowner Defendants”). Each of these categories is identified more fully below. These Defendants each have easements to use and enjoy Ivy Lake, or easements to access their properties over Ivy Lake Dam Road, or both. 19 1$929/9002/750509901 4. ‘Other defendants are included for the purposes of notice to persons or entities who hold legal title under deeds of trust or other liens on the real estate at issue (“Trustee Defendants”). The Trustee. Defendants are identified on Exhibit 5 with additional instrument information, 5. Bedford County, Virginia, is added as a party defendant to the extent it may be entitled to any tax or other assessment lien with respect to any real property identified herein. 6. “Parties Unknown” are added as party defendants in this action because there are ‘or may be persons, whose names are unknown, who may be interested in the subject matter of this action. This would include successors-in-interest to any of the named Defendants, including unknown purchasers or beneficiaries fiom the currently listed Landowners (by lack of local recording); current promissory notehiolders (successor trustees, banks or otherwise); or other potential interest holders. Plaintiff requests an order of publication for the Parties Unknown pursuant to Virginia Code Section 8.01-316, A draft Order of Publication, and the required Affidavit, are attached as Exhibit 7. Defendant Lakefront Owners 7. Defendants listed on Exhibit 2, incorporated herein by reference, own real property in Bedford County, Virginia, which abuts Ivy Lake (“Lakefront Owners”). 8. The lots identified by County Tax Map number in Exhibit 2 abut Ivy Lake but do not rely exclusively on Ivy Lake Dam Road for access (“Lakefront Lots”) 9. . The Lakefront Owners and thelt predecessors in title purchased their lots with the understanding that the lots fronted on Ivy Lake, and that lake frontage and access increased the 20 15925/8002/750509901 value of their lots and homes. The Lakefront Owners receive substantial financial, aesthetic, functional and recreational benefits from the existence of Ivy Lake. Defendant Limited Access Owners 10. Defendants listed on Exhibit 3, incorporated herein by reference, own real property in Bedford County, Virginia, which is more particularly described by County Tax Map ‘Number on Exhibit 3 (“Limited Access Owners”), The lots identified in Exhibit 3 do not abut Ivy Lake; however, access to these lots is provided exclusively by Ivy Lake Dam Road (Limited Access Lots”) 11. The Limited Access Owners and their predecessors in title purchased their lots with the understanding that the lots were accessed across the Lake Properties and had certain rights to use the Lake Properties, and that such access and use rights increased the value of their Jots and homes. The Limited Access Owners receive substantial finaricial, aesthetic, functional and recreational benefits from the existence of Ivy Lake. Defendant Lakefront/L.imited Access Owners 12, Defendants listed on: Exhibit 4, incorporated herein by reference, own real property located in Bedford County, Virginia, which is more particularly described by County ‘Tax Map Number on Exhibit 4 (“Lakefront/Limited Access Owners”). 13. The lots identified on Exhibit 4 both abut Ivy Lake and rely exclusively on Ivy Lake Dam Road for access (“Lakefront/Limited Access Lots”) 14, The Lakefron/Limited Aecess Owners and their predecessors in title purchased their lots with the understanding that the lots were accessed across the Lake Properties, fronted on Ivy Lake and that such lake frontage, lake access and use rights increased the value of their 21 15928/8002/7505099v1 lots and homes, The Lakefron/Limited Access Owners receive’ substantial financial, aesthetic, functional and recreational benefits from the existence of Ivy Lake. B. Development of Ivy Lake 15. The Lakefront Lots, Limited Access Lots, and Lakefront/Limited Access Lots, as ‘well as all of the Ivy Lake Property were originally part of a tract of more than 1,000 acres, known locally as “Ivy Lake Farm,” and conveyed to Allen W. and Fern W. Harvey, husband and wife, in 1970 by Black Watch Farm, This deed was recorded in the Bedford County Cireuit Court Clerk’s office at Deed Book 359, Page 293, 16. The Harveys retained some of the Ivy Lake Farm tract, but conveyed several parcels out for development of the residential subdivisions and golf course facilities around Ivy Lake. 17, The creation of Ivy Lake itself was planned as early as 1981, when the Harveys and other developers filed a plat identifying the “Proposed Ivy Lake.” (Bedford County Plat Book 22, Page 90). A copy (not to scale) of the July 27, 1981 Piat is attached.as Exhibit 1 (“the 1981 Lake Plat”) 18. Ivy Lake was created about 30 years ago by constructing a dam across Ivy Creek. Without the dam, Ivy Lake would not exist and access to the Limited Access Lots and Lakeftont/Limited Access Lots from a public road would not exist. 19, The 1981 Lake Plat illustrates the division of the Ivy Lake Farm property according to an overall plan of development. When the Harveys sold land identified on the 1981 Lake Plat as Parcels A, B, C, D, E, and Ivy Lake, the deeds referenced the 1981 Lake Plat 2 15929/8002/7505099"1 Easements ‘The Fastem Side of Ivy Lake 20. On August 1, 1981, the Harveys,conveyed Parcels B and E of the 1981 Lake Plat to Ivy Hill Associates, The deed was recorded in the Bedford County Circuit Court land records at Deed Book 525, Page 803, The deed states the Harvey's intention to develop a lake on the 101.8 acre tract labeled as “Proposed Ivy Lake” on the 1981 Lake Plat by building a dam on Ivy Creek. The grantee agreed to reconvey any part of Parcel E that was necessary to construct the dam, The Harveys reserved an easement to flood parts of Parcels B and E below the 820 foot contour line shown on the same Plat. Parcels B and E were conveyed subject to alll existing ‘easements, restrictions, and reservations. The Harveys also conveyed an express easement over Ivy Lake Drive, including the Ivy Lake Dam Road, to provide access to Parcels B and E fom State Route 663 (Perrowville Road). 21. The grantee for Parcels B and E (Ivy Hill Associates) joined in signing the August 1, 1981 Deed to confirm its agreement to be bound by the covenants, conditions, agreements, reservations, easements and restrictions of a “Declaration of Agreements” dated July 3, 1978, recorded in the Bedford County Circuit Court land records at Deed Book 466, Page 261 (“the 1978 Declarations”), This Declaration restricted development of Parcels B and E to residential use, with detached single-family homes of at least 2,000 square fect, subject to set-back lines. All buildings and yard improvements (outside lighting, screen planting, signs, billboards, etc.) were to be approved by an Architectural Committee for conformity and harmony of design and materials, No trade materials were to be stored on the property, and no trucks, boats, or tractors could be regularly parked unless in a garage or other well-screened enclosure. The Declaration 1592978002/750509901 also limits outbuildings, parking, animals, fences, and requires maintenance of a pleasing appearance of the Jand. Utilities are to be underground. The Declarations restrict use of the land in other ways, as well. 22. A large section of Parcel B on the 1981 Lake Plat was eventually developed into Haines Point subdivision, Parcel E on the 1981 Lake Plat was eventually developed into Overlake Knoll subdivision. All lots within Parcels B and E, including lots in Haines Point and Overlake Knoll, rely on the express easement over Ivy Lake Drive, including Ivy Lake Dam Road, as the exclusive means of ingress and egress. Additionally, some of the Haines Point lots are Lakefront Lots. 23. On August 2, 1981, the Harveys conveyed Parcels A, C, D and the Proposed Ivy Lake of the 1981 Lake Plat to Ivy Hill Development Corporation. The deed was recorded in the Bedford County Circuit Court land records at Deed Book 525, Page 818. ‘The Harvey's deed granted Ivy Hill Development an easement to flood Parcels A, C, D and the Proposed Ivy Lake up to the 820 foot contour line as shown on the 1981 Lake Plat, The same deed granted an express easement over Ivy Lake Drive, including the Ivy Lake Dam Road, to allow access to the parcels from State Route 663 (Perrowville Road). 24, Ivy Hill Development joined in signing the August 2, 1981 Deed to confirm its agreement to be bound by the covenants, conditions, agreements, reservations, easements and restrictions in the 1978 Declarations, summarized above. 25, The section of Parcel A on the 1981 Lake Plat closest to Ivy Lake was eventually developed in part as the Lakepointe subdivision, Parcel C on the 1981 Lake Plat was eventually 24 15925/8002/750509901 developed into Ivy Hill Section 1, Block 3 subdivision. Parcel D on the 1981 Lake Plat was eventually developed into Ivy Hill Section 3, Block 2 subdivision. 26. All of the Ivy Hill Section 1, Block 3 lots (Parcel C), and the Ivy Hill Section 3, Block 2Jots (Parcel D) rely on express easements over Ivy Lake Drive, including Ivy Lake Dam Road, as the exclusive means of ingress and egress. 27. Lots within Haines Point, Lakepointe, Ivy Hill Section -Block 3, Ivy Hill Section 3-Block 2, and Overlake Knoll subdivisions were conveyed with, and the lot owners in those subdivisions own, express easements for the use of Ivy Lake, subject to rules’ and regulations created by the owner of Ivy Lake (currently IHR), Several of the lots in these subdivisions are Lakefront Lots. ‘The Westem Side of Ivy Lake 28. The westem side of the Lake was also included in the Harvey’s overall development plan for Ivy Lake and the surrounding area. On the side of Ivy Lake closest to Perrowville Road, the Harveys created various blocks and sections of the Ivy Hill subdivision — a high quality residential development. The Harveys recorded several deeds and plats placing reservations and restrictions on the Ivy Hill subdivision lots, including the same 1978 Declar n applied fo Parcels A through E (as described above and on the 1981 Lake Plat), The recorded documents describe the combined Ivy Hill subdivision se \s as the “Ivy Hill Subdivision complex,” and restrict the use of Ivy Hill Subdivision lots to residential purposes with single-family detached dwellings; require minimum square footage and setbacks; require submission of plans for any building, fence, outside lighting, or other improvements to an Architectural Committee; prohibit signs, billboards, visible truck, boat or tractor storage, or any. 28 15929/8002/7505099v1 “noxious or offensive activities” within the subdivision; require underground utilities, and include maniy other restrictions. ‘The lots within the Ivy Hill Subdivision complex are all subject, to similar reservations and restrictions, 29. Ivy Hill Section 1, Blocks 5, 6, and 8; and Ivy Hill Section 2, Blocks 2 and 4, include lake-front lots with express or implied easements to use Ivy Lake. Ivy Hill Section 2, Block 4 is also known as “The Island,” or Tax Map Number 81A-2. These lots do not require Ivy Lake Drive for ingress and egress. 30. The Harveys and Debra McCabe retained lots on the western shore of Ivy Lake, with express or implied easements to use the Lake. These lots do not require Ivy Lake Drive for ingress and egress. 31. The Cedarberry subdivision lies along the southwestem shore of Ivy Lake. Cedarberry lots have an express easement to use and enjoy Ivy Lake, subject to the rules and regulations of the lake owner, as described in a deed from Barbara end John Butler to Cedarberry Development, LLC, dated November 3, 2000 (Bedford County Instrument 000012799). The Cedarberry lot owners do not cross the dam on Ivy Lake Drive to access their properties. 32. Mallard Cove Condominiums (Tax Map Number 99E 3 A), Ivy Lake Section 1, Block 2, and Lot 99-1-1N, all originated in “Tract 3,” a tract of 46.22 acres the Harveys sold to Glen White Construction Company in 1981, with the understanding (as stated in the deed) that the Harveys planned to build a dam and create Ivy Lake. The proposed lake was also shown on a plat dated July 9, 1981, which is referenced in the deed to Glen White Construction Company (Buchanan County Deed Book 525, Page 793). The two subdivisions include lots with lake 26 |1s929/8002/7505099v1 frontage, with an express or implied easement for use of Ivy Lake. Similarly, Tax Map Lot 99-1-IN sits on Ivy Lake, and includes either an express or implied easement to use the Lake. 33. Each of the Lakefront Lots, and the Lakefront/Limited Access Lots, includes an easement, either express or implied, to access and use Ivy Lake (“Lakefront Easements”). Many of the Lakefront Lot Owners use the Lake for boating, swimming, fishing, and other activities, 34, Each of the Limited Access Lots and Lakefront/Limited Access Lots includes an easement to use Ivy Lake Dam Road as the means of vehicular and pedestrian ingress and egress to their respective residential lots (“Limited Access Easements”). 35. Each of the Lakefront/Limited Access Lots includes both a Lakefront Easement and a Limited Access Basement. 36. With respect to both the Lakefront Easements and the Limited Access Easements, the Ivy Lake Property is the servient estate. THR is also an easement user. 37. With respect to the Lakeffont Easements, the Lakefront Lots and Lakefront/Limited Access Lots are the dominant estates. 38. With respect to the Limited Access Easements, the Limited Access Lots and LakefronULimited Access Lots are the dominant estates, 39. Ivy Lake Dam is subject to Virginia’s Dam Safety Act (Va. Code § 10.1-604 ef seq.) (“the Act”), and related regulations. In 2008, the Virginia Department of Conservation and Recreation (“DCR”) changed some of the structural requirements for dams and spillways. 27 13929/8002/7505099v1 40. — Following review under the requirements adopted in 2008, the DCR issued a series of Conditional Operation and Maintenance Certificates, which require IHR to complete a series of actions, maintenance and repairs to Ivy Lake Dam by various deadlines to address the reported inadequacies in the dam and its spillway structure and meet the updated requirements This includes, but is not limited to, armoring and enlarging the spillway, and repairing any damages to Ivy Lake Dam Road (“DCR Required Repairs”). The work necessary to armor or harden the spillway was contemplated when the dam was originally constructed; however, it apparently was not completed, and it must be done now as a condition of maintaining the dam. 41, DCR classified Ivy Lake Dam under the Act as a “high hazard potential” impounding structure, meaning a dam failure would probably cause serious economic damage or loss of life, including impacts to residences, businesses and other occupied structures, major roadways, utilities or personal property. 4 VACS0-20-40. 42. Engineers initially determined that the DCR Required Repairs would cost more than $1,000,000.00, although DCR continues to refine the Act’s requirements and this amount is not certain. 43, DCR required THR to lower Ivy Lake's water level to lessen pressure on the dam and reduce the likelihood of a failure until the DCR Required Repairs can be satisfactorily completed. A copy of the current Dam Safety Conditional Operation and Maintenance Certificate for Ivy Lake Dam is attached as Exhibit 6. 44. . If the DOR Required Repairs are not made, Ivy Lake may be drained and Ivy Lake Dam closed or removed in accordance with the Dam Safety Act and its associated 28 13929/8002/7505099v1 regulationis or other Virginia law, This would negatively impact the value of the real estate, both abutting Ivy Lake, and in the surrounding subdivisions, 45, The removal of Ivy Lake Dam would leave the Limited Access Lots without means of ingress or egress. 46. Liberty has already incurred more than $100,000 in costs to recertify Ivy Lake Dam with DCR and investigate possible solutions for repair. The investigation indicates there are only a few options available to meet the DCR standards. E._THR’s Efforts to Address the Problem 47, THR and Liberty have communicated or attempted to communicate with the Landowner Defendants about Ivy Lake Dam, the needed repairs and maintenance, and possible ‘ways to apportion the necessary costs among the many easement owners using and receiving the benefits of Ivy Lake. Some of the Defendants agreed to share in the requited costs, but others have questioned their legal duty to maintain their easements or contribute to the costs of maintaining Ivy Lake or repairing Ivy Lake Dam. As a result, there is an actual controversy and antagonistic assertion and denial of rights regarding the duty to maintain the easements over the Ivy Lake Properties. 48. Prior to filing this action, THR and Liberty have worked with several of the Landowner Defendants and drafted the necessary documents to put in place a property owner's association to eventually assume ownership of Ivy Lake and to administer the collection and disbursement of funds to maintain the Lake, dam, and easements, subject to the Court granting this petition. The draft documents were mailed out to all Landowner Defendants for their review and comment prior to commencing this action. 29 15929/8002/7505099"1 COUNT 1 DUTY TO MAINTAIN EASEME! 49. Plaintiff realleges and incorporates herein the contents of the foregoing paragraphs, 50, The Landowner Defendants, as owners of Ivy Lake Property easements and dominant estate holders, have a legal duty to the holder of the servient estate to maintain and repair their easements including, but not limited to, Ivy Lake itself and the DCR Required Repairs; and the costs of the DCR Required Repairs should be apportioned equitably among them, 51. THR has proposed an equitable distribution of the burden based on both proportional and flat rate divisions. First, Lakefront Lots and Lakeftont/Limited Access Lots have a proposed assessment based on the proportion of the tax-assessed value of the real estate of each lot (without improvement), compared to the total tax-assessed value of all of the lots within each category. This part of the formula is intended to take in to account the various size, location, and types of frontage on Ivy Lake within each category. Second, the expected maintenance costs for Ivy Lake Dam Road were divided evenly based on the number of lots in each category that use Ivy Lake Dam Road as the exclusive ingress and egress to their lots. This includes both Lakeftont/Limited Access Lots, and Limited Access Lots. This part of the formula takes into account the similar usage of each lot owner over Ivy Lake Dam Road. Additionally, Tax Map Parcel 81 A 15A (owned by Sidney and Debra Allen) includes an easement for use of Ivy Lake subject to rules and regulations promulgated by the lake owner, 31 1s920/80027505099¥1 57. Plaintiff, as the lake owner, has the authority to promulgate rules and regulations governing these Landowner Defendants’ use of Ivy Lake, 58. _THR’s authority to promulgate rules and regulations for use of Ivy Lake includes the authority to create rules requiring a fair sharing of and/or contribution toward’ the costs ‘required to maintain Ivy Lake and Ivy Lake Dam, including the DCR Required Repairs. 59, THR also has the right to charge a “use fee” for use of Ivy Lake as part ofits rights of ownership of Ivy Lake, as well as under the chains of title which provide for recreational lake use subject to the lake owner’s rules and regulations COUNT 4 NEGATIVE RECIPROCAL EASEMENT 60. Plaintiff realleges and incorporates herein the contents of the foregoing paragraphs. 61. The entire area surrounding and including Ivy Lake was developed over time under the direction and guidance of the common grantor’s general plan of improvement as an upscale residemtial development focused on Ivy Lake. The restrictions on the various parcels of land around Ivy Lake are substastially similar, allowing only residential development of consistent style, size and environment within and across subdivisions. 62. To the extent some of the Landowner Defendants own easements to use Ivy Lake by implication, their lots are subject to a negative reciprocal easement under which the use of Ivy Lake is subject to the rules and regulations promulgated by Ivy Lake’s owner, 64. Landowner Defendants with implied easements to use Ivy Lake must also contribute to the costs of maintaining and repairing Ivy Lake and Ivy Lake Dam, including the DCR Required Repairs, with the other easement owners. If the Landowner Defendants are not required to pay or contribute to the costs of maintaining Ivy Lake, Ivy Lake Dam and Ivy Lake Dam Road, including the costs of DCR Required Repairs, then the Landowner Defendants must maintain their easements, including making the DCR Required Repairs, in some other way (e.g., by directly effecting the repairs). 67. If the Landowner Defendants fail to maintain Ivy Lake, Ivy Lake Dam and Ivy ‘Lake Dam Road in such cOndition as to render them safe and useful for the purposes for which they were constructed (by either payment or by directly repairing the easements) within a reasonable time, the Landowner Defendants will be regarded as having abandoned their easements, and IHR will be entitled to dispose of Ivy Lake, Ivy Lake Dam, and Ivy Lake Dam Road, as it may see fit.
