•Deal was worth 6.1 billion Swiss francs ($5.4 billion) in cash and assumed
debt

•BASF acquired Ciba Holding AG on April 9, 2009. Almost all of the Ciba
businesses have been integrated into the Performance Products segment.

•Rapid integration of Ciba, faster than planned in some areas: integration


costs of €785 million in 2009, of which around €150 million were cash costs

•Ciba, which makes chemical additives for the plastics, paper and coatings
industries, has been underperforming the market recently, in spite of its
efforts to streamline operations. Last August, it posted a larger loss than
analysts were expecting, making itself vulnerable to a takeover bid.
