    I have examined the attached Balance Sheet of E.M.L. FOOD PLACE, as of December 31, 2009, together
    with its related Income Statement for the year then ended. My examination was made in accordance with
    such auditing standards, and such procedures, as I considered necessary on the basis of the book and their
    accounting records presented to me. However, no cash counts have been made and inventories were as
    certified to us by management.

    In my opinion, subject to foregoing comments and exceptions, as well as the notes to financial statements,
    the attached Balance Sheets of E.M.L. FOOD PLACE presents fairly its financial position as of
    December 31, 2009 and the results of its operations for the year then ended in conformity with generally
    accepted accounting principles on a consistent basis.
