Directors Report :-

To the Members,

Board is pleased to place herewith Directors report together with the Audited Accounts of the Company along with
report thereon for the peiod ended on 31st March 2009.
Company is exploring the ancillary lines of business keeping in view the business proliferation constraints faced by
the Industry as a whole. Board authorized the Chairman to suggest viable measures for the company and place his
recommendations before the Board.
• In absence of adequate Profit no dividend can be declared for the year 2008-09.
• No amount is recommended for carrying to the reserves in the Balance – Sheet.
• There had been no material charges and commitments, affecting the financial position of the Company
occurring between the date of the balance sheet and this report.
• In absence of full fledged activities no comments can be made as to conservation of energy, technology
absorption, foreign exchange earnings and out go as same are not applicable till now.
• As per the requirement of section 217 (2AA) Directors has to report: -
(i) that in the preparation of the annual accounts, the applicable accounting standards had
been followed along with proper explanation relating to material departures;
(ii) that the directors had selected such accounting policies and applied them consistently
and made judgments and estimates that are reasonable and prudent so as to give a true
and fair view of the state of affairs of the company at the end of the financial year and
of the profit or loss of the company for that period;
(iii) that the directors had taken proper and sufficient care for the maintenance of adequate
accounting records in accordance with the provisions of this Act for safeguarding the
assets of the company and for preventing and detecting fraud and other irregularities;
(iv) that the directors had prepared the annual accounts on a going concern basis.

Board’s clarification as to Auditor’s remarks.

Auditor’s comments being statement of facts needs no explanation.
• Board hereby authorizes Mrs Champa Taring to sign the reports and returns for onward submission to the
office of the Registrar of Companies on behalf of the Company.
