    Dear Pradnya,

    I am enclosing a basic memorandum of understanding.


    If we mutually agree on basics we can move to my legal department for legal drafts.

    Franchisee model MOU for peacock life to open in Dheradun.

    You will pay Peacock Life a non refundable amt of Rs 100,000 ie one lac only ( this is a one
    time payment )
                                                        OR
    You will pay a refundable amt of Rs 500,000 ie five lac only (repayable at the end of the contract
    term )

    There will be a royalty fee of Rs 200,000 ie two lac only per annum ( towards branding,
    designing, conceptualization etc )

    The contract will be on a one year experimental basis.

    The store will be called Peacock Life and will house only exclusive Peacock Life products only. 
     
    All purchases from Peacock Life FOB karjat warehouse Mumbai.

    The stock will be selected by us on the similar lines of the stock at the flag ship store in Mumbai.

    The selling price will be as per guide lines provided by Peacock Life Mumbai.(this is in order to
    mantain uniformity in all stores )

    On your gross profit you will give 25% to Peacock Life ie Selling price minus Cost price (your
    cost price at what you purchased )
    equals to your gross profit.

    Accounts will be checked and squared in the first week of every month. 

    Peacock Life Dheradun will need 1000 to 2000 sqft of space in main market area.

    The decor for Peacock Life Dheradun will be same like Peacock Life Mumbai.

    This is a basic draft with all essential points. once we mutually agree on the same we can meet
    and cement things further.
