Let us recap….
In any contract of sale of goods the following
two words are important:

• Condition

• Warranty
Condition
• Condition is the term of sale of contract
which is very important to follow

• If any condition is not followed the contract


may be cancelled
Warranty
• Warranty is the term of sale of contract
which is not very important to follow

• If any Warranty is not followed then the


compensation may be awarded but the
contract may not be cancelled.
Transfer of Property
• It is important to decide the time when the
property is transferred.

• This is because with the transfer of


ownership, risk also transfers

• For example : Fire in a book store


Transfer of
unascertained goods
• According to Sec 18

• As long as the goods are not ascertained,


the property will not pass to the buyer.

• It never means that, as soon as goods are


ascertained, property will pass. Then it will
depend upon the circumstances.
Property passes
when intended to pass
• According to Sec 19

• The property in the goods passes at such time as


the parties to the contract intend it to be
transferred.

• For this regard shall be had to the terms of


contract, conduct of parties and the circumstances
of the case.
Specific goods in
deliverable state

According to Section 20

• Property will pass as soon as the contract is


made.
Goods not in deliverable state

• Sec 21 says that

in such a case the property will pass on to


the buyer when seller puts the goods in
deliverable state and informs the buyer of it.
When something is to be done to
specefic goods
• Sec 22 says that

• When goods are specific and in deliverable


state and seller has to do something (weight,
measure, test etc) the property will pass
only when seller does this and notifies the
buyer of the same.
Sale of unascertained goods and
appropriation
• Sec 23 says that

• Property in such goods passes to the buyer


when goods are unconditionally
appropriated to the contract

• Handing over to the carrier is an example of


this.
Sale or Return Transactions
• Sec 24 says :

The property passes when


A. buyer signifies approval or does
anything to adopt the goods
B. prescribed or reasonable time passes.
