    CUSTOM BROKERAGE AGREEMENT

    Our/Ref: This agreement is made the 07th day of April 2008 Between . I.D N .. Delivered on the .. In . (Hereinafter called the Client) And Matrix Entrepots Company Ltd, a custom brokerage firm, B.P 3107, Douala, Cameroon. Registration No.TPPRR/RC/LBE/05 (Hereinafter called the custom broker) Whereby it is agreed that the custom broker will accomplish all the necessary customs (and other) formalities for the clearing of the Clients goods Bill of lading N. Container N. Seal No. Through the Douala port. The parties hereby agree on the following conditions:

    Section 1
    (a) The client agrees to pay the custom broker the sum of ..being custom clearing and associated charges excluding ocean freight charges. This sum includes the custom brokers fees. (b) The client further accepts to pay the custom broker the sum of per week as storage fees if the contents of his container are stored on the custom brokers premises.

    Section 2
    The parties agree that: (a) The clearing costs stated in 1 (a) above are entirely based on information provided by the client. If this information turns out to be false/wrong, the client shall bear any resulting increase in costs. (b) The clearing costs stated in 1 (a) above do not include demurrage, parking fees or damage caused to the shipping line container by the client.

    Section 3
    The client shall pay all of the clearing costs stated in 1 (a) above before the start of the clearing process by the custom broker. Should the client not be in a position to do so, the custom broker may partially pre-finance clearing costs on condition that the client signs an annexure to this agreement.

    Section 4
    For the execution of this contract, the parties are domiciled in Douala and only the courts in Douala are competent for any litigation. Douala,
