Wood River Land Trust LTA Standard 3: Board Accountability

3D: Preventing Minority Rule

Policy: The Land Trusts Bylaws contain provisions that prevent a minority of board members from acting for the organization without proper authority by requiring a quorum of members to conduct a meeting and a majority of the quorum to take action. (See Appendix 2B.2, Bylaws, Article V, Section 5.)

3E: Delegation of Decision-Making Authority

Policy: The Executive Committee of the Board of Directors is empowered to act on behalf of the Board in those matters reserved to the Board by the Bylaws. (See Appendix 2B.2, Bylaws, Article VII.) The staff has decision-making authority in accordance with their respective job descriptions as approved by the Board.

3F: Board Approval of Land

Policy: The approval of all land transactions is reserved to the Board of Directors, and in extraordinary circumstances, to the Executive Committee (See Appendix 2B.2, Bylaws, Article IX, and Appendix 3F.1.)
