ARTICLE XI: Neither the corpus nor any income from the trust shall be liable
for the debts of any beneficiary. Nor shall the same be subject to seizure by any creditor
of any beneficiary under any writ or proceedings at law or in equity. No benefi
shall, except as may be specifically permitted and authorized by the trustees in writing,
have the power to sell, assign, transfer, or encumber their beneficial interest.
ARTICLE XII; A beneficial interest held under this trust may be freely
tansferable and assignable within a Branch, as defined in ARTICLE III. For example, a
beneficiary holding under the could transfer his interest to another
member of the Branch by sale, gift or devise without restriction. No
holder of a beneficial interest in this trust shall transfer his or her interest or any part of
said interest to anyone outside the branch without first offering it to the remaining
members of the branch at fair market value. If no members of the branch wish to
purchase the interest, it must then be offered to the holders of beneficial interest outside
the Branch at fair market value. Ifno beneficiaries outside the branch wish to purchase
the interest, it shall then be offered to the Trustees at fair market value, and if the Trustees
do not wish to purchase the interest, it may be transferred by the holder without
restriction,
For purposes of this agreement, “fair market value”, in the absence of an agreement, shall
mean the average of an appraisal by a certified appraiser chosen by the Seller, an
appraisal by a certified appraiser chosen by the Buyer and an appraisal by a certified
appraiser chosen by the two appraisers so chosen,
ARTICLE XII; The trust created herein shall be know as the ‘Trust,
IN WITNESS WHEREOF, the said Settlors, have hereto set their hands and seals
and the said Trustees have hereunto set their hands and seals the day, month and year
above stated.
