Re: Lease dated May 17, 2002 between Fryelands Sixth Avenue, LLC (as successor-in-interest to Rudeen Business Park, LLC) and Monroe Public School District for premises in the Fryelands Business Park in Monroe, Washington (the Lease)

Dear Tom: As you know, pursuant to previously issued notices, the District has elected to terminate the Lease due to significant budget cuts. Enclosed herewith is the required payment to Landlord of the unamortized cost of the tenant improvements totaling $430,599.00, which is due pursuant to Section 2.3 of the Lease. This is tendered in conjunction with the Districts notices of termination. For your information, the District intends to also pay the rent due for September. Such payment of rent will be made under protest and pending resolution of a dispute with the landlord. Please contact me if you have any questions. Thank you. Thank you.
