Mills informs the extinguishment of its major shareholder by merger, without changing its control by Nacht family
Rio de Janeiro, November 30, 2010 - Mills Estruturas e Servios de Engenharia S.A. (Mills), for the purposes of article 157, paragraph 4 of Law n. 6.404, issued on December 15, 1976 (Brazilian Corporate Law), and in accordance with CVM Instruction n 358, issued on January 03, 2002, informs that its direct controlling shareholder, Staldzene Empreendimentos e Participaes S/A (Staldzene), was extinguished due to a corporate restructuring. The Extraordinary Shareholders Meeting held on November 30, 2010, Nacht Participaes S/A (Nacht), Mills indirect controlling shareholder, merged Staldzene, succeeding it in all its rights and obligations. As a result, Nacht becomes Mills direct controlling shareholder with 39,3% of the total and voting capital stock. We clarify that the referred transaction (i) does not imply on Mills changing of control by the Nacht family, which as a result of such restructuring, the family becomes to control Mills directly, through Nacht Participaes S/A, (ii) does not change the number of shares or the value of Mills capital stock, and (iii) does not intend to change any other management structure of Mills.
