KIPP AMP Charter School Board of Trustees Minutes of January 23, 2012 Meeting

The KIPP AMP Charter School Board of Trustees met on January 23, 2012 at Hunter College with the following trustees in attendance: David Massey, Raphael Mayer, Kelly Coffey and Frank Corcoran. Also attending were David Levin, Josh Zoia, Jack Chorowsky, Vicki Zubovic, Carrie Mauer, Charizma Williams, Whitney Tilson, Dawn Palo, Amy Griffin, Girish Bhakoo, Carrie Gennuso, Larry Robbins, Brian Zied, Richard Taft, Abigail Klem, and Joe Negron. Opening of Meeting The board voted unanimously to run the meeting concurrently with the meetings of the Boards of KIPP Academy, KIPP Infinity, KIPP STAR, KIPP Washington Heights Academy, KIPP New York Inc., and the Joint High School Committee due to the commonality of issues.

Board Business The board opened the meeting to public comments. There were no comments. Mr. Levin provided the board with an update on the progress and performance of KIPP NYC schools and programs, specifically focusing on: Elementary school reading progress Middle school interim assessment results, Academic program and results at KIPP STAR Middle School, KIPP NYC College Prep High School PSAT results, and Progress in implementation of KIPP NYC strategic initiatives across schools, including curriculum and assessment development.

The boards auditors, Larson Allen, presented the schools 2010-11 fiscal year audit, discussing audit outcomes and findings. Ms. Williams followed with an update regarding KIPP NYC finance team operations and future staffing plans. Mr. Mayer and Ms. Zubovic briefed the board regarding future fundraising plans and the launch of a consolidated, multi-year campaign to support the needs of KIPP NYC schools and programs. The board approved the minutes of its October 17, 2011 meeting. The board approved all new staff assignments.

The board approved a Coordinated Executive Compensation Agreement which provides that KIPP STAR will act as payroll agent to facilitate payment of compensation to leadership co-employed by multiple charter schools. Each school shall be responsible for remitting to KIPP STAR their pro rata share of such compensation. Ms. Griffin provided the board with an update on board member recruitment. The board voted unanimously to move to Executive Session to discuss confidential personnel and real estate matters. Adjournment The meeting adjourned.
