Acquisition of Music Rights

(All Rights).

THIS AGREEMENT dated as of Effective Date of Agreement (ie. July 1, 2001) between Name
of Composer, of Address of Composer (the “Composer”) and Name of Purchaser, of Address
of Purchaser (the “Purchaser”).

WHEREAS:

(A) The Composer has created and written a certain "work" (the "Composition") which
contains the music, lyrics and arrangement described in Schedule "A" hereto, and a copy
of which is attached as Schedule "A" hereto; and

(B) The Purchaser has agreed to purchase all rights in the Composition from the Composer;

NOW THEREFORE in consideration of the mutual covenants and conditions hereinafter set
forth and for other good and valuable consideration, the receipt and sufficiency of which is
hereby acknowledged, the parties agree as follows:

1. The Composer hereby sells, transfers, assigns and sets over unto the Purchaser all of his
or her right, title and interest in and to the Composition.

2. The Purchaser agrees to pay to the Composer and the Composer agrees to accept in full
consideration for the Composition, the sum of [Purchase Price of Composition] which
shall be paid concurrently with the execution of this Agreement.

3. The Composer hereby agrees that the Composition is a work-made-for-hire and the sole
property of the Purchaser. In the event that the Composition is for any reason deemed not
to be a work-made-for-hire, then and in such event, the Composer hereby assigns all of its
right, title and interest in and to the Composition to the Purchaser, without further
payment. Without limiting the foregoing, it is specifically understood that the Purchaser
has the right to alter, expand, adapt and make any arrangements of the Composition, and
shall have the sole right to decide whether and in what manner the Composition will be
published, advertised, publicized, performed or exploited by it, its successors or assigns.
The Purchaser has the further right to secure a copyright therein anywhere in the world in
the name(s) of such person, firms or corporations as it may elect, and the Purchaser or its
designees have the right to secure extensions and renewals of such copyright
registrations. All score sheets, lead sheets, folios, master tapes, duplicate tapes or other
elements of the production of the Composition, if any, shall be the Purchaser's exclusive
property and provided to the Purchaser upon request.

4. The Composer represents and warrants to the Purchaser that:

(a) The Composition is original;

(b) The Composition does not and will not infringe upon or violate the copyrights or
any other rights whatsoever of any person or entity;

(c) No adverse claim exists with respect to the Composition;

(d) The Composition has not heretofore been published or exploited in any form
anywhere in the world;

(e) The Composer owns and controls the Composition and all rights in the
Composition throughout the world;

(f) The Composer have the full and exclusive right and authority to enter into this
Agreement and to make the grant herein contained; and

(g) Any and all materials that are incorporated in the Composition are works made
for hire and free from any reversionary rights therein.

5. The Composer agrees to hold the Purchaser and its assigns and licensees harmless from
and against any loss, damage or expense, including court costs and reasonable attorneys'
fees, that the Purchaser, and its assigns and licensees may suffer or incur as a result of
any breach or alleged breach of the foregoing warranties.
