WHEREAS, lhc Baard has held discussions during the course of =eral
months regarding tlle current circumstances of the financial liquidity 8lld business prospects of
lhe Company and its parent, Crdentia Corp., with lhe Company's executive officers and fmnncial
and legal advisors; and
WHEREAS, the Board has evaluated and considered the information provided by and
the recommendations of the Company's executive officers and financial and legal advisors aud
bas had the opportunity to ask questions of tl1e same and independently to verify and diligence
all such information; aud
WREREA.S, tl1e Board eyaJuated and considered the circumstances and consequences of
filing a petition relative to the Company (tlw ""Petition'') seeking relief m1dl:r the provisions of
Chapter 11 of Title 11 of the United Slates Code (the ")3ankruptcy Code"), and which petition is
attached to this resolutil:m as m1 .;>l!hibit; and
NOW, THEREFORE, the Board hereb}' adopts the following Resolutions:
RESOLVED, in the judgment of the Board, it is in tl1e best interests of the Company,
creditors of 1he Company, tl1e shareholders of the Company, and other interested parties, for the
Complllly to file the Petition on behalf of itself seeking relief undet the Banktuproy Code; and it
is
FUR'l'J:IER RESOLVED, fuat the Petition substantially in the form distdbuted the
undersigned and attached hereto is adopted in all respects, and that the officers of the Company
(tbe "A1tth.orized Persons'') be, and they hereby are, authorized and directed, on behalf of the
Company, to oxecute the Petition or authorize the execution of a filing of the Petition by the
Company with such changes thereto as an Authorized Person executing the saooe shall approye,
the execution thereof, by such Attthorized Person to be deemed conclusive evidence of such
appro<rol, and to cause the same to be filed (the 11 Proceeding") with the United States
Bankruptcy Court for the District of Delaware (the "Banktnotcy Court'') at such time as the

services to and represent the Company in coll!J.ection with the Chapw 11 Prooecdlngs; and it I&
FIJRTIIER :RE:SOLVED, that the Authorized Persons be, and hereby are,
authorized to retain on behalf of the Company, RVR Consulting Group TI, LLC as restructuring
m!d busiuess mmagemcnt conmntants, up0!1 such terms and conditkms as the Aufuorized
Persons shall approve, to provide certain consulting services in cunnection with the Chapter 11
Proceedings; md it is
FORTHER RESOLVED, that the Aufuorlzed Persuns be, and they hereby at-e,
authorized to retain on behalf of the Company a balloting, servicing, and claims agent to be
identified by fu Authorized Persons, upon such terms and conditions as the Authori7.ed Persons
shall approve, to render certain admiuistmt.ive services in cmmection the Chapter 11
Procoedings; and it is
FURTllER RESOLVED, that each Autburlzed Person, and :ruch other officers crf the
CompBny as the Authorized Persons shall fron! time to time designate, and any employees
or {including counsel) designated by or directed by any such officers, be, and each hereby
