The undersigned, Special PACA Counsel for Delta Produce, L.P. ("Delta"), pursuant to the Court's Order of January 25, 2012, moves to compromise ce1iain claims and set others for trial. Special counsel fmiher moves to compromise the following objections:

1.

Bernardi & Associates, Inc. - Special Counsel accepts Bernardi's argtm1ent that

the brokerage charges qualify for PACA trust protection and withdraws the objection. Special Counsel moves to compromise and allow this pmiion of the claim be allowed in full. 2.

Dimare Enterprises, Inc.- Special Counsel accepts Dimare's contention that the

handling charges of $10,959.00 may qualify under PACA and withdraws the objection. Special Counsel moves to compromise and allow this portion of the claim be allowed in full. 3.

Eco Farms Sales, Inc.- Upon further examination, Eco Fmms' invoices do

contain the P ACA trust language; therefore, Special counsel withdraws the objection. Special Cotmsel moves to compromise and allow this pmiion of the claim be allowed in full.

Debtors are the following entities: Delta Produce, L.P.- Case No. 12-50073-LMC, Superior TomatoAvocado, Ltd.- Case No. 12-50074-LMC, Atled, Ltd.- Case No. 12-50075-LMC and Staci Properties, Ltd.- Case No. 12-50110-LMC.

4. Five Brothers Jalisco Produce Co., Inc., Frank's Distributing of Produce,

LLC, Fresh Pac International, Inc., Kingdom Fresh Produce, Inc. - Special Counsel moves
to compromise all the objections on interest in order that interest claims be reduced to 6% pursuant to claimants' responses.

Fresh Pac International, Inc., Harvest Crown Co., Inc., Henry Avocado

Corp., J-C Distributing, Inc., Muller Trading Co., Inc., Pacific International Vegetable Marketing, Inc., Royal Flavor, LLC, Rio Queen Citrus and Wilson Produce, LLC Counsel for these parties and Special Counsel agree that attomeys' fees claims will be submitted pursuant to this Court's Order and not awarded at this time. 6.

Harllee Packing, Inc.- Special counsel accepts the creditor's argument that the

environmental charges qualify under the P ACA trust. Special Counsel moves to compromise and allow this portion of the claim be allowed in full. 7.

I Kunik Co., Inc. - Special cmmsel accepts the creditor's argument that the

enviromnental charges qualify under the PACA trust. Special Counsel moves to compromise and allow this portion of the claim be allowed in full. 8.

Juniper Tomatoes Growers, Inc.- Based on creditor's argument, Special

counsel requests a compromise to accept trust qualification on all invoices. As per agreement with claimant's counsel, Special Counsel moves for a compromise for an $800.00 reduction on Invoice #33482. 9.

Kingdom Fresh Produce, Inc.- As to the claim of offset and the claim on

invoice, Special Counsel has reached an agreement with claimant's counsel to recognize the offset of$3,545.00 and the claim of$3,696.00 and move for a compromise to recognize the offset, leaving a net claim of $62,327, including 6% interest.

10. London Fruit, Inc. -Based on submitted bills oflading, Special Counsel moves

to compromise to allow this claim in full. 11. Mecca Farms, Inc.- Based on the objection and agreement with claimant's

com1sel, Special Cotmselmoves to compromise the claim by reducing the amount of the claim by $1,444.00. 12. Mission Produce, Inc.- Based on agreement with claimant's cmmsel, Special

Cmmselmoves to compromise the claim by reducing the claim by $200.00. 13. Prime Time Sales LLC - Based on creditor's agreement, Special Counsel moves

to compromise and allow this pmiion of the claim be allowed in full. Special Counsel moves to compromise the claim by accepting it in its entirety. 14. Royal Flavor, LLC- Based on the creditor's submissions, Special Com1sel

moves to compromise the claim by accepting it in its entirety. 15. Muller Trading- Based on proof of delivery provided by cotmsel for claimant,

Special Counsel moves compromise the claim by accepting the claim in its entirety, excluding attorney's fees as noted above. 16. Andrew and Williamson- Claimant's counsel and Special Counsel have agreed

to an offset of$12,744.55 and of interest of$139.75 and moves to compromise the claim to be reduced in this amount. 17. Rio Queen Citrus - While this claim was excluded from the initial claims chmi,

the claim is acceptable except for attorney's fees which will be considered as part of all submissions of claims.

adjustment, Special Counsel moves that the claim by compromised by withdrawal of the objection of offset. 19.
