MOTION OF F&G MECHANCIAL CORPORATION AND MEADOWLANDS FIRE
PROTECTION FOR AN ORDER PURSUANT TO 11 U.S.C. 503(b)(1), 507(a), 365(d)(2),
AND 362(d)(1) FOR AN ORDER (I) COMPELLING IMMEDIATE PAYMENT OF
POST-PETITION ADMINISTRATIVE EXPENSE CLAIMS; AND (II) COMPELLING
THE DEBTOR TO ASSUME OR REJECT EXECUTORY CONTRACTS OR, IN THE
ALTERNATIVE, MODIFYING THE AUTOMATIC STAY TO PERMIT MOVANTS TO
TERMINATE THE EXECUTORY CONTRACTS IN THEIR SOLE DISCRETION
F&G Mechanical Corporation (F&G) and Meadowlands Fire Protection (MFP), by
and through their undersigned counsel, hereby move this Court for entry of an order pursuant to
sections 503(b)(1), 507(a), 365(d)(2) and 362(d)(1) of Chapter 11 of Title 11, United States Code
(the Bankruptcy Code): (i) compelling allowance and immediate payment of post-petition
administrative expense claims; and (ii) compelling Lehr Construction Corporation (the Debtor)
to assume or reject certain executory contracts or, in the alternative, modifying the automatic

stay to permit F&G and MFP to terminate the executory contracts at their sole discretion (the
Motion). In support of the Motion, F&G and MFP respectfully state as follows:
JURISDICTION
1. This Court has jurisdiction over this Chapter 11 case and this Motion pursuant to
28 U.S.C. 157(b)(2)(A), (G) and (O) and 1334. This Motion is a core proceeding as defined
in 28 U.S.C. 157. Venue is proper in this district pursuant to 28 U.S.C. 1408 and 1409.
The statutory predicates for the relief requested are sections 503(b)(1), 507(a), 365(d)(2) and
362(d)(1) of the Bankruptcy Code.
BACKGROUND
2. The Debtor entered into an agreement with NBA Properties, Inc. (the NBA), in
connection with a construction project located at 100 Plaza Drive, Secaucus, New Jersey 07094
(the Project) being completed by the Debtor, as general contractor, for the NBA, the Project
tenant (the NBA Agreement).
3. The NBA Agreement requires that the NBA make certain periodic payments to
the Debtor on account of construction and related costs in connection with the Project.
4. The Debtor, as general contractor, contracted with various sub-contractors to
performwork in connection with the Project.
5. On or about December 16, 2010, the Debtor issued Purchase Order No. 155282
(the F&G Purchase Order) to F&G in the amount of $1,463,000.00 in connection with the
installation of certain heating, ventilation and air conditioning (HVAC) systems by F&G in
connection with the Project. A copy of the F&G Purchase Order is attached hereto as Exhibit A.
6. F&G counter-executed the F&G Purchase Order as sub-contractor on or about
January 28, 2011.

7. On or about December 16, 2010, the Debtor issued Purchase Order No. 155281
(the MFP Purchase Order and together with the F&G Purchase Order, the Purchase Orders)
to MFP in the amount of $486,000.00 in connection with the installation of certain fire
prevention/protection systems by MFP in connection with the Project. A copy of the MFP
Purchase Order is attached hereto as Exhibit B.
8. MFP counter-executed the MFP Purchase Order as sub-contractor on or about
February 1, 2011.
9. On or about February 18, 2011, F&G issued Invoice No. 6356 to the Debtor (the
F&G Invoice), in the original contract amount of $1,463,000.00, and setting forth, among
other things, the payment terms in connection therewith. A copy of the F&G Invoice is attached
hereto as Exhibit C.
10. On or about February 23, 2011, MFP issued Invoice No. 52969 to the Debtor (the
MFP Invoice and together with the F&G Invoice, the Invoices), in the original contract
amount of $486,000.00, and setting forth, among other things, the payment terms in connection
therewith. A copy of the MFP Invoice is attached hereto as Exhibit D.
11. F&G and MFP commenced work on the Project in or about late January, 2011,
including but not limited to providing goods, materials and services in connection with the
Project, as a sub-contractor, pursuant to the Purchase Orders and the Invoices.
12. On February 21, 2011 (the Petition Date), the Debtor filed a voluntary petition
under Chapter 11 of the Bankruptcy Code, Case No. 11-10723 (SHL) (the "Chapter 11 Case") in
the United States Bankruptcy Court for the Southern District of New York (the "Court).

13. To date, the Debtor has not made any payments to F&G and/or MFP on account
of both pre-petition and post-petition amounts owed to F&G and MFP pursuant to the Purchase
Orders and the Invoices.
14. On March 9, 2011, the Debtor filed its Motion for Entry of an Order Authorizing
Payment of Prepetition Critical Construction Vendor Claims and to Provide Adequate Assurance
of Future Performance for Subcontractors and Materialmen Who Have Statutory Lien Rights (the
Critical Vendor Motion).
RELIEF REQUESTED AND BASIS THEREFORE
15. F&G and MFP seek entry of an order allowing their administrative expense
claims to date against the Debtor, and compelling allowance and the immediate payment of the
amounts due and owing F&G and MFP under the Purchase Orders and the Invoices since the
Petition Date upon the Debtors receipt of such funds from the NBA. F&G and MFP also seek
entry of an order compelling the Debtor to assume or reject the Purchase Orders or, in the
alternative, modifying the automatic stay pursuant to section 362(d)(1) permitted F&G and MFP
to terminate the Purchase Orders, to the extent they are unperformed, for cause, and in the sole
discretion of F&G and MFP.
A. MFP and F&G Are Entitled to Allowed Administrative Expense Claims for Unpaid
Post-Petition Amounts Owed To Date Under the Purchase Orders and the Invoices,
and the Court Should Compel the Debtors to Pay Such Post-Petition Amounts
Owed to F&G and MFP Immediately
(a) MFP and F&G Are Entitled to Allowed Administrative Expense Claims for
Unpaid Post-Petition Amounts Owed To Date Under the Purchase Orders and the
Invoices
16. As of the date of this Motion, despite providing the Debtor with
numerous and valuable post-petition goods, materials and services in conjunction with
their work as sub-contractors on the Project, the Debtor has failed to pay F&G and

MFP an aggregate total of approximately $802,780.00 on account of the Purchase
Orders and the Invoices. The total approximate aggregate post-petition arrearage is
calculated as follows: (i) $519,500.00 for goods, services and materials to the Debtor
by F&G for the period of February 21, 2011 through the date of this Motion; and (ii)
$283,280.00 for goods, services and materials to the Debtor by MFP for the period of
February 21, 2011 through the date of this Motion.
17. F&G and MFP are entitled to allowed administrative expense status for
the value of the goods, materials and services provided to the Debtor since the Petition
Date. As described herein, such post-petition goods, materials and services were
absolutely essential to and benefited the Debtors estate because they provided the
Debtor with critical HVAC and fire suppression systems in connection with the as-yet
unfinished NBA Project. The goods, materials and services provided to the Debtor by
F&G and MFP were used, and continue to be used, by the Debtor after the Petition
Date.
18. Administrative expense status for the post-petition goods, materials and
services provided to the Debtor by F&G and MFP in the aggregate total amount of
802,780.00 is warranted under of sections 503(a) and (b) of the Bankruptcy Code,
which provide as follows:
(a) [a]n entity may timely file a request for payment of an
administrative expense, or may tardily file such request if
permitted by the court for cause.
(b) [a]fter notice and a hearing, there shall be allowed
administrative expenses, other than claims allowed under
section 502(f) of this title, including-
(1)(A) the actual, necessary costs and expenses of
preserving the estate

19. Thus, pursuant to sections 503(b)(1)(A) and 507(a) of the Bankruptcy
Code, MFG and F&G seek entry of an order allowing administrative expense treatment
of the unpaid charges associated with the goods, services and materials provided to the
Debtor post-petition in the aggregate amount of $802,780.00 (the administrative
expense claims of F&G and MFP are collectively referred to herein as the
Outstanding Administrative Claim).

(b) The Court Should Compel the Debtor to Pay the Outstanding Administrative
Claim to F&G and MFP Immediately Upon the Debtors Receipt of Such Funds
from the NBA
20. Moreover, given the facts and circumstances of this Chapter 11 Case, and the
significant credit risk being undertaken by F&G and MFP in connection with their continued
provision of essential goods, materials and services, the Debtor should be compelled to pay
MFP and F&G on account of the Outstanding Administrative Claim immediately upon the
Debtors receipt of such funds from the NBA.
21. The Bankruptcy Code is silent as to the timing for payment of
administrative expenses, and generally timing of payments is a matter to be determined within
the discretion of the bankruptcy court. In re Photo Promotion Associates, Inc., 881 F.2d 6, 9 (2d
Cir. 1989); In re Midway Airlines Corp., 406 F.3d 229, 242 (4th Cir. 2005).
22. In determining whether to award immediate payment of an administrative claim,
courts in other circuits have considered three factors, (i) prejudice to the debtor; (ii) hardship
to the claimant; and (iii) potential detriment to other creditors. See In re Garden Ridge Corp.,
323 B.R. 136, 143 (Bankr. D. Del. 2005). Though this test has not been specifically adopted

by the Second Circuit, it illustrates why MFP and F&G are entitled to immediate payment of the
Outstanding Administrative Expense Claim.
23. Based on the current circumstances of the Chapter 11 Case, F&G and MFP easily
satisfy the first Garden Ridge factorlack of prejudice to the debtor. At this time, payment
of the Outstanding Administrative Claim would not prejudice the Debtor in any way, as current
and timely payments to its sub-contractors has been the Debtors plan all along and is indeed
perhaps the most crucial factor in the Debtors ability to the complete the NBA Project during the
pendency of the Chapter 11 Case. Very simply, unless the sub-contractors - such as MFP and
F&G - continue doing their jobs and completing their appointed tasks, the NBA Project will
likely never be completed, this Chapter 11 Case will fail, and jobs will be lost. For that reason
alone, F&G and MFP have satisfied the first Garden Ridge factor.
24. Moreover, given that the Debtor has not sought any post-petition financing in this
Chapter 11 Case, there is no risk here that immediate payment of the Outstanding Administrative
Claim will be violative of any approved budget under a DIP financing facility.
25. As for the second of the Garden Ridge factors - hardship to the claimant
the Debtor cannot possibly show that the immediate transfer of funds by the Debtor to F&G and
MFP to pay the Outstanding Administrative Claim once the Debtor receives such funds from the
NBA will negatively impact the Debtors operations or prejudice it in any way. Indeed, the
Debtor has repeatedly acknowledged that it intends to perform its post-petition obligations by
paying sub-contractors in a timely manner i.e., making immediate payments when such funds
become available. Specifically, on March 9, 2011, the Debtor filed the Critical Vendor Motion,
wherein the Debtor seeks authorization to, among other things, (i) to continue to pay any
postpetition obligations to its Critical Construction Vendors in the ordinary course and (ii) to

segregate the funds its receives from the NBA for payment to such Critical Construction Vendors
into a separate bank account for the benefit of the Critical Construction Vendors that have lien
rights pursuant to New Jersey law. See Critical Vendor Motion, at 7.

Clearly then, immediate
payment of the Outstanding Administrative Claim to F&G and MFP once such funds are received
by the Debtor from the NBA (to the extent that such funds have not already been received), would
not represent any hardship to the Debtor, and indeed represents the Debtors clear intention.
26. Similarly, there would absolutely no detriment to other creditors if such
immediate payment(s) was made. As described above, the Debtor in fact desires and intends to
pay sub-contractor administrative creditors immediately upon receipt of such funds from the
NBA. If such payments are not made in a timely fashion, the sub-contractors, including F&G
and MFP, will be unlikely to complete their contracted tasks, which would jeopardize the entire
project. Moreover, the Debtor acknowledges in the Critical Vendor Motion the extreme
prejudice that sub-contractors such as F&G and MFP would suffer if they are not paid timely (as
opposed to waiting to be paid in accordance with a confirmed bankruptcy plan):
[i]n addition, many of the subcontractors have small operations
and rely on a limited number of their own customers for their
continued viability. Such subcontractors have limited access to
capital and can ill afford their own loss of operating revenues.

27. For these reasons, F&G and MFP have satisfied each of the Garden Ridge
factors, and should be immediately paid on account of the Outstanding Administrative Claim once

F&G and MFP are generally supportive of the Debtors efforts to obtain authority to pay critical vendors,
including F&G and MFP, their pre-petition claims in full via the Critical Vendor Motion. Nevertheless, F&G and
MFP do take issue with a portion of the relief requested therein, and will interpose a written response to the Critical
Vendor Motion shortly, but in any case no later than March 18, 2011, which is the objection deadline.

such funds are received by the Debtor from the NBA (to the extent that such funds have not
already been received).

B. The Court Should Compel the Debtor to Immediately Assume Or Reject the
Purchase Orders
11. The Purchase Orders are, without question, executory contracts because (i) they have
not expired and (ii) material performance remains by the parties until the Purchase Orders are
satisfied and/or terminated. Until such time, F&G and MFP are required to continue to provide
the goods, services and materials outlined in the Purchase Orders, and the Debtor is required to
pay for such goods, services and materials.
28. Generally, a Chapter 11 debtor in possession has until confirmation of a plan of
reorganization to assume or reject executory contracts. 11 U.S.C. 365(d)(2) and
1123(b)(2); see also NLRB v. Bildisco & Bildisco, 465 U.S. 513, 104 S.Ct. 1188 (1984); In re
Adelphia Communications Corp., 291 B.R. 283, 293 (Bankr. S.D.N.Y. 2003).
29. However, section 365(d)(2) of the Bankruptcy Code authorizes the Court to
require a debtor to assume or reject an unexpired lease or executory contract within a lesser
period of time upon the request of any party to such lease or executory contract.
[T]he trustee may assume or reject an executory contract or
unexpired lease . . . at any time before the confirmation of a
plan . . . but the court, on request of any party to such contract or
lease, may order the trustee to determine within a specified
period of time whether to assume or reject such contract or lease.
11 U.S.C. 365(d)(2).
30. The Bankruptcy Court, in its discretion, may determine to advance the election
date. In re Monroe Well Service, Inc., 83 B.R. 317, 323 (Bankr. E.D. Pa.1988). When a

Moreover, the Debtor obligated under section 365 of the Bankruptcy Code to timely perform any and all of
its post-petition obligations with respect to executory contracts, prior to assumption or rejection of the same. In this
case, the Purchase Orders have yet to be assumed or rejected (as discussed more fully below). Therefore, until the
time of assumption or rejection of the same, the Debtor is obligated to fully perform under those contracts, and such
performance includes immediate payment of all post-petition amounts due once said funds are received by the
Debtor from the NBA.

request by a party in interest is made, the Bankruptcy Court must determine what is a
reasonable period of time for the debtor to make its election. That determination is to be
made based upon all of the facts and circumstances of the case. In re Dana Corp., 350 B.R.
144, 147-48 (Bankr. S.D.N.Y. 2006); Theatre Holding Corp. v. Mauro (In re Theatre Holding
Corp.), 681 F.2d 102, 105 (2d Cir. 1982)).
31. Courts have considered a variety of factors in determining whether to shorten the
period in which a debtor must assume or reject a lease or executory contract. Among the factors
considered are (i) the damage the non-debtor party will suffer in excess of compensation
available under the Bankruptcy Code, (ii) the importance of the lease or executory contract to the
debtors business and reorganization, (iii) whether the debtor has had sufficient time to
evaluate its financial situation and potential value of its assets in formulating a plan, and (iv)
whether exclusivity has terminated. In re Enron Corp., 279 B.R. 695, 702 (Bankr. S.D.N.Y. 2002)
(citation omitted); see also Adelphia Communications, 291 B.R. at 293.
32. Although the general rule under section 365 of the Bankruptcy Code is intended
to afford a debtor reasonable time to assess its executory contracts, such an assessment cannot
ignore the injury posed to non-debtor parties to such agreements. Rather, courts must
consider the balance of harms to the litigants in determining when to require a decision on
assumption or rejection under section 365(d)(2) of the Bankruptcy Code. See In re Beker Indus.
Corp., 64 B.R. 890, 896-97 (Bankr. S.D.N.Y. 1986) (granting motion to compel where
uncertainty and harm to non-debtor party outweighed potential benefit to the debtors estate);
In re Enron, 279 B.R. at 709 (setting date certain by which the debtor must assume or reject
contracts).

33. A debtor may not attempt to obtain a benefit from an unexpired lease or executory
contract at the expense of non-debtor parties like F&G and MFP. See In re Beker Indus. Corp.,
64 B.R. at 898-99 (stating there is no indication that an obligee is to be forced several months
after bankruptcy to fund someone elses desire for benefit). Moreover, the goals and
protections of Chapter 11 extend equally to both debtors and creditors. See In re Levinsky,
23 B.R. 210, 215 (Bankr. E.D.N.Y. 1982); Case v. Los Angeles Lumber Prods. Co., 308 U.S.
106, 119 n. 4 (1939) (acknowledging that [t]he preservation of business enterprises must not
be at the expense of creditors...) (citations omitted); Carvalho v. Fed. Natl Mortgage Bank
Assn (In re Carvalho), 335 F.3d 45, 51 (1st Cir. 2003) ([b]ankruptcy law endeavors to strike an
equitable balance between the debtors needs -- especially the need for a fresh start -- and the
creditors rights.).
34. Here, the damage to F&G and MFP is obvious. They have continued to
provide valuable goods, materials and services under the Purchase Orders without receiving
any consideration as yet. The Debtor has been receiving the goods, materials and services
provided by F&G and MFP, but has failed to make any payments to date, as evidenced by the
unpaid Invoices annexed hereto. The Debtor has continued to reap the benefits of the F&Gs
and MFPs installation of essential

HVAC and fire protection systems in the NBA Project,
but has not made any payments to the F&G and FMP despite their significant credit risk outlay
with respect to the same. Moreover, as set forth above and in the Critical Vendor Motion, the
Debtor has stated the importance of paying the project sub-contractors in a timely fashion, [t]o
ensure that the NBA Project is completed on schedule and maintains the high level of quality
the Debtors clients, including the NBA, expect. See Critical Vendor Motion, 9.

35. In addition, as evidenced by the Debtors pleadings filed with the Court, it has
certainly had sufficient time to consider whether to assume or reject the Purchase Orders. Since
the Debtor has stated time and again that it desires the sub-contractors, including F&G and
MFP, to continue working, it follows then that the Debtors have decided to assume the Purchase
Orders and that additional time is not required in order to evaluate same.
36. Thus, in order to provide F&G and MFP with the comfort they need that the
Debtor will satisfy its contractual obligations, cure any and all defaults, and remove any
remaining doubt as to these issues which comfort it is entitled to based upon their significant
credit outlays F&G and MFP respectfully request that the Court enter an order requiring the
Debtor to immediately assume or reject the Purchase Orders.
37. As previously stated, F&G and MFP reserve the right to amend the amounts owed
post-petition to the extent additional amounts are discovered.
C. In the Alternative, the Automatic Stay Should Be Modified to Allow F&G and MFP
to Terminate the Purchase Orders, at Their Sole Discretion
38. Pursuant to 11 U.S.C. 362(d)(1), the Court may grant relief from the automatic
stay for cause. 11 U.S.C. 362(d)(1). Although cause is not defined in the Bankruptcy
Code, its application is broad and flexible, In re M.J. & K. Co., 161 B.R. 586, 590-91
(Bankr. S.D.N.Y. 1993), and the determination of whether sufficient cause exists to grant stay
relief must be addressed on a case by case basis. Mazzeo v. Lenhart (In re Mazzeo), 167 F.3d
139, 142-43 (2d Cir. 1999).
39. The question of whether to lift the stay for cause is within the Courts discretion.
Sonnax. Indus., Inc. v. Tri Component Products Corp. (In re Sonnax Indus. Inc.), 907 F.2d 1280,
286 (2d Cir. 1990). Courts have broad discretion in crafting relief from the stay. In re
Siciliano, 13 F.3d 748, 751 (3d Cir. 1994); Schwartz v. United States (In re Schwartz), 954

F.2d 569, 572 (9th Cir. 1992). The automatic stay should be modified when equitable
considerations weigh heavily in favor of the creditor and the debtor bears some
responsibility for creating the problems. Intl Bus. Machs. v. Fernstrom Storage & Van Co.
(Matter of Fernstrom Storage & Van Co.), 938 F.2d 731, 735 (7th Cir. 1991). Factors to be
considered in making a determination of cause include whether there is a likelihood of great
prejudice to the debtor or its estate and whether continuation of the stay creates a hardship to
the non-debtor party that outweighs the hardship to the debtor. Id.
40. In the event the Debtors do not assume or reject the Purchase Orders as
requested herein, ample cause exists to lift the stay to allow F&G and MFP to terminate the
Purchase Orders, as determined in their determined in their sole discretion. Given the
Debtors failure to perform under the Purchase Orders to date; i.e., to pay F&G and MFP, and
their insolvency, they cannot provide any, let alone adequate, assurance that F&G and MFPs
rights and interests will be protected if the stay is not lifted. Moreover, if the Purchase Orders
are not terminated, F&G and MFP may be compelled to continue to provide goods, materials,
and services post-petition without receiving compensation therefore.
41. Accordingly, in light of the Debtors failure to perform and satisfy its obligations
under the Purchase Orders, F&G and MFP respectfully request that the automatic stay be
modified to permit F&G and MFP to take the necessary steps to terminate the Purchase Orders,
if they so choose and at their sole discretion. F&G and MFP also request that any order the Court
may enter granting relief from the automatic stay be immediately effective and not subject to the
stay of enforcement provisions of Bankruptcy Rule 4001(a)(3).

NOTICE
42. Notice of the Motion has been provided to: (a) the Debtors counsel, (b) counsel
all statutory committees appointed in the Chapter 11 Case, if any, (c) the Office of the United
States Trustee, and (d) all persons and entities that have formally appeared and requested service
in these cases pursuant to Bankruptcy Rule 2002, pursuant to the order shortening time issued
with respect to notice of this Motion. F&G and MFP respectfully submit that such notice is
good and sufficient under the circumstances, and that no other or further notice is required.
REQUEST FOR WAIVER OF MEMORANDUM OF LAW
43. The legal bases for the relief requested in the Motion are set forth herein and,
accordingly, F&G and MFP respectfully request that the Court waive the memorandum of
law requirement imposed by Local Rule 9013-1(b).
NO PRIOR REQUEST
44. Neither F&G nor MFP have previously requested the relief requested herein from
this or any other Court.
WHEREFORE, F&G and MFP respectfully requests\ the entry of an order (a)
compelling allowance and immediate payment of post-petition administrative expense claims;
(b) compelling the Debtor to assume or reject contracts, or, alternatively, modifying the automatic
stay to the extent necessary to permit F&G and MFP to terminate the Purchase Orders to the
extent that they are not already performed; (c) waiving the stay of enforcement provisions
to Bankruptcy Rule 4001(a)(3); and (d) granting such other and further relief as the Court
deems just and proper.
