allowance of $193,228.57 for the period December 1, 2009 though Febru 28, 2010 (the

"Interi Period"). In support of tls Application, SRSM respectfy represents as follows:

Bacwound
1. On March 9, 2009, (the "Petition Date"), the Debtors filed volunta pettions for

relief under chapter i 1 of the Banptcy Code. The Debtors contiue in possession of their
propertes and continue to operate and manage their businesses as debtors in possession puruat
to sections 1107(a) and 1108 of

the Banptcy Code. A tree or exainer has been appointed

in the Debtors' chapter 11 cases.

2. The Cour has jursdicton over tls matter pursuat to 28 V.S.C. 157 and
1334. Ths is a core proceeding pursuat to 28 V.S.C. 157(b)(2).
3. On April 15, 2009, the Cour signed the Amended Admstrtive Order,
authorig cert professionals ("Professionas") to submit monthy applications for inter

compensation and reimburement for expenses, pursuat to the procedures spified therein.
The Admstrtive Order provides, among other thgs, that a Professiona may submit monthy
fee applications. If no objections are made witln twenty (20) days afer service of

the monthy

fee application the Debtor is authorid to pay the Professiona eighty percent (80%) of the
requested fees and one hundrd percent (100%) of

the requested expnss. Begig with the

period endig May 31, 2009, and continuig at thee-month interals, each Professiona shal fie
and serve an interi application for allowance of the amounts sought in its monthy fee

applications for that period. All fees and expenss paid are on an interi bass until fial
alowance by the Cour.
4. The retention of SRSM, as special oil & gas and trsational counel to the
Debtor, was approved effective as of

the Petition Date by tls Cour's "Order Pusuat to Section

327(a) of the Banptcy Code, Rule 2014 of the Feder Rules of Banptcy Procedure and
Local Rule 2014-1 Authorig the Employment and Retention of Schully, Robert, Slatter &

Maro, PLC as Counel for the Debtors and Debtors in Possession Nunc Pro Tunc to the
Petition Date," entered on April 15, 2009 (the "Retention Ordet'). The Retention Order
authorized SRSM to be compensated on an hourly basis and to be reimbured for actu and

necessar out-of-pocket expenss.

MonthlY Fee AoolIcations Covered Herein

5. The Monthy Fee Applications for the periods December 1, 2009 though
Febru 28, 2010 ofSRSM have been fied and served puruat to the Adminstrative Order.

6. On Febru 16, 2010, SRSM fied its Tenth Monthy Application of Schully,
Rober, Slattery & Maro, PLC for Compensation and for Reimbursement of Expenss as

Counel to the Debtors and Debtors in Possession for the Period from December 1,2009 though

Decembe 31, 2009 ("Tenth Monthy Fee Application") requesting $152,135.00 in fees and
$735.54 in expenses.
7. Pursuat to the Admstrtive Order, SRSM has been paid $0.00 of the
$152,135.00 in fees and $0.00 of

the expenses requested in the Tenth Monthy Fee Application.

8. On Marh 17, 2010, SRSM filed its Eleventh Monthy Application of Schully,

Robert, Slattery & Maro, PLC for Compenstion and for Reimburement of Expenses as
Counl to the Debtors and Debtors in Possession for the Period from Janua 1,2010 though

Janua 31, 2010 ("Eleventh Monthy Fee Application") reuestig $27,570.00 in fees and
$422.09 in expenses.
9. Puuat to the Admstrtive Order, SRSM ha been paid $0.00 of the
$27,570.00 in fees and $0.00 of

the expenss requested in the Eleventh Monthy Fee Application.

10. On April 9, 2010, SRSM fied its Twelft Monthy Application of Schully,
Roberts, Slattery & Maro, PLC for Compensation and for Reimburement of Expnses as
Counsel to the Debtors and Debtors in Possession for the Period from Febru 1, 2010 though

Febru 28, 2010 ("Twelf Monthy Fee Application") requesing $10,620.00 in fees and
$2,223.93 in expenses.
11. Pursuat to the Admstrtive Order, SRSM ha been paid $0.00 of the
$10,320.00 in fees and $0.00 of

the expnses requestd in the Twelft Monthy Fee Application.

12. The Monthy Fee Applications covered by ths Application conta detaed daly

tie logs describing the actu and necessa servces provided by SRSM durg the Interi
Period as well as other detaled Inonnation required to be included in fee applications.

Reauested Relief
13. By ths Application, SRSM reuest that the Cour approve payment of onehundred percent (100%) of

the fees and expenses incured by SRSM durg the Interi Period

of

December 1,2009 though Febru 28, 2010.

14. At all relevant ties, SRSM has been a disinterested persn as tht term is

defied in 101(14) of

the Banptcy Code and has not represented or held an interest adverse

to the interest of the Debtors.

15. Al serces for which compensation is requested by SRSM were perfonned for or

on behal of the Debtors and not on behalf of any commttee, creditor or other person.

16. SRSM ha recived no payment and no promises for payment from any soure
other th the Debtors for servces rendere or to be rendered in any capacity whatsoever in

connection with the matters covered by ths Application. There is no ageement or

understading between SRSM and any other person other th the parers of SRSM for the

sharg of compenstion to be received for servces rendered in ths case. SRSM has received
payments from the Debtors durg the year pnor to the Petition Date in the amount of $-0-,
including the Debtors' aggrgate fiing fees for these caes, in connecton with its prepetition

representation of the Debtors. SRSM was curent as of the Pettion Date, subjec to a fial
reconcilation of the amount actuly expended prepetition. Upon fina reconcilation of the
amount actuly expended prepetition, any balance remag from the prepetition payments to

SRSM was credited to the Debtors and utiliz as SRSM's retaer to apply to postpetition fees
and expenses puruat to the compensation procedures approved by ths Cour and the

Banptcy Code.
17. The professional servces and related expnss for which SRSM request intenm
allowance of compensation and reimburement of expenses were rendered and incured in

connection with ths cae in the discharge of SRSM's professiona responsibilties as attorneys
for the Debtors in their chapter 11 cae. SRSM's servces have ben necessa and beneficial to
the Debtors and their estte, creditors and other pares in interest.
18. In accordace with the factrs enumerated in section 330 of

the Banptcy Code,

it is respectfly submitted tht the amount requested by SRSM is fair and reasnable given

(a)

the complexity of

the cae, (b) the tie expended, (c) the natue and extent of

the servces

rendered, (d) the value of such servces, and (e) the cost of comparble servces other th in a
case under the Banptcy Code. Moreover, SRSM ha reviewed the requiments of DeL.

Ban. LR 2016-2 and the Admstrtive Order and believes tht ths Application complies
with such Rule and Order.

WHREFORE, SRSM respectfly request tht the Cour enter an order, in the form
attched hereto, providing that an inteni allowace be made to SRSM for the penod from
