FEE AUDITORS FINAL REPORT REGARDING INTERIM FEE APPLICATION OF PEPPER HAMILTON LLP FOR THE THIRD INTERIM PERIOD This is the final report of Warren H. Smith & Associates, P.C., acting in its capacity as fee auditor in the above-captioned bankruptcy proceedings, regarding the Fee Application of Pepper Hamilton LLP, for the Third Interim Period (the Application). BACKGROUND 1. Pepper Hamilton LLP (Pepper), was retained as counsel to the Official Committee

of Unsecured Creditors. In the Application, Pepper seeks approval of fees totaling $21,335.00, and costs totaling $1,097.80 for its services from September 1, 2009 through November 30, 2009 (the Application Period). 2. In conducting this audit and reaching the conclusions and recommendations

contained herein, we reviewed in detail the Application in its entirety, including each of the time and expense entries included in the exhibits to the Application, for compliance with Local Rule 2016-2 of the Local Rules of the United States Bankruptcy Court for the District of Delaware, Amended Effective February 1, 2010, and the United States Trustee Guidelines for Reviewing Applications for Compensation and Reimbursement of Expenses Filed Under 11 U.S.C. 330, Issued January 30, 1996 (the Guidelines), as well as for consistency with precedent established in the United States

Bankruptcy Court for the District of Delaware, the United States District Court for the District of Delaware, and the Third Circuit Court of Appeals. We served Pepper with an initial report based on our review and received a response from Pepper, portions of which response are quoted herein. DISCUSSION 3. 09/08/09 We noted the following meal charge which requires further explanation: CON Meals - URBAN CAF BOETTGER-BREAKFAST 8/27/09 $74.00

We asked Pepper to provide further explanation regarding this charge. Pepper responded as follows: We have no objection to the referenced meal expense being stricken from Peppers 3rd Interim award/reimbursement. We appreciate this response, and thus recommend a reduction of $74.00 in expenses. CONCLUSION 4. Thus, we recommend approval of $21,335.00 in fees and $1,023.80 ($1,097.80 minus

$74.00) in expenses for Peppers services for the Application Period.
