MOTION FOR AN ORDER AUTHORIZING THE DEBTORS TO ENTER INTO AN AMENDMENT AND NEW AGREEMENT WITH PRIMARY ENERGY The above-captioned debtors (collectively, the Debtors) hereby move the Court (the Motion) for the entry of an order, substantially in the form of Exhibit A, authorizing the Debtors to enter into an Amendment and New Agreement with Primary Energy (each as defined below). In support of this Motion, the Debtors respectfully state as follows:

Jurisdiction 1. The Court has jurisdiction over this matter pursuant to 28 U.S.C. 1334. This

matter is a core proceeding within the meaning of 28 U.S.C. 157 (b)(2). 2. 3. Venue is proper pursuant to 28 U.S.C. 1408 and 1409. The statutory basis for the relief requested herein is section 363 of the

Bankruptcy Code, 11 U.S.C. 101-1330 (the Bankruptcy Code). Background 4. On May 17, 2005 (the Petition Date), the Debtors filed their voluntary petitions

for relief under chapter 11 of the Bankruptcy Code. The Debtors are operating their businesses and managing their properties as debtors in possession pursuant to sections 1107(a) and 1108 of the Bankruptcy Code. No trustee or examiner has been appointed in these cases. On the Petition Date, the Court entered an order jointly administering these cases pursuant to Rule 1015(b) of the Federal Rules of Bankruptcy Procedure. 5. On May 24, 2005, the United States trustee appointed an official committee of

unsecured creditors (the Committee) pursuant to section 1102 of the Bankruptcy Code. 6. The Debtors and their non-debtor affiliates are leading global suppliers of

automotive components, systems and modules to all of the worlds largest vehicle manufacturers, including DaimlerChrysler AG, Ford Motor Company, General Motors Corporation, Honda Motor Company, Inc., Nissan Motor Company Unlimited, Porsche Cars GB, Renault Crateur DAutomobiles, Toyota SA and Volkswagen AG. Steam Contract 7. The Debtors operate a number of manufacturing plants throughout the United

States. The Debtors have utility needs in each of these plants based upon the manufacturing processes in such plants. In their plant located at 1803 N. Main Street, Roxboro, North Carolina, 2

the Debtors use steam as part of the manufacturing process. Before the Petition Date, the Debtors entered into a Steam Purchase Contract with a predecessor to Primary Energy of North Carolina LLC (Primary Energy) dated December 31, 1985, whereby Primary Energy provided steam to the Debtors for the term of the contract (as amended, the Original Agreement). 8. On December 23, 2005, the Debtors and Primary Energy entered into an

amendment to the Original Agreement to revise the provisions of the Original Agreement (the Amendment, attached hereto as Exhibit B). 9. (a) The material terms of the Amendment are as follows:3 Starting January 1, 2006, Primary Energy will not provide the Debtors with compressed air, and Primary Energy will continue to provide the Debtors with steam. Starting January 1, 2006, the cost of steam will be set at a fixed rate rather then determined based on the formula set forth in the Original Agreement. Primary Energy will provide a credit to the Debtors in the amount of $50,000 to be applied in twelve equal monthly amounts. Additionally, the Debtors and Primary Energy executed a new Steam Purchase

(a) The material terms of the New Agreement are as follows:5 Primary Energy agrees to supply and the Debtors commit to purchase certain levels of steam (as set forth in the New Agreement) generated by

Primary Energys equipment at a price to be calculated based on the provisions of the New Agreement. (b) The term of the New Agreement is from September 1, 2007 through August 31, 2017, but the Debtors obligations under the New Agreement terminate if the Debtors dying operations cease at the Roxboro, North Carolina plant upon six months notice to Primary Energy. Entering into the Amendment and the New Agreement is a sound business

decision. Primary Energy provides steam to the Debtors. The steam is produced with equipment owned by Primary Energy located at the Debtors plant and distributed through the plant through extensive piping designed to carry steam. Before agreeing to the Amendment and the New Agreement, the Debtors explored alternative suppliers and considered building their own steam generation facility. If the Debtors were to pursue an alternative to Primary Energy, they would have to contract with that alternative supplier in the near term so that the proper infrastructure could be constructed, at significant costs, in time to replace Primary Energy when the Original Agreement expires. Moreover, because pursuing an alternative supplier is time- and capital-intensive, the Debtors lose leverage in their negotiations with Primary Energy as the expiration of the Original Agreement gets closer. Building their own steam generating facility would require significant capital expenditures by the Debtors for assets that likely would not be marketable if the Debtors later choose to exercise their bankruptcy rights and exit the Roxboro, North Carolina plant. 13. Knowing that the Debtors are entering into a contract now for steam that will not

be delivered until September 1, 2007, the Debtors required the New Agreement to include a provision that their obligations terminate if the Debtors dying operations cease at the plant that is the subject of the New Agreement. Specifically, Paragraph 8 states: Buyers obligations under this Agreement will terminate if Buyers dying operations permanently cease at Buyers Plant (the Permanent Plant Shutdown). Upon at least six (6) months written notice by Buyer 4

to Company of a Permanent Plant Shutdown, Buyer will be relieved of all supply obligations. See New Agreement at 8. Even in the unlikely situation that the Debtors operations

permanently ceased and the Debtors could not provide six months written notice of the shutdown, the savings provided by the Amendment and the Debtors not having to invest with an alternative supplier would exceed the damages from breaching the provision. 14. Though Primary Energy agreed to enter into the Amendment and the

New Agreement, Primary Energys willingness to enter into such agreements is subject to the Debtors obtaining an order of the Court authorizing the Debtors to enter into the Amendment and the New Agreement no later than 75 days after the Amendment and New Agreement were executed. Relief Requested 15. The Debtors believe that entering into the Amendment and the New Agreement

with Primary Energy is in the ordinary course of business and, therefore, they are authorized to enter into the Amendment and the New Agreement under section 363(c) of the Bankruptcy Code without seeking the approval of the Court. However, because parties in interest may oppose this view, Primary Energy has stated that it will not enter into the Amendment and the New Agreement with the Debtors unless the Debtors obtain Court authority to enter into the agreements. If Primary Energy were to refuse to enter into the agreements, the Debtors would be left with a less satisfactory and more expensive alternative. Consequently, the Debtors

respectfully seek authorization as set forth in the Motion to enter into and approval of the Amendment and the New Agreement with Primary Energy. Basis for Relief 16. Section 363(b)(1) provides that [t]he trustee, after notice and a hearing, may use,

sell, or lease, other than in the ordinary course of business, property of the estate. 5

11 U.S.C. 363(b)(1). Courts within the Sixth Circuit have held that transactions should be approved under section 363 of the Bankruptcy Code when they are supported by sound business judgment. See, e.g., Stephens Indus., Inc. v. McClung, 789 F.2d 386, 390 (6th Cir. 1986) (concluding that a court can authorize a sale of a Debtors assets when a sound business purpose dictates such action.); In re Embrace Sys. Corp., 178 B.R. 112, 124 (Bankr. W.D. Mich. 1995); see also In re North American Royalties, Inc., 276 B.R. 860, 866 (Bankr. E.D. Tenn. 2002). 17. The Debtors entry into the Amendment and the New Agreement with

Primary Energy is supported by sound business judgment. Continued supply of steam (or an alternative to steam) is essential to the continuation of the Debtors businesses at their plant in Roxboro, North Carolina. The Debtors investigated a number of alternatives. Among the proposals, Primary Energys was the most beneficial to the Debtors and their estates. 18. Moreover, Primary Energy has installed a significant amount of infrastructure to

deliver steam under the Original Agreement that will be used for delivering steam under the New Agreement. The Debtors would have to invest a significant amount of money for new infrastructure if they were to pursue an alternative source to replace Primary Energy, making the New Agreement significantly less expensive and more convenient than the alternatives. 19. Without the Amendment, the Debtors will spend more money on utilities.

Without the New Agreement, the Debtors would be compelled to either attempt to pursue proposals from other providers at greater cost or shut the plant in Roxboro, North Carolina and suffer a significant loss of revenue and increase in claims. This would entail significant

additional costs to the Debtors estates and, moreover, would divert the Debtors attention from effectuating a successful reorganization. To prevent this, and to allow the Debtors the best

opportunity to successfully reorganize, the Debtors respectfully request that the Court grant authority and approval of the Amendment and the New Agreement. 20. Finally, the New Agreement includes a provision that the Debtors obligations

terminate upon six months written notice if the Debtors dying operations permanently cease. This provides the Debtors with flexibility in the event their operations cease as a result of the Debtors restructuring or otherwise. Notice 21. Notice of this Motion has been given to the Core Group, the Primary Service List

and Primary Energy as required by the Case Management Procedures.6 In light of the nature of the relief requested, the Debtors submit that no further notice is required. No Prior Request 22. court. No prior motion for the relief requested herein has been made to this or any other
