Jurisdiction 1. This Court has jurisdiction over this matter pursuant to 28 U.S.C. 1334. This
matter is a core proceeding within the meaning of 28 U.S.C. 157(b)(2). 2. 3. Venue is proper pursuant to 28 U.S.C. 1408 and 1409. The statutory bases for the relief requested herein are Rules 9006 and 9007 of the
Federal Rules of Bankruptcy Procedure (the Bankruptcy Rules) and Rule 9006-1(b) of the Local Rules of the United States Bankruptcy Court, Eastern District of Michigan. Background 4. for relief On May 17, 2005 (the Petition Date), the Debtors filed their voluntary petitions under chapter 11 of the Bankruptcy Code, 11 U.S.C. 101-1330
properties as debtors in possession pursuant to sections 1107(a) and 1108 of the Bankruptcy Code. No trustee or examiner has been appointed in these cases. On the
Petition Date, the Court entered an order jointly administering these cases pursuant to Bankruptcy Rule 1015(b). 5. On May 24, 2005, the United States trustee appointed an official committee of
unsecured creditors pursuant to section 1102 of the Bankruptcy Code. 6. Contemporaneously with the filing of this Ex Parte Motion, the Debtors filed the
Assumption Motion, seeking Court authority to, among other things, assume the Owosso Lease and assign the Owosso Lease to S-Group. Relief Requested 7. The Debtors request that, pursuant to Bankruptcy Rule 9006(c) and
Local Rule 9006-1(b), the Court shorten the notice period for objecting or otherwise responding to the Assumption Motion to February 13, 2007 at 4:00 p.m. prevailing Eastern Time and 2
K&E 11614256.3
schedule the Assumption Motion to be heard at the omnibus hearing on February 15, 2007 at 2:00 p.m. prevailing Eastern Time or as soon thereafter as counsel may be heard. Basis for Relief 8. Contemporaneously with the filing of this Ex Parte Motion and the Assumption
Motion, the Debtors filed a Notice of Sale of De Minimis Assets to S-Group Automotive, Ltd. Served on February 5, 2007 (the S-Group Notice), wherein, the Debtors seek approval for entry into the Owosso Purchase Agreement. Pursuant to the Owosso Purchase Agreement, the Debtors will receive in excess of $700,000 in cash to distribute to creditors pursuant to the Debtors chapter 11 plan. However, a condition precedent to the Owosso Purchase Agreement is that the Debtors must assume the Owosso Lease and assign it to S-Group. The buyer and the Debtors wish to close this sale as soon as practicable to provide certainty to several parties regarding various aspects of this sale and comfort to the Debtors customers. Accordingly, the Debtors are now moving for approval of the assumption and assignment of the Owosso Lease, on an expedited basis, to ensure that the Debtors are able to, among other things, receive the benefits of the Owosso Purchase Agreement. 9. Pursuant to Bankruptcy Rule 9007, the Court has authority to regulate the time
within which, the entities to whom and the form and matter in which, notice shall be given, which includes the authority to determine appropriate notice for conducting a hearing on the matters presented by the Assumption Motion. 10. For the reasons set forth above and in the Assumption Motion, good and sufficient
cause exists to consider the Assumption Motion on an expedited basis as set forth herein.

K&E 11614256.3
