REQUEST FOR PAYMENT OF ADMINISTRATIVE EXPENSE 1. The requesting party is Shawmut Corporation of West Bridgewater, Massachusetts (Shawmut). 2. Shawmut is the tenant of space located at 9900 Railroad Drive, El Paso, Texas (the El Paso Premises), under a lease with landlord Verde 9900 Railroad Drive L.P. (the Lease). The monthly rent under the Lease is $20,332.05 (the Rent). 3. The El Paso Premises are in the same building and adjacent to premises formerly leased by debtor Southwest Laminates, Inc. (SWL; the SWL Lease). 4. Shawmut vacated the El Paso Premises but continued to pay rent under the Lease. 5. In connection with the sale of certain assets to SW Foam, L.P., SWL rejected the SWL Lease in or about August 2006. 6. Shawmut learned, in the course of a recent unannounced visit to the El Paso Premises, that debtor Southwest Laminates, Inc. (SWL), without request, notice, or permission, was occupying the El Paso Premises, using it to store fabric, which, upon information and belief, Debtor is required to retain in order to support so-called obsolescence claims against General

Motors. On information and belief, SWL was holding large quantities of fabric in mid-2006 in connection with substantial obsolescence claims and did not have adequate space in its own premises to store both inventory for ongoing operations and the fabric supplies related to obsolescence claims. 7. On information and belief, SWLs solution was to move the obsolete fabric into the adjacent El Paso Premises leased by Shawmut. Upon further inquiry, Shawmut learned that SWLs occupancy of the El Paso Premises had begun in or about June 2006 and had continued without interruption from that date. SWLs rejection of the SWL Lease later in August 2006 only made its lack-of-space problem more acute. 8. On information and belief, SWL vacated the El Paso Premises as of June 29, 2007. 9. Shawmut is entitled to and hereby requests payment from SWL as an administrative expense of fair value for SWLs use and occupancy of the El Paso Premises for at least 12 months. The Rent represents the fair value due to Shawmut for each month that SWL used and occupied the El Paso Premises. WHEREFORE, Shawmut requests that the Court grant Shawmut, in the form attached hereto as Exhibit A, (a) an allowed administrative expense claim in the amount of $20,332.05 for each month that SWL used and occupied the El Paso Premises, which for 12 months is the amount of not less than $243,984.60, (b) in the event SWL was, or remains in possession of the El Paso Premises for greater than 12 months, an allowed administrative expense claim of $20,332.05 for each additional month SWL is in possession of the El Paso Premises, and (c) such other and further relief as may be just.

This matter is presented upon Shawmut Corporations Request for Payment of Administrative Expense. Notice was sent to all parties in interest and no objections have been filed. The Court finds good cause for entry of this Order and is otherwise fully advised in the premises; NOW THEREFORE; IT IS HEREBY ORDERED that Shawmut Corporation (Shawmut) is allowed an administrative expense claim against debtor Southwest Laminates, Inc. (Debtor) in the amount of not less than $243,984.60, which amount consists of the $20,332.05 due Shawmut for each of the 12 months that Debtor used and occupied Shawmuts leased premises located at 9900 Railroad Drive, El Paso, Texas (the El Paso Premises). IT IS FURTHER ORDERED THAT in the event Debtor was, or remains in possession of the El Paso Premises for greater than 12 months, Shawmut shall be allowed an administrative expense claim of $20,332.05 for each additional month Debtor is in possession of the El Paso Premises.
