TO THE COLLINS & AIKMAN LITIGATION TRUSTS SEVENTY-THIRD OMNIBUS OBJECTION TO CLAIMS (INSUFFICIENT BOOKS AND RECORDS) ORIX Commercial Finance, LLC (formerly known as ORIX Structured Finance, LLC) as successor in interest to ORIX Financial Services, Inc. (ORIX), by and through its undersigned counsel, hereby submits its response to the Collins & Aikman Litigation Trusts Seventy-Third Omnibus Objection to Claims (Insufficient Books and RecordsDocket No. 9844) (the Objection) as it relates to proof of claim identified by Debtors as claim number 7665 (the Claim), and states as follows:

On or about May 17, 2005 (the Petition Date) each of the Debtors filed
voluntary petitions under filed petitions for relief under chapter 11 of title 11 of the United States Code, 11 U.S.C. 101-1330 (the Bankruptcy Code), thereby commencing the above captioned cases. 2. ORIX included documentation for its Claim that would allow Debtors the ability
to fully and properly investigate each claim. The Claim is for lease rejection damages; ORIX provided a copy of all relevant leases, schedules, tax bills, etc. (even though Debtors would already have had copies of same), as well as the method upon which the lease damage calculation was made (based upon the terms contained in the Master Lease Agreement). 3. The Objection provided no evidentiary basis for disallowance of the Claim but
rather indicated that the Claim could not be reconciled to Debtors books and records. Naturally, the Debtors books and records would not typically identify lease rejection damage claims. 4. Further, Rule 3003(c)(4) of the Federal Rules of Bankruptcy Procedure
(Bankruptcy Rules) states, a proof of claim or interest executed and filed accordance with this subdivision shall supersede any scheduling of that claim or interest pursuant to 521(1) of the Bankruptcy Code. 5. Under Rule 3001(f) of the Bankruptcy Rules, [a] proof of claim executed and
filed in accordance with these rules shall constitute prima facie evidence of the validity of the amount of the claim. 6. Therefore, according to Rule 3001(f) of the Bankruptcy Rules, Debtors have the
burden of producing evidence rebutting the prima facie validity of ORIXs Claim. 7. Under Bankruptcy Code 502 (b) there are nine enumerated bases for objecting
to a claim. Under 502(a) a claim not the subject of a proper objection is deemed allowed.

Section 502(b) provides an exclusive list of grounds for objection. See, e.g., B-
Line, LLC v. Kirkland (In re Kirkland), 379 B.R. 341, 344 (B.A.P. 10th Cir. 2007). Lack of support in the debtors books and records to justify payment of the claim is not among the nine enumerated bases for objecting to a claim. See 11 U.S.C. 502(b)(1) (9). 9. The Trust holds the burden of rebutting the prima facie validity of the Claim. An
objection to a proof of claim must be supported by substantial evidence, In re: Hemingway Transp., 993 F.2d 915 (1st. Cir. 1993) (noting that the objection to proof of claim must be supported by substantial evidence.). The Trust has offered no evidence to rebut the claim, let alone substantial evidence. 10. ORIX has offered to provide, and has provided the Debtors with all
documentation to support their claim. ORIX also agrees that it will credit the Debtors for any amount paid by the Debtors post-petition pursuant to the leases and for any amount recovered as a result of the sale of the equipment subject to the Master Lease Agreement. 11. The Debtors have offered no evidence in support of the objection to the Claim
asserted by ORIX. 12. Objection. 13. WHEREFORE, ORIX respectfully requests that this Court (i) overrule the ORIX reserves the right to amend and/or supplement this response to the
Objection to the extent that the Objection relates to ORIXs Claim, (ii) grant it all of its attorneys fees, and (iii) grant all other just and proper relief.
