INTRODUCTION

Company intends to appoint specialist EPCI Contractor to perform the Basic & Detailed Engineering, as well as procurement and fabrication, installation, precommissioning & commissioning of: * Topside facilities of three offshore wellhead platforms * Infield pipe lines * Two rounds submarine composite Cable (power, Control, fibre optic) offshore to onshore facilities. The brief of scope of works is presented on part B.
CONTRACT REQUIREMENTS EPCI Tender Packages This Project Documentation will also include COMPANY's standards, codes and procedures to be followed by the EPCI Contractor(s). The EPCI Contractor(s) appointed by COMPANY shall be responsible for engineering and design, procurement and supply of equipment and materials, construction, commissioning and training for the Project. The EPCI Contractor(s) will be expected to maximise Local participation in this Project. The EPCI Contractor(s) scope will be further defined in the Project Documentation to be issued as part of the ITB (Instruction to Bidders). The intention of COMPANY is to execute the project through discrete EPCI packages. COMPANY is now at the stage of pre-qualifying EPCI contractors for the EPCI packages. The work will be awarded, on a Lump Sum Turn Key basis covering the total scope, inclusive of all taxes, levies and duties. The selected contractor shall be required to guarantee the quality of the completed EPCI Package, including all process and mechanical guarantees and utility consumption guarantees, with a Defects Liability Period of twelve (12) months from completion of commissioning and demonstration of plant performance. The contractor will be required to obtain corresponding guarantees from the suppliers of major equipment and assign these to COMPANY as appropriate. The selected contractor will be required to provide guarantees, warranties, parent company guarantees, confidentiality agreements and other securities as may be necessary. The contract will include a requirement to complete the work within the agreed schedule.

COMPANY is willing to consider bids from joint ventures or consortia, provided that these demonstrate clear advantages for COMPANY by making available appropriate combinations of experience and resources. One International company to be designated as leader of any such joint venture / consortium with minimum share of 25%. In such an event, partners will be required to undertake joint and several liability for successful completion of the complete scope of work. If the selected contractor (or any member of a joint venture / consortium) is a subsidiary of, or is controlled by another company, a parent company guarantee will be required for due performance by such contracting entity. The Bidders, whether successful or unsuccessful, will be responsible for all costs associated with preparing and submitting their bids and any follow-up activities leading to EPCI Contract award. Detailed requirements for the execution of the work will be contained in the Project Documentation to be issued as part of the Invitation to Bid. These will include project execution procedures, codes and standards.

SUBMISSION OF PREQUALIFICATION INFORMATION Prequalification Submission Companies which are interested in qualifying to receive the Invitation to Bid for the EPCI Package should submit Prequalification Proposals, as described below, together with information identified in Section 4 for each of the EPCI Tender Package Prequalification Enquiry Documents they have requested. Bidders are requested to provide only the relevant information, in a consistent format that will enable COMPANY to easily evaluate the submission against the stated criteria. Evaluation Of Prequalification Proposals COMPANY will expect short-listed contractors to demonstrate a satisfactory corporate and financial status to execute a contract for the EPCI Packages having appropriate experience and capability for execution of the EPCI Package(s) of this size,. Relevant experience and capability factors include: i) Proven ability in undertaking major international projects on a Lump Sum Turn Key basis compatible with the value of this EPCI Tender Package. Proven ability in undertaking the complete Engineering, Procurement, including international procurement Construction, Commissioning and Training for the EPCI Tender Packages for which the bidder is seeking to Prequalify. Proven experience of construction of major projects in countries world-wide preferably in The Middle East, including in Iran. Proven experience in providing project financing. Appropriate systems to ensure quality and safety in all aspects of work.

Adequate resources for the EPCI Package, including total numbers of technical personnel, adequate staffing in the relevant specialist disciplines and adequate numbers of available personnel taking in account projected workload on other projects. In addition, COMPANY will expect any proposals from consortia or other joint operations to demonstrate: i) A clear plan to make the combined resources and experience of the member companies available to the EPCI Tender Package. An execution plan with a clearly defined split of work between the companies with each handling a scope appropriate to their capabilities and experience. Coordination procedures which will promote effective collaboration on the work. Overall project management by a single party which has proven experience in management of major international projects.

It is an express condition of the issue of this Prequalification Enquiry and consideration of any Prequalification Proposal submitted that the evaluation and selection of such Proposals shall be made entirely at the discretion of COMPANY. COMPANY shall have no obligation to consider any such Prequalification Proposal or to issue any Invitation to Bid to any entity submitting such proposal, nor to give any reasons (whether published or privately) for the acceptance or rejection of any Prequalification Proposal. COMPANY will not be obliged to enter into any correspondence on this subject. Potential contractors should note that Invitation to Bid documents will be issued only to the contracting entity named in the applicable Prequalification Proposal and that COMPANY reserves the right to reject bids which are submitted in any other name.

ATTACHMENT Prequalification Questionnaire As stated in, General Information Section 1 (Introduction), we are considering inviting you to tender for works on a specific project, and would ask you to complete this Prequalification Questionnaire. The purpose of this questionnaire is to obtain information and/or update the information on your company contained in our register of potential contractors and to establish your present capability and willingness to tender for, and perform the proposed works in this EPCI Tender Package. The description and other details of the Project, and of the works for which you may be considered, are to be regarded as strictly confidential and not to be divulged by you without the specific written permission of COMPANY. This information is given to you without any commitment whatsoever, and will in no way form a part of any future contract, or affect the making of such a contract. Would you please ensure that you sign the declaration on page 24, whether or not you are willing to tender, and return the whole of this document as part of your submission. In the event that you do not wish to complete this questionnaire please return it to us having signed the declaration on page 24.

GUIDANCE NOTES FOR COMPLETION OF THE QUESTIONNAIRE This questionnaire is designed to be completed either by way of typed or hand written answers. Where required, the responding contractor shall submit information on separate sheets attached to the completed pro-forma. Furthermore, in the event that insufficient space is available for the answers within the pro-forma, or when the respondent wishes to provide additional information, separate attachments may also be included. The respondent is advised, however, that the format of the questionnaire is such that the information given can be transferred readily to COMPANY PC based Registry database: the submission of extensive material in addition to that specifically requested may result in delay to the processing of the potential contractor's responses.

PREFERENCE FOR IRANIAN GOODS AND SERVICES The successful bidder (Contractor) shall contract with Iranian firms for the provision of at least fifty one percent (51%) of the Contract Price, in compliance with the laws of the Islamic Republic of Iran concerning minimum local content of products and services provided under the Contract. In the acquisition of services, equipment and suppliers as above, preference shall be given to services furnished, and articles made or produced in the Islamic Republic of Iran, provided that the said services and articles as compared to similar services and articles of foreign origin can be acquired on equally advantageous conditions with due regard to their quality, quantities required, period of delivery, and the suitability for the purposes for which they are intended.
