CHESTERFIELD VILLAGE HOMEOWNERS ASSOCIATION, INC.

Minutes of the Board of Directors Meeting The Board of Directors of Chesterfield Village Homeowners Association, Inc., a Missouri non-profit corporation, held a meeting at the Chesterfield Village Homeowners Association Clubhouse in Springfield, Missouri on January 7, 2013 at 7:00 p.m., pursuant to the notice published in the newsletter. The following board members were present: Melissa Wittmer (President), Jennifer Choi (Treasurer), Edd Liniger (Neighborhood Watch), and Bob Sheldon (pool).

A. Secretarys Report Minutes from November 2012 meeting and from the December 2012 annual membership meeting were distributed and read. A motion was made (Bob Sheldon), seconded (Edd Liniger) and passed to accept the minutes. B. Treasurers Report Treasurer Jennifer Choi reported on the following changes that were made since the December 10, 2012 meeting: Money Out $529.86, $65.55, and $99.95 to City Utilities $94.52 to ATT $1653.43 to Pool Loan $4000 to annual Trash Payment $38.73 for printing Money In $23.60 interest $26,236 in dues Transfers $300 from main checking to petty cash account Current Assets: $186,031.35 Also, the CD at Bancorp is up for renewal in June. Currently earns .15% interest. The HOA liability insurance was also renewed. Jennifer Choi conducted a policy review last year and determined that the current policy provides excellent coverage at the best rates. Property on West Winchester didnt pay dues until July of 2012. Treasurer was contacted by fidelity title who will pay all late fees. Jennifer Choi wanted to know how to manage accounts where the homeowner paid the annual dues without paying late fees. The Board suggested she send a cover letter with a new invoice that explains the charges and penalties for nonpayment. Since it costs about $75 to file a lien, the Board decided to wait until summer to file liens on homes for nonpayment of HOA dues. Edd Liniger made a motion to re-invoice in the summer. Bob Sheldon seconded the motion. Motion passed. Treasurer Choi proposed to purchase a software upgrade from 2007 to 2013 for the QuickBooks program she uses to track finances. The new program is on sale for $199 and offers features that will save time like batch invoicing, create email estimates, invoices and reports and the ability to download Page 1 of 2

transactions from the financial institution. Bob Sheldon made a motion to purchase the upgrade. Edd Liniger seconded the motion. The motion passed. C. Clubhouse No news to report. D. Architectural Control No news to report. E. Neighborhood Watch Edd Liniger proposed to purchase No Solicitation signs. He offered to install all signs at all entrances. Treasurer Choi found signs available at $12.99 each for no shipping. Bob Sheldon made a motion to purchase 10 signs at $12.99 each. Edd Liniger seconded the motion. Motion passed. F. Pool Gary Weaver with All Brite Pools is scheduled for surgery in January. Bob Sheldon will contact Mr. Weaver towards the end of January to get an update on pool construction and maintenance. The Board suggested that demolition of the pool deck start in March. Pool passes will need to be reprogrammed. Atlas Security can reprogram the passes if we collect them. The Board decided to collect passes in March. Edd Liniger will organize a Block Captain meeting in March to discuss the process. G. Tennis Courts Bob Sheldon noticed that there are cracks in the tennis courts and damage to the nets. He will contact Cooper to repair the cracks and the nets. H. New Business and updates on Old Business NO new business.

Jennifer Choi made a motion to adjourn the meeting. Edd Liniger seconded the motion. Motion carried and the meeting adjourned.
