Since you are at the beginning of your professional career, it is important to know the guidelines pertaining to the CS Course. You are advised to carefully go through the ensuing paragraphs which gives all the important guidelines. Once you go through the guidelines, you will be better equipped to comply with the procedural requirements and plan your studies in an efficient manner. STUDY MATERIAL AND TEST PAPERS The study materials and test papers pertaining to the following subjects of Executive Programme will be sent to you by post in case the same has not been issued by the Regional / Chapter Office of the Institute where you may have submitted your registration application. The number of study lessons and the contents thereof are given at the beginning of each study material. You may please check the contents of the packet and immediately bring to our notice, discrepancies, if any including short supply, missing lessons, etc. The Study Materials sent by post bears the application number and/ or registration number. Student Registration number as mentioned on Registration Letter should invariably be quoted in all communications you have with the Institute including submission of response sheets to the test papers appended at the end of each study material. All the study materials have been prepared incorporating as far as possible; the latest amendments that have taken place upto the date of bringing out the study material. Detailed course content for each subject have been given at the beginning of each study material. Lists of suggested readings and books for reference have also been given for the benefit of students. Some of the law subjects undergo changes either by legislative amendments or through Rules, Notification, etc. issued from time to time. It is, therefore, essential for every student to keep his knowledge updated and this purpose students should refer to various judgements, orders, rules, guidance notes, etc. that may be published from time to time either in the Institutes monthly journal Chartered Secretary or in the Student Company Secretary Bulletin. It has been our endeavour to prepare the best possible study materials, still there could be scope for further improvement. The Study materials supplied to you are fairly exhaustive and also contains the necessary orientation and exposure expected of the students. SELF-TEST QUESTIONS At the end of some of the lessons, you may find Self-Test Questions relating to the subject discussed therein. These are meant for recapitulation only. Answers to Self-Test Questions need not be submitted to the Institute for evaluation. COMPULSORY POSTAL TUITION & SUBMISSION OF ANSWERS (RESPONSE SHEETS) TO TEST PAPERS Each study material contains five test papers. Students are required to submit only one response sheet (out of three compulsory test papers appended at the end of each study material) per subject for the respective module he/ she intends to appear in the CS Examinations. Required number of response sheets to the test papers may be sent to the Institute at the address noted above. If your performance is found satisfactory in all the response sheets i.e. you have secured a minimum 40% marks in each paper, you shall be isused the Coaching Completion Certificate on the basis of which you will be entitled to enroll yourself for the particular module(s) of the CS Executive Programme examination subject to fulfilling the other requirements laid down under Company Secretaries Regulations, 1982. You must attempt the required number of questions after thorough preparation and, as far as possible, under examination conditions without referring to books or notes. If you do not answer the required number of questions and/ or fail to secure a minimum of 40% marks, you will be required to rewrite the response sheet to the particular test paper(s). You are required to resubmit all those response sheets in which you secure less than 40% marks. Student are advised not to resort to copying or submit response sheets written by other persons as no credit is given for such response sheets. Besides, suitable action may be taken against those indulging in such malpractices. Answers to test papers should be written in English or Hindi, at your option, on foolscap sheets of approximately 13X8 size. Please begin each answer on a fresh page, indicating at its right hand top your admission number, to facilitate evaluation by examiner. Though a student is allowed to answer the test paper in Hindi medium, study material is available in English only. TITLE SHEETS AND WRAPPERS A set of title sheets and wrappers is being sent to the students alongwith the study materials. The format of title sheet is also available on the Institutes website www.icsi.edu . The title sheet is required to be clipped to the response sheets as the first cover and wrapper may be used for wrapping the response sheets in the form of a roll. Adequate postage must be affixed before dispatch. You are requested to follow strictly the instructions for submission of response sheets/ test papers. Please write you full name, complete address with pin code number, admission number, subject, complete test paper number, etc. while submitting the response sheets for evaluation. In case the title sheets/ wrappers fall short or have not been received along with the study material, do not delay sending of answers to test papers (response sheets) on that ground. To avoid delay, you may send the response sheets, indicating at the first page, your admission number, full name, mailing address, subject, test paper number, etc. and the response sheets may be sent in an envelope to the Institute. Always make it a point to mention the subject as well as Test Paper denomination and complete postal address correctly with pin code. POSTING OF RESPONSE SHEETS Students are advised to get acknowledgement from the Institute for response sheets sent, by attaching a selfaddressed stamped post card with admission number and full details of response sheets, i.e. subject, test paper number mentioned therein. You may send a reminder if no acknowledgements are received within 45 days from the date of dispatch of response sheets. Credit is given only for the response sheets received in the Institute and not for the response sheets lost in transit. Students may check the status of response sheets at the Student Portal www.icsi.in Students located in and around New Delhi, Kolkata, Chennai, Mumbai, Bengaluru and Hyderabad may submit the response sheets to the respective Regional / Chapter Office(s) of the Institute also. LAST DATE FOR RECEIPT OF RESPONSE SHEETS The last date for receipt of response sheets including resubmission in the Institute from the students who wish to be considered for enrollment for the examination to be held in June/ December is 28th February / 31st August respectively. These dates have been fixed keeping in view the enrollment dates of examination and thus no request for extension of time beyond the stipulated dates, will be entertained.

You may please note that response sheets are to be sent to the Institute pinned separately in regular flow without waiting for the last date. Last date mentioned above is just an indicator for students to suitably plan their studies under postal tuition. It is advisable to complete the coaching as quickly as possible and send the last response sheet including resubmission, if any, so as to reach the Institute on or before the last date mentioned in the preceding para. This will give the Institute a reasonable period to get the response sheets evaluated in time. Students may also note that mere submission of response sheets by stipulated date will not entitle him/ her to claim as a matter of right, permission for appearing in the examination. Admission to the examination subject to all the conditions that are required to be satisfied under the Company Secretaries Regulations, 1982 is contingent upon clearance given by the Institute regarding completion of coaching. Coaching Completion Certificates are issued only to those students whose performance in all the response sheets including resubmissions, if any, is found satisfactory. Therefore, you must keep adequate time in hand in respect of resubmission of answer paper and their assessment, since the last date as mentioned has been fixed both for fresh submission as well as resubmission of answer papers. COACHING FOR THE CS FOUNDATION PROGRAMME EXAMINATION FOR NON-COMMERCE STUDENTS Pursuant to proviso to regulation 38, non-commerce students exempted from passing the Foundation Programme examination under clause (iii) are required to undergo coaching for those subjects of the Foundation examination, which they had not studied at the graduate/ post graduate level, before becoming eligible for undergoing coaching for the CS Executive Programme. Non-Commerce Students who are required to undergo coaching for the Foundation Examination should, therefore, submit response sheets to test papers of the Foundation Programme Examination before commencing their coaching for the CS Executive Programme examination. They should submit response sheets for the Foundation Programme subjects as early as possible but in any case latest by 15th January/ 15th July so that they may have adequate time to submit/ resubmit response sheets for the CS Executive Programme examination so as to reach the Institute latest by 28th February/ 31st August for being considered for admission to the CS Executive Programme examination to be held in June/ December respectively. Such students should start submitting response sheets for the CS Executive Programme immediately after they have submitted/ resubmitted all the response sheets for the Foundation Programme subjects. They will, however, be issued coaching completion certificates for the CS Executive Programme examination only after the coaching completion certificate for the Foundation Programme subjects has been issued to them. STUDENT INDUCTION PROGRAMME Every candidate registered for Executive Programme are compulsorily required to undergo Seven days Student Induction Programme (SIP) within six months of registration. Students may contact the nearest Regional/ Chapter Office for enrollment to Student Induction Programme. COMPULSORY COMPUTER TRAINING In terms of the amendment to Regulation 40 of the Company Secretaries Regulations, 1982, all the Executive Programme students are required to successfully undergo Compulsory Computer Training for becoming eligible for appearing in the C Executive Programme examination. The Institute, in compliance of the aforesaid amendments, has tied up with M/s. Aptech through which 70 hours of computer training shall be provided to the students of the Institute in all centres of Aptech all over the country. To undergo this course, a student has to approach APTECH centre on al India basis. To take admission, he/ she has to deposit the requisite fees at the respective APTECH centre and fulfill the formalities as per the requirements of the Computer Training Centre. The list of APTECH Centres including detailed course contents, module details and topic-wise duration, etc. have been published on the website of the ICSI i.e. www.icsi.edu A student shall be exempted from undergoing the course on the basis of the following criteria : 1. He/ She has the requisite knowledge of the areas/ topics covered in the computer training; and 2. He/ She enrolls himself/ herself for an online exemption test to be conducted by Sify Softwares Ltd. at any of the SIFY Centre on all India basis and successfully clears the test.

STUDY MATERIAL FOR THE CS FOUNDATION PROGRAMME FOR COMMERCE STUDENTS The study material for the Foundation Programme has been prepared with utmost care and it is strongly felt that every student undertaking the Company Secretaryship Programme Course should read it before he starts preparing the papers forming part of the CS Executive Programme Examination. It would provide the necessary link and exposure expected from students pursuing the Company Secretaryship Programme Course. Commerce Students are, therefore, advised to purchase the study material by paying the requisite amount. COACHING COMPLETION CERTIFICATE Coaching Completion Certificate for Executive Programme is issued module-wise and the students may submit the response sheets for the papers of the particulars module(s) in which they intend to appear in the CS Examinations. SUGGESTED ANSWERS Suggested answers to the test papers are supplied to the students after satisfactory completion of coaching in all the subjects concerned. QUOTING REGISTRATION NUMBER IN ALL CORRESPONDENCE While writing to the Institute, you must quote your registration number and complete correspondence address with pin code number. Letters or response sheets not bearing the student registration number will not be attended to. NINE MONTHS CRITERIA Students desiring to appear at an examination must have got themselves registered atleast nine calendar months prior to the month in which the examination commences, besides fulfilling other requirements laid down under the regulations. In other words, students registered upto and including the month of August in a year will be eligible for appearing in the examinations in both modules in June session next year. Similarly students registered upto and including the month of February will be eligible for appearing in the examinations in both modules in December session of the same year. However, a student may be allowed to appear in one module of CS Executive Programme examination, if he is registered as a student atleast for a perioid of six calendar months prior to the month in which the examination commences, subject to the completion of coaching for the module he/ she intends to appear. Accordingly, students registered upto and including May/ November in a year can appear in one module of CS Executive Programme held in December/ June next, respectively. ORAL TUITION The Regional Councils and some of the Chapters of the Institute have been conducting oral tuition classes for the benefit of students. The oral tuition is optional and an additional facility. Students opting to undergo oral coaching are exempted from submitting response sheets under the Compulsory Postal tuition Scheme. The postal coaching material and test papers are sent to all students on their registration to Executive Programme. There will, however, be no remission in postal tuition fee in case a student opts to undergo oral tuition. Students who desire to join oral coaching classes may contact the respective Regional / Chapter Office of the Institute for enrolling themselves for oral tuition classes. Apart from the Oral Coaching Centres managed by the Regional and Chapter Offices of the Institute, the Institute has authorized certain outside institutions under Public Private Partnership Scheme to conduct Oral Coaching classes on behalf of the Institute. A list of such centres can be seen on the website of the Institute viz. www.icsi.edu E-LEARNING (http://elearning.icsi.edu) In order to facilitate students, e-learning portal is also available for the Company Secretary Foundation Programme which also be extended to Executive Programme and partially for Professional Programme. Students throughout the country including rural and semi-urban areas as well as from other countries can avail this 24X7 hours online study facility as the portal has global reach. Under e-learning, student can have continuous access to studies and guidance of faculty online. The e-learning module will enable the students to have access to learning and faculty support at any time as per their convenience. Interactivity will be established by modules such as Discussion Boards and Online Chat. Under the Virtual Classroom facility under e-learning portal, students will be able to interact live with the faculty.

Undergoing of e-learning is in addition and not in substitution to compulsory postal tuition. E-Learning is designed to provide a virtual contact between the teacher and the taught. Students intending to join e-learning are required to pay additional fees determined by the Institute from time to time. For detailed course contents and fee payable, students are advised to visit http://elearning.icsi.edu The students can use the following modes of payment for availing the service:Through Credit Card/ Debit Card/ ECS (Electronic Clearing Services) at E-Learning Portal. By way of Demand Draft favouring ICSI Gurukul Online payable at Mumbai. CS EXECUTIVE PROGRAMME EXAMINATION The students after submitting all the response sheets within the stipulated time, may make their enrollment applications on the prescribed Form EXA for appearing in the examination pending issue/ receipt of coaching completion certificate. The coaching completion certificate would be issued only when they have successfully completed the coaching. The last date for receipt of examination enrollment application alongwith the prescribed fee in the Institute for appearing in June/ December examination is 25th March / 25th September respectively. You are advised to submit the examination form alongwith examination fee by 25th March/ 25th September positively for June/ December Sessions of examinations. However, if you miss the said cut-off dates for any genuine reason, you may submit the examination enrollment application alongwith prescribed late fee upto and including 9th April/ 10th October respectively for June/ December sessions. It may please be noted that all examination applications received after the said dates i.e. 9th April/ 10th October will be summarily rejected. Blank examination enrollment application form EXA can be obtained by hand from the nearest Regional/ Chapter Office of the Institute. Online Examination Enrollment facility is also available at www.icsi.in Students are advised to fill in the enrollment applications/ examination forms carefully (in their own handwriting) to avoid last minute complications. No cutting and over-writing is to be done in the examination form. ISSUE OF ADMIT CARDS, MARK SHEETS & PASS CERTIFICATE (i) Admit Card for CS Examinations

Students may please note that the Admit Cards for appearing in the CS Examinations may be downloaded by the students approximately 15 days before the commencement of examinations. (ii) Mark Sheets

For Foundation and Executive Programme Students, E-Mark Sheets are issued which can be downloaded from the website of the Institute and the same are not sent by post. However, hard copies of Mark Sheets are sent to Professional Programme Students at their correspondence address. (iii) Pass Certificate

Pass Certificates are issued only to Professional Programme Pass Students which is usually issued within one month after declaration of results. STUDENT COMPANY SECRETARY Student Company Secretary bulletin is posted to all students free of cost on bi-monthly basis. Please make it a point to read the Student Company Secretary Bulletin regularly as it would enable you to prepare properly for the CS Examinations. It contains all administrative guidance and important date; academic guidance; study updates; gists of important legal cases; gists of notifications of the Government; and various other relevant information and clarifications pertaining to Company Secretaryship Course.

A GUIDE TO COMPANY SECRETARYSHIP STUDY AND EXAMINATION

The Institute has brought out a booklet titled A Guide to Company Secretaryship Study and Exmaination for the benefit of the students undergoing company secretaryship course. The booklet provides useful guidance as to how to approach the company secretaryship programme and prepare for the CS Examination. You are advised to go through the booklet thoroughly which has been exclusively brought out for the registered students. This booklet is provided all students of Executive Programme free of cost alongwith the set of study materials.

DECLARATION OF RESULTS OF CS EXAMINATIONS

The results of CS Examinations held during June and December are usually declared on 25th August & 25th February respectively. Further, the students who are declared passed in the Executive Programme Stage are required to register for the Professional Programme Stage by 31st August & 28th February immediately following the dates of declaration of results to become eligible for appearing in all Four Modules of Professional Programme during the next June / December examinations. In case any student misses the aforesaid cut-off dates but register by 30th November / 31st May respectively, they shall be eligible for appearing in Two Modules (Out of Four Modules) in next June/ December Examinations.

UNIFORMITY IN SIGNATURES

Students are advised to maintain uniformity in signatures in the various applications/ correspondence sent to the Institute and the same should match with the signatures as available in the Institutes records.

MODE OF PAYMENT

All fees and other dues payable to the Institute may be remitted only way of crossed demand draft drawn in favour of The Institute of Company Secretaries of India payable at New Delhi.

E-MAIL ID AND MOBILE NUMBERS OF THE STUDENTS

Students can themselves update their Address, E-Mail Id, Mobile Numbers, etc. on the student portal www.icsi.in after logging into the portal. Students are advised to update their E-Mail id, Mobile Number, Address, etc. in the database promptly to ensure that the communications sent by the Institute are received by the students promptly.

NOTE : THE GUIDELINES CONTAINED IN THIS ANNEXURE IS NOT EXHAUSTIVE AND STUDENTS ARE ADVISED TO REFER TO THE VARIOUS AMENDMENTS IN THE GUIDELINES, REGULATIONS, ETC. AS MAY BE INTRODUCED FROM TIME TO TIME.
