II. Payment

Payment Terms CONTRACTS: IRTDLC, Irrevocable, Revolving, Transferable, Divisible,

Documentary Letter of Credit CONFIRMED issued from Prime Top World 25 Banks, or
FFDLC:
Fully Funded Documentary Letter of Credit, Irrevocable, Transferable, Divisible,

issued from Prime Top World 25 Banks. Performance Bond: 2 % on L/C value

III. Destination

Destination Port: AWSP, to be determined by buyer Inco terms 2000: C&F – AWSP

IV. Delivery Period

Delivery Period: First delivery takes place within 30/45 days after Seller Bank receiving
and
confirming the L/C.

V. Procedures

1. The Buyer side issues a NCND Agreement & Fee’s Protection for the mandate
holder(s).
2. The Buyer issues ICPO or LOI to Seller. The LOI/ICPO must contain Buyer's Bank
coordinates and permission for a Soft Probe on Buyer's bank account by Seller.
3. The Seller issues FCO to the Buyer
4. The Buyer signed and seals the FCO and returns it to the Seller
5. The Buyer's Bank issues RWA/MT 799 via Swift to seller bank.
6. The Seller issues Draft - Contract to Buyer to review and make necessary
amendment if needed. When the Contract is accepted by both parties, Buyer and

Seller will sign and seal the Contract. The electronic signature shall be deemed valid and
enforceable.
7. The Seller's Bank provides to Buyer Bank RWA/MT799 via Swift the Soft Proof of
Product (Soft POP) of the said contract
8. Seller issues to the Buyer, four (4) copies of the final Hard Copy Contract via
courier
9. The Buyer returns, within 3 (three) working days, the final Hard Contract duly
signed and sealed
10. Immediately, upon receiving the Buyer's signed and sealed Hard Contract copies via
courier, the Seller will personally sign and seal the Hard copies and return two (2)
original by courier to the Buyer
11. Both parties introduce this contract in their Banks to proceed
12. The buyer will then, within 3 (three) working days, of receiving the hard copies
signed from the seller, open non-operative irrevocable and documentary letter of credit
13. The Seller's Bank verifies authenticity of documents and if confirmed and accepted
the Buyer's Bank non-operative irrevocable and documentary letter of credit
14. Sellers Bank issue to Buyer's Bank, 2% of Performance Bond, and Swift POP and
tank storage numbers, including all relevant documents and certificates to Buyer's
Bank for verification
15. The Buyer's Bank converts in operative, the irrevocable and documentary letter of
credit to the Seller Bank
16. Shipment will start the Russian commodity will commence, within thirty to forty five
(30-45) days from date of seller's receipt of the acceptable payment instrument,
according to conditions of the contract and according to agreed schedule
17. Each party hereto will bear its respective banking costs.

receiving your LOI/ICPO with full banking details including soft probe
authorisation we will process request for allocation of product.

Important Notice to all

It is important to advise about the new situation to the potential buyer,

because the direct sellers of commodities are now very few. From now on if
an ICPO or an LOI is issued and the product is not real, the buyer will be
able to inform the FBI, ICC and INTERPOL.

Also after an FCO there should be a formal answer from the buyer. If there
is no response from the buyer on a timely manner the buying company will
be reported to the ICC and if this action is repeated by other sellers it will
be also reported to the INTERPOL for abuse of NCND, LOI and ICPO.

It's important to transmit this to all your clients that will work with
providers that are members of ICC and other international organizations.

From now on the international codes will be enforced to exclude all

intruders that send false information and for the people to know that
sending an ICPO or an LOI can be cataloged as a crime. This will be
enforced starting on November 15,2008 after a meeting that was held
between the Federal Reserve, European Central Bank, Interpol, FBI and 1
member of the CIA.

The reason for these measurements is that the ICC and the industry, will
not allow this market, which is a fundamental part of the world's economy,
to be treated less than seriously by buyers and sellers, nor will they let it
collapse.
