Pursuant to the Invitation for Bids, the Bidder shall furnish, as part of his bid, documents establishing the

eligibility of Bidder and of goods and services as stipulated in Clause 18-3 and the following documents: a) All the technical data and information as required in the Technical Schedules, together with drawings, (diagrams, principal layouts and arrangement drawings) of the main Equipment to be supplied, and all other details and information requested, or that the Bidders deems useful to a better understanding of his bid; b) Copies of audited financial statement e.g. balance sheet, income statement, cash flow statement and audited annual reports of the Bidder for the last two (2) years and any other documents (if any) showing that he has sufficient financial capability to perform this Contract; c) Turbine, Generator and Speed Governor detailed inspection, and erection procedure at Site; d) Details of turbine model test which Bidder proposed in TS-2, item 2.2.; e) Names and qualification of representative and Supervisor as well as key personnel to be stationed on Site including organization chart with full explanation regarding the Bidder working group and its relation such as engineering office, each manufacturing factory, each co-supplier, each sub supplier. Resumes of representative, Supervisor and all key personnel are required. In the event that some of the project management team in organization chart are not acceptable to AGII, the Bidder is required to resubmit the new ones for AGII's consideration; f) Statements to verify that the Bidder or the Company the Bidder represents has sufficient project management and technical capabilities to perform this contract, including scope of contract, contract amount; and certificates (e.g. Provisional Acceptance Certificate, Final Acceptance Certificate, etc.) issued by the owner (s) and! or any other documents to prove that the Bidder or the Company the Bidder represents is qualified in accordance with the requirement of Clause IB-3; g) Statements on turbine(s) and generator(s) supplied by the proposed manufacturer, particularly in regard to the technical experience giving a general description of the works, period of erection, contract amount; and certificates (e.g. Provisional Acceptance Certificate, Final Acceptance Certificate, etc.) issued by the owner/user and/ or consulting engineers supporting the description and record of commercial

operation and/ or any other documents proving that the proposed manufacturer is complying with the requirement of Clause IB-3; h) Statements on civil work executed by the Bidder or his proposed Subcontractor giving a general description of the works, construction period, contract amount; and certificates issued by the owner and! or any other documents, proving that the Bidder or his proposed Subcontractor is complying with the requirement of Clause IB-3; i) The Bidder shall nominate the Subcontractors or Suppliers if he intends to subcontract or procure any of his work and shall not change the Subcontractors or Suppliers. If so, he shall show the nature and extent of the work in which each Subcontractors or Suppliers will be employed, and describe the terms of each proposed subcontract or procurement and the qualification and experience of each Subcontractors or Suppliers in the work, which the Bidder proposes to subcontract or procure; j) The documentary evidence shown that, in the case of a Bidder offering to supply goods under the Contract, which the Bidder did not manufacture or otherwise produce, the Bidder has been duly authorized by the goods' manufacturer or producer to supply the goods; k) Statements indicating the Country of Origin of the goods and services offered. The statements shall be confirmed by a certificate of origin issued at the time of shipment; l) A detailed description of the goods' essential technical characteristics; m) A list giving full particulars, including available sources, of all spare parts, special tools, etc., necessary for the proper and continuing functioning of the goods for a period of five (5) years, following the use of such goods by AGII; n) A programme of work in the form of CPM network plans, bar charts and time schedules. The Bidder shall prepare construction plan with sufficient details showing that during period of river outlet shut off for installation of penstock (See GC-42 Project Schedule), from May 1999 to June 1999 and November 1999 to December 1999. o) Joint Venture/Consortium Agreement (if appropriate). The Joint Venture/Consortium Agreement must include provision to bind the partners jointly and severally

responsible to the Bid and to the Contract, if awarded to the Joint Venture/Consortium; p) Affidavit and/or Power of Attorney to establish the authority of the person signing the bid; q) Manning Schedule of Supervisor for installation, field testing and commissioning of the Equipment; r) Details of cofferdams, dewatering system and cutoff. s) Excavation methods for powerhouse and tailrace channel. t) List of construction equipment in which the Bidder intends to employ for the various features of the Civil Works. u) Country Manufactured Equipment (according to Clause IB-36); v) A statement indicating that total or part of foreign currency or currencies under the Contract shall be paid directly to a local Contractor in Thai Baht by using the buying exchange rate published by the Bank of Country on the bid opening date, if required by the Bidder as stated in clause SC-9 : Terms of Payment; w) All other information that the Bidder deems useful to a better understanding or evaluation of his bid. x) Project cash flow (according to Clause SC-4.6)

Eligibility of Bidders a) The Bidder must be a firm, partnership or company duly organized, existing and registered under the laws of his home countries. Joint venture or consortium of firm of the above could be admitted as Bidder. In case of joint venture or consortium of two or more firms, partnership or companies, one of their members must have been selected as a lead partner. In the event that the successful bidder is a joint venture or a consortium, AGII requires that the parties to the joint venture and the consortium accept joint and several liabilities for all obligations under bid and the Contract. b) The Bidder must have purchased the bidding documents from AGII. For a joint venture or consortium, only one (1) member of the joint venture or consortium is required to purchase the bidding documents. In the case where the Bidder is not the purchaser of the bidding documents, the purchaser shall notify AGII of the name of the Bidder in writing prior to the bid opening time. c) The Bidder, each member of joint venture or consortium, shall be well-established and maintain a permanent place of business. d) The Bidder, each member of joint venture or consortium in case Bidder is a joint venture or a consortium, has no just or proper claims pending against him on other similar work. e) The Bidder, each member of joint venture or consortium in case Bidder is a joint venture or a consortium, has no unsatisfactory performance on previous and current contract with AGII. f) The Bidder, each member of joint venture or consortium must have the sufficient financial and management capabilities to perform this Contract and submit evidences showing management experiences on other similar work in at least one (1) project. All such evidences to be submitted shall be of his own document. g) The Bidder or the company the Bidder represents must have sufficient project management and technical capabilities to perform this Contract and submit evidences showing experiences in Hydro Power Plant with commercial operation in overseas country not his own country) at least one (I) project. For local Bidder, such experiences shall be born in overseas country or in Country.

For a joint venture or consortium, only one (1) member of the joint venture or consortium is required to meet the above qualification. h) The Bidder shall submit a certificate issued by the relevant organization certifying that the proposed manufacturer (s) of turbine and generator to be supplied under this Contract has met the requirement of ISO QA 9001 :2008 or approved for equivalent in designing and manufacturing works. i) The proposed turbine manufacturer must have experience in designing and manufacturing of Hydraulic Turbine for at least five (5) projects in overseas country (not his own country) having the unit output of not less than 2.5 MW, and in commercial operation; provided that two (2) projects of which are required to be Francis type turbine. j) The proposed generator manufacturer must have experience in designing and manufacturing of synchronous generator for at least five (5) projects in overseas country (not his own country) having the unit output of not less than 3 MYA, and in commercial operation. For evidencing the above experiences under item (i) and (j), the Bidder shall attach to his bid, statement of equipment supplied by the proposed manufacturer, and listing of the unit(s)/project(s) indicating owner's name, location, date of commercial operation, rating, and type of such equipment. Such evidences shall only be of the relevant proposed manufacturer's experience. k) The guaranteed efficiency and output for the turbine and generator proposed under his bid shall meet the requirements as specified in the Technical Specifications. l) The Bidder or the proposed Subcontractor for the civil works shall have successfully executed as contractor for the civil works such as Dam Structure, Power Plant Structure, Industrial Structure, Canal Structure and/ or similar works with the Contract price at least 80 million Baht per one (1) project with at least one (1) project occurring during in the past twelve (12) years from the bid opening date. For rock excavation work, the Bidder or the proposed Subcontractor shall have successfully executed such work of not less than 1,000 m3 in volume in one (1) project. For a joint venture or consortium, only one (I) member of the joint venture or consortium is required to meet the above qualification. For evidencing the above experiences under item (I), the Bidder shall attach to his bid, statement of civil works executed by the Bidder or the proposed Subcontractor, and

listing of the project(s) indicating owner's name, location, date of completion, and Contract price. m) The Bidder shall not be a Jointly Interested Bidder with other Bidders as from the date of AGII 's issuance of the Invitation for Bid or shall not be a person who undertakes any action as an "Obstruction of Fair Price Competition" described in Article 1.1 of Additional Regulation attached to this Section. n) The Bidder shall not be named in the list of work abandoners published by the Office of the Prime Minister, and/or in the debarment list and/or the list of work abandoners declared by AGII according to Article 5 of Additional Regulation attached to this Section. o) The Bidder shall not have AGII's personnel involve in his business as shareholder having voting right that can control his business, director, manager, officer, employee, agent, or consultant except for the ones who are officially ordered by AGII to act or participate therein. p) The Bidder shall not be a person who is privileged or protected not to be taken any legal proceeding under Thai Court; provided that such Bidder's government declares that such special privilege is waived. q) The Bidder shall neither fail to submit revenue and expense accounts nor fail to present proper and complete accounts under the Notification of the National Anti Corruption Commission Concerning Principles and Methods of Preparing Revenue and Expense accounts of Project between individual/ Company and Government Agencies B.E. 2554 (A.D. 2011) issued on August II, 2011 and Amendments.
