Memo

To: Board of Directors From: Qiang Chen Date: 04/25/2011 Subject: The Really Sweet Deal Decision Making

The Ethics Committee of the G-BioSport recently faced a question as to whether to propose a business partnership with Dr. Anderson, and whether to attend an entertainment event Dr. Anderson is sponsoring at which the Broad member will be present. As the Associate Director of Business Development, I need to carefully evaluate this opportunity without engaging in a conflict of interest. In order to fulfill this task, first of all I need to know primary stakeholders in this case, including their perspectives; then make the decision about whether or not to accept Dr. Andersons entertainment event invitations and the partnership. On one hand, attending the event will give me more time to know the details about the partnership; hence, I can have a better investigation to determine whether the cooperation is appropriate. On the other hand, attending the event makes stakeholders have less trustworthiness about my decision.

Finally, I decided to accept the invitation to Cirque du Soleil event, pre-show, and dinner, meanwhile, performing routine conflict of interest investigation to determine whether partnership is appropriate.

As I considered the problem, I was acknowledged that I owe duties to my stakeholders to investigate possible conflicts of interest and disclose them to the Board, to base business

decisions on business criteria and not simply on friendship, and to determine what current financial relationships the board member and the friend have. I insist that accepting event invitation will not affect the benefits of my stakeholders, because I will investigate the case with responsibility at the same time. In contrast, if I didnt accept the invitation, I will make others feel my company is rude, which will make my supervisor Kerry unhappy. Moreover, the rude may make the partner unhappy, thus refuse the cooperation, which instantly hurts all of my stakeholders interest. I have the same decision regarding to both rights/responsibilities lens and results lens, because I think those two lens can work together in this case.

I want to thank each of you for your attention to this matter. Though to do what my stakeholders expected and make stakeholder the happiest are my goals, I also need to make proper decisions in order to ensure their rights and interests. Whats more, I dont think acceptance of entertainment event will affect my decision; instead, I think attending this kind of business related event is essential in todays business world.
