Terms and Conditions


General Terms and Conditions:
All rates are Exclusive of all applicable taxes. Applicable Taxes prevailing rates shall be charged extra. Scope of services will remain the same as present along with the additions. Any extra deployment other than the above will be charged extra with Management Fee and Service Tax as applicable. In case of change in the scope of work, Sodexo will have the right to approach MATIX management for additional resources or price restructuring which will be mutually discussed and agreed upon. Sodexo would need basic infrastructure for the on-site staff, which would include adequate storage, seating space, telephone, access to the LAN for ease in communication via emails, access to printer, fax. Sodexo would need reasonable seating space at designated areas to store HK cleaning material and other raw materials. Sodexo would require the legal contract to be executed during the commencement of the food operations. Sodexo would provide all manpower to deliver the services as per the scope of work. MATIX would arrange accommodation for staff deployed at site. All capital equipments for housekeeping services will be provided by Sodexo Sodexo would provide all Raw materials required for providing Catering services. Sodexo would provide all Cleaning chemicals and Tools for Catering and Housekeeping services. Sodexo would provide the cleaning services of cafeteria, table tops and kitchen. Room amenities will be provided by Sodexo. The LPG connection has to provided by MATIX .and the refilling will be in the scope of Sodexo Monthly LPG cost for the production of food items at kitchen will be borne by Sodexo. Electricity and Water charges have to borne by MATIX . Sodexo would provide In-house Laundry services for the guests. Contract period will be for 3 years with annual rate revision in terns of DA impact, material impact on CPI and WPI and incremental impact. Sodexo requests for exclusivity as the services partner. Sodexo shall abide by all statutory regulations including minimum wages, ESIC, Bonus, etc. www.sodexo.com 8

Sodexo would arrange vehicles for Material and Staff transportation. Prices would be revised in tune with statutory variations like revision in minimum wages, inflation and applicable taxes etc. Sodexo requests a mobilization time up to 4 weeks for any new operation post the due diligence period as we self manage all the functions. As part of our standard HR practices, we carry out preliminary background checks, address verification and reference check (if available) on all recruited staff. The menus submitted are illustrative and not exhaustive. The menus can be rolled out only if the appropriate kitchen and service equipment is made available. Sodexo shall raise invoice for each month for the services rendered during the preceding month. MATIX shall make the payment within 15(fifteen) working days from the date of receipt of the invoice. MATIX shall be liable to pay an interest equivalent to the Prime Lending Rate plus 3% (three percent) per month in the event of a default i.e. if the payment towards invoice is not made within 15 days of submission to the client. The expected service delivery time for laundry services would be 24 hrs. Notwithstanding anything to the contrary contained in any of the provisions of the services Agreement between MATIX & Sodexo, the liability of the either party against any risk other than bodily injury and statutory noncompliances shall not exceed total amount invoiced by Sodexo during the preceding financial year i.e. April to March or Rs.10 (Ten) million whichever is less per occurrence. However, neither party would be liable to the other party in respect of any consequential or punitive or economic loss or damage. In the event of termination, MATIX shall buy back at book value all equipments and tools which Sodexo has invested in for providing the services to the client. The book value shall be arrived by using straight-line method of depreciation. Sodexo expects a staff accommodation at site. If the accommodation is not adequate at Durgapur for the Guest house operation, Sodexo will charge Rs. 10,000.00 ( tem thousand) Extra per month towards staff accommodation. Sodexo has made the proposal based on penetration of Guest on a monthly average of 40 % for VIP Guest house ( 18 rooms) and 80 % for executive guest house ( 22 rooms) and 40 % for Kolkata Guest house ( 4 room) . These nos are takes as Minimum Guarantee nos.

MATIX would take on the responsibilities of:


Entire kitchen infrastructure including heavy, operational and service equipment. LPG connection at kitchen. Maintaining an inventory of service Crockery, Cutlery, Utensil, Pots and Pans to provide catering services. Any short on the same due to damage will be replenished by MATIX Any up gradation in the present inventory, the cost will be borne by MATIX . Pest control. AMC for the kitchen equipment. However, Sodexo would facilitate the vendor coordination process. Sodexo would charge management fees and applicable taxes if paid by Sodexo or else vendor payment will directly be done by MATIX management. Any statutory license fees including liaison and/or service charges relating to real estate occupancy, building facilities and infrastructure. Any and all decorative/ ornamental items, which may be required to enhance the general ambience of the premises such as paintings, vases, posters etc. Any access control/ id cards as may be required according to companys security policies

FOOD SERVICES AGREEMENT This agreement made on this Between ______________________________________ a company registered under the Companies Act 1956 and having its registered office at______________________________________________________________ _____________________________________________ (hereinafter referred to as client). And Sodexo Food Solutions India Pvt Ltd a company registered under the Companies Act 1956 and having its registered office at 1st Floor, Gemstar Commercial Complex, Kanchpada, Ramchandra Extension Lane, Malad (West), Mumbai - 400065, hereinafter referred as Sodexo. day of 2010

RECITALS: A. B. The Client is in the business of ____________________________. The Client wishes to engage the Sodexo to provide catering services at locations as mentioned in Annexure A to this Agreement on the terms and conditions contained in this Agreement.

NOW THIS AGREEMENT WITHNESSETH AND IT IS AGREED TO BY AND BETWEEN THE PARTIES HERETO AS UNDER: 1. NATURE OF RELATIONSHIP Sodexo is engaged as an independent contractor and must not be taken to be in partnership or in a joint venture with the Client. 2. TERM OF THIS AGREEMENT This Agreement shall be valid w.e.f _____20__ and shall remain in force till ____20__. The term of this Agreement is, without further action being taken by either Sodexo or the Client, be extended for a further period of 12 months on completion date and each anniversary of the completion date. 3. SCOPE OF SERVICES Scope of services shall be as per Annexure B to this Agreement. 4. SERVICE LEVEL AGREEMENT Service Level Agreement (SLA) shall be as per Annexure E to this Agreement. 5. COMMERCIAL TERMS Commercial terms shall be as per Annexure C to this Agreement. 6. REVIEW OF FINANCIAL TERMS On the anniversary date of the Agreement and in exceptional circumstances, a price review will be conducted to allow for price adjustments for cost of raw materials and other Operating costs.

The rates mentioned in the Annexure may thereafter be reviewed. In case of variation in economic factors inflating the cost of Sodexo, the rates shall be revised in consultation with the client. Notwithstanding anything contrary contained in this Agreement, there will be automatic revision in the price or consideration in the event of revision in minimum wages as notified by the Central Government/State Government. The said revision shall be to the extent of

impact on the cost of Sodexo due to the revision of minimum wages. 7. INVOICING & PAYMENT TERMS Sodexo shall raise invoice in each month for the preceding month. The client shall make payment within seven days from the receipt of the invoice. The Client shall be liable to pay an interest equivalent to the Prime Lending Rate plus 3% (three percent) per annum in the event of a default i.e. if the payment towards invoice is not made within 7 days of submission to the client. All the applicable indirect taxes shall be payable by the Client. 8. PERSONNEL AND COMPLIANCE WITH APPLICABLE LABOUR LAWS It is Sodexos responsibility to supervise, direct and train its personnel and to ensure that sufficient manpower is available to carry out the services in efficient manner. Sodexo will appoint competent and experienced staff comprising of at least a Unit Manager, Cook Supervisor, Cook and Catering Assistants to be on site for the provision of meals at the site. Sodexos employees, agents and contractors are solely the employees, agents or contractors of Sodexo and must not be considered to be the employees, agents or contractors of the Client. Sodexo shall : Comply with all local labour and laws regarding employment of staff. Comply with any changes to the statutory legislations including applicable labour laws regarding the minimum wages, allowances, statutory contributions or other amount payable by Sodexo to its staff. 9. LICENSES AND PERMITS The Client shall provide utilities including but not limiting to a wet kitchen, gas supply, utensils and such utilities that may be required from time to time in providing such services.

The Client at its own cost shall obtain all licenses required for running a wet kitchen at the site. However Sodexo shall ensure that the terms and conditions of such licenses, approvals and permits are strictly adhered to by Sodexos on site personnel. The Client shall bear all cost that may be levied by government or statutory authority from time to time in this regard. 10. OBLIGATIONS OF CLIENT Obligations of client and other facilities, equipments, etc. to be provided by the client for the smooth provision of the services are detailed in Annexure D to this Agreement. The Client shall also insure and maintain all equipment including but not limiting to catering and beverage equipment, utensils, required to provide the services under this Agreement. Sodexo shall provide from time to time a list of equipment, utensils, crockery and cutlery that shall be required in the rendering of services. Sodexo shall not be responsible for normal wear and tear of any equipment and the site. Sodexo shall not be responsible for damage caused not due to its fault or malfunctioning of any equipment and any failure or delay caused in services due to such damage or malfunctioning thereof shall not be construed as a breach of terms and conditions mentioned herein. 11. WARRANTIES Both parties warrant and represent to the other that : It has the power and authority to execute and exchange this Agreement and perform and observe all of its terms; This Agreement has been duly executed by it and is a legal, valid and binding agreement enforceable against it in accordance with this Agreement. It has not, and has not received notice that a third party has taken any steps in relation to it to wind it up, appoint a controller or administrator, seize or take possession of any of its assets or make an arrangement, compromise or composition with any of its creditors. 12. CONFIDENTIAL INFORMATION

Such insurance shall provide for a waiver of recourse against Sodexo and its insurer. 15.2. INDEMNITY

Sodexo shall also observe, perform and follow hygiene regulations and instructions issued in writing by the Client from time to time in consultation with Sodexo.
14. TERMINATON Notwithstanding the afore-mentioned, this Agreement can be terminated by the client in the event that the Client becomes dissatisfied with the performance of the services provided by Sodexo, as a result of causes reasonably within the control of Sodexo and the Client has specified the causes of its dissatisfaction to Sodexo in writing and Sodexo has not remedied the matter complained of within 30 (thirty) calendar days after said notification.

This Agreement can be terminated by either party forthwith in the event of the institution of any action proceeding in a court of competent jurisdiction, against the other Party under bankruptcy, receivership or insolvency law or any law for the relief from creditors, or in the event of the appointment of a receiver or trustee for the benefit of creditors of the Party.
Either Party may terminate this Agreement for any reason by giving 30 (thirty) calendar days prior notice in writing. Sodexo reserves its right to terminate this Agreement with 7 (seven) days notice in the event of a default in payment by Client and payment is overdue for 15 (fifteen) days. In the event of termination, the client shall be liable to pay the entire amount due upto the date of termination And Sodexo shall be liable to perform all its obligations upto the date of termination. The client will buy the Sodexos stock of goods and equipments at its book value following the inventory made and presented by the Sodexo. 15.INSURANCE & INDEMNITY

For the purpose of any claim made by any third party, including employees and servants of the Client and Sodexo for personal loss, injury, damage or illness (excluding indirect, consequential damages and punitive damages), Sodexo shall indemnify and hold harmless the Client in respect of liabilities, causes of action, proceedings, awards or judgments incurred by or brought or made against the Client to the extent that they were caused by or contributed to by any negligent act or omission of Sodexo or Sodexo's employees, agents or contractors,. However, this indemnity shall not extend to any claim arising by any reason of any breach of the Clients obligations under this Agreement in respect of any defect in or at the Site or the equipment provided by the Client. Sodexo shall indemnify and hold harmless the client (excluding indirect, consequential damages, punitive damages and property damage) from and against all costs, claims, losses, damages, demands, liabilities, causes of action, proceedings, awards or judgments incurred by or brought or made against the Client to the extent that they were caused by or contributed to by any negligent act or omission of the Sodexo or the Sodexo's employees, agents or contractors. The Client shall indemnify and hold harmless, Sodexo from and against all costs, claims, losses, damages, demands, liabilities, causes of action, proceedings, awards or judgments incurred by or brought or made against Sodexo (excluding indirect, consequential damages and punitive damages) to the extent that they were caused by or contributed to by: any failure by

the Client to perform its obligations under this Agreement.

any negligent act or omission of the Client or the Client's employees, agents or contractors; or any willful misconduct, of the Client or the Client's employees, agents or contractors. LIMITATION OF LIABILITY In any case, notwithstanding anything to the contrary contained in any of the provisions of this Agreement, the liability of the either party against any risk other than bodily injury and statutory non-compliances shall not exceed total amount invoiced by Sodexo during the preceding financial year i.e. April to March or Rs 10 (Ten) Million whichever is less per occurrence. 15.3.

shall be settled in accordance with provisions of the Arbitration and Conciliation Act, 1996, or any modification or any succeeding Act. Each party shall appoint one arbitrator and the two arbitrators so appointed shall appoint a third presiding arbitrator. The proceedings shall be conducted in English and held in Mumbai. The decision of the arbitrators shall be final and binding on the parties. 19. FORCE MAJEURE If at any time during the subsistence of this Agreement Sodexo is, for reasons beyond its control, unable to carry out the work in terms hereof and/or the Property or building in which it is situated is destroyed or damaged by fire, tempest, earthquake, accident, Act of God, war, flood, etc. i.e. Force majeure so that the work and the terms of this Agreement cannot be reasonably fulfilled, the same shall not be treated as breach of agreement and either parties shall have the option to put an end to this Agreement forthwith if such force majeure events continues for more than 15(fifteen) days.

15.4. EXCLUSION OF CONSEQUENTIAL & INDIRECT DAMAGES


Notwithstanding any provision of this Agreement to the contrary, neither party will be liable to the other party in respect of any consequential or punitive or economic loss or damage (whether or not foreseeable at the date of this Agreement and whether or not arising out of the negligence of either party) that may arise out of the performance of or breach of this Agreement including but not limited to loss of profits, loss of trade and business interruption. 16. ASSIGNMENT Neither party may transfer or assign any of its rights or obligations under this Agreement without the prior written consent of the other party, which consent shall not be unreasonably withheld. 17. NOTICES All notices under this Agreement shall be served on either party at their registered office. Notice to be addressed to Chief Executive Officer of the respective parties. 18. ARBITRATION In the event of any dispute or difference between the parties hereto, whether arising during the currency or after the completion of this Agreement, or after the determination thereof (whether for breach or for any other reason) in regard to any matter or thing of whatsoever nature arising out of this Agreement or in / connection therewith then such dispute or difference

20. PERIODIC REPORTS


The Clients representative will assess Sodexos performance on a monthly basis. This report will be counter-signed by Sodexos Unit Manager or Operation Manager. 21. SAFETY REGULATIONS BY LEGISLATION & CLIENT Sodexo shall comply with safety regulations relating to fire, etc. as issued by any regulatory bodies, local authority having jurisdiction over the area and all applicable legislation in force and also issued by the client, if any. 22. LICENSES & PERMITS Sodexo shall obtain and keep in force all applicable statutory and regulatory license approvals or permits in with the services, duties, responsibilities and connection obligation pursuant to the terms of this Agreement. 23. JURISDICTION Courts in Mumbai shall have jurisdiction over any or all matters/ dispute that may arise out of this Agreement.
