LICENSE AND LIMITED WARRANTY AGREEMENT CAREFULLY READ THIS LICENSE AND LIMITED WARRANTY AGREEMENT (this "Agreement")

BE FORE YOU BREAK THE SEAL ON THE PACKAGE CONTAINED IN THIS PRODUCT OR USE ANY OF T HE CONTENTS OF THIS PRODUCT. This is a legal agreement between you (either as a n individual or an entity) and Industrial Press, Inc. By breaking the seal on t he enclosed package or using any of the contents of this product, you agree to b e bound by this Agreement. If you do not agree to the terms of this Agreement d o not break the seal or use any of the contents of this product, and return the product and your receipt to the place you obtained the product, within thirty da ys after you obtained the product, for a full refund. Both the program(s) (including all data and information contained therein) and t he documentation are protected under applicable copyright laws. Your right to u se the program(s) and the documentation are limited to the terms and conditions described herein. Limited Non-Exclusive License You May: (a) use the enclosed program(s) on a single computer; (b) physically t ransfer the program(s) from one computer to another provided that the program(s) are used on only one computer at a time, and that you remove any copies of the program(s) from the computer from which the program(s) are being transferred; (c ) make copies of the program(s) solely for backup purposes. You must reproduce and include the copyright notice on a label on any backup copy. You May Not: (a) distribute copies of the program(s) or the documentation to ot hers; (b) rent, lease or grant sublicenses or other rights to the program(s); (c ) provide use of the program(s) in a computer service business, network, timesha ring, multiple CPU or multiple users arrangement without the prior written conse nt of Industrial Press; (d) translate, decompile, reverse engineer or otherwise alter the program(s) or related documentation without the prior written consent of Industrial Press. Terms: Your license to use the program(s) and documentation will automatically terminate if you fail to comply with the terms of this Agreement. If this licen se is terminated you agree to destroy all copies of the program(s) and documenta tion. Limited Warranty: Industrial Press warrants to the original licensee that the C D-ROM on which the program(s) are recorded will be free from defects in material s and workmanship under normal use for a period of ninety (90) days from the dat e of purchase as evidenced by a copy of your receipt. If failure of the CD-ROM has resulted from accident, abuse or misapplication of the product, then Industr ial Press or third party Licensors shall have no responsibility to replace the d isk(s) under this Limited Warranty. This limited warranty and right of replacement is in lieu of, and you hereby wai ve, any and all other warranties both express and implied, including but not lim ited to warranties of merchantability and fitness for a particular purpose. The liability of Industrial Press or third party Licensors pursuant to this limited warranty shall be limited to replacement of the defective disk(s), and in no ev ent shall Industrial Press or third party Licensors be liable for incidental or consequential damages, including but not limited to loss of use, loss of profits , loss of data or data being rendered inaccurately, or losses sustained by third parties even if Industrial Press or third party Licensors have been advised of the possibility of such damages. Industrial Press makes no representation or wa rranty that the results obtained will be successful or satisfy licensee's requir ements, and Industrial Press shall have no liability for any errors or omissions in the programs or in the data and information contained therein. This License Agreement shall be governed by the laws of the State of New York an d shall inure to the benefit of Industrial Press, its respective successors, adm inistrators, heirs and assigns of third party Licensors.
