This Participant Agreement (hereinafter referred to as "Agreement") sets forth the terms
and conditions covering the participation of the entity named above (hereinafter referred to
as "Participant") The Ride N Zone TV Show, a division of Ride N Zone, Inc.
By signing this Agreement Participant agrees to be bound by the terms and conditions of the
Agreement. This Agreement is void if Participant alters any of the terms or conditions
hereof. If Participant desires to alter any of the terms or conditions of this Agreement, Ride
N Zone TV Show, a division of Ride N Zone, Inc.

The Ride N Zone TV Show, a division of Ride N Zone, Inc. (TRNZTS) and Participant agree
that TRNZTS will provide Participant a spot as an audience member on The Ride N Zone TV
Show and subject to the following terms and conditions:
Requirements for Participant Eligibility: To be eligible for and to secure Participant's
participation in the TRNZTS, Participant agrees to the following terms:

1.Participant Age Requirement and Ability. "Five-year-old child to ten-year old child"
means a child at the beginning of his/her fifth year to the end of his/her tenth year.
Participant must be able to interact well with others, follow directions, can participate in light physical
activity, and has a desire to be a part of our Ride N Zone TV Show. Participant must be familiar with basic
roadway signs such as pedestrian crossings, stop signs, go signs, yield, etc.
2. Effectiveness. This Agreement will become effective only upon receipt of payment and
acceptance by TRNZTS as evidenced by an e-mail confirmation sent by TRNZTS to
participant. Participant must complete and sign all forms: child profile form and appearance
release form enrollment. Participant must bring all forms with them on the day of episode
production, including this contract agreement. Participant must submit a jpeg headshot
photo of 50k or less to info@ridenzonetv.com immediately after fee(s) are submitted.
3. Fees Payable to TRNZTS. Participant agrees to pay TRNZTS, a one time fee per
episodefor Level One or Level Two package. Level One package fee of Seventy Five ($75)
US dollars and Level Two package fee of Three Hundred ($300) US dollars.

 To assure Participant's participation in The Ride N Zone
TV Show. Participant agrees to obtain at Participant's
cost one of the following packages:

1) Level 1 Total $75.00

d. Audience Participation
e. Various Gifts from our local sponsors

2) Level 2 Audience Participation Total of $300.00

4.Television Appearances. Participant agrees to participate in The Ride N Zone TV Show.

Participant episode audience participation in The Ride N Zone TV Show Audience is
determined by TRNZTS. Participant agrees to appear in show assigned by TRNZTS. Due to
the nature of episode production and filming, dates subject to change without written
consent to participant. Participant will be notified as soon as possible when next episode
will be taped.
5. Updating Participant Information. Participant is responsible for timely and accurately
providing TRNZTS with updated information via e-mail.
6. Right to Promote. Participant grants TRNZTS the non-exclusive, royalty-free right to
use, reproduce, display and transmit on TRNZTS web site(s) any information or material
provided by Participant for inclusion in the program. Such rights shall extend to editing
privileges whereby TRNZTS, in its discretion, may remove any information and/or content
that TRNZTS determines does or may infringe upon or violate any third party right or that is
otherwise inappropriate in TRNZTS’s opinion.
7. Payment Terms. All Transaction Fees are due and payable upon execution of this
Agreement online at www.rideNzonetv.com via paypal. All Transaction Fees are
nonrefundable.
8. Cancellation Policy & Conditions. Cancellations must be made by the contracted
parties. If services are cancelled prior to one (1) week (During special promotion and
pricing) after signing of contract, 50% of the transaction fees will be forfeited. Only a
“Voucher” for a future event will be compensated of equal value ($50).
9. Authority. The person entering into the Agreement on behalf of Participant represents to
TRNZTS that he or she has all requisite corporate power and authority to enter into this
Agreement on behalf of Participant, that this Agreement has been duly authorized by
Participant and that this Agreement will constitute the legal, valid, and
10. Indemnification. Participant will indemnify and hold TRNZTS, and its directors,
employees, agents and affiliates (collectively, "Indemnified Parties") harmless from and
against, and will defend or settle at Participant's expense, any action, or other proceeding (a
"Claim") brought against any indemnified Party arising out of or in connection with: (a) a
claim that the inclusion the System of any of the materials provided by Participant infringes
any third-party intellectual property right, or is libelous or defamatory, or otherwise results
in injury or damage to any third party; or (b) any breach or alleged facts that if true would
constitute a breach by Participant of this Agreement, including without limitation any
warranty hereunder. Participant will pay, as incurred, any and all costs, losses liabilities,
damages, and expenses (including, but not limited to, reasonable attorneys' fees and costs)
awarded against or incurred by any indemnified Party in connection with any Claim.
Participant will permit TRNZTS at its expense to participate in the defense and/or settlement
of any Claim with counsel of TRZNST’s choice. Participant will not enter into any settlement
affecting the rights or obligations of any indemnified Party without TRZNST’s prior written
consent.
11. Disclaimer and Limitation of Liability. TRZNST will not be responsible or liable for
any inaccuracies in the data or information included in the program, nor will it have any
liability under any circumstances for damages in connection with the same except to use
commercially reasonable efforts to correct information. Participant is solely and exclusively
responsible for the protection of any. To the extent permitted by applicable law the
information and technology are provided "as is" and without warranty of any kind, fitness
for a particular purpose, non-infringement, noninterference accuracy, uninterrupted service
or error-free service. Except as required by applicable law, in no event will TRZNST will be
liable for any consequential, incidental, special, or exemplary damages in connection with
this Agreement or its subject matter. The parties agree that the foregoing disclaimers and
limitations of liability form an essential element of this Agreement and that the
consideration and other terms set forth herein would have been materially different in the
absence of such provisions.
12. Miscellaneous. This Agreement shall be interpreted in accordance with the federal laws
of the United States and the laws of the State of Texas without regard to conflict of laws
principles, and any legal proceeding arising out of this Agreement will occur in Desoto,
Texas. The parties irrevocably consent to the exclusive jurisdiction and venue of the U.S.
federal and Texas state courts located there. If any court of competent jurisdiction
determines that any provision of this Agreement is unenforceable, such provision will be
struck and the remaining provisions of this Agreement will remain in force. This Agreement
will be binding on and will inure to the benefit of the legal representatives, successors and
assigns of the parties hereto. This Agreement and the documents referred to, herein,
constitute the entire agreement between TRNZTS and Participant with respect to the subject
matter hereof, superseding all prior agreements and understandings between the parties
with respect to the same, and Participant has not relied upon any promises or
representations by TRNZTS with respect to the subject matter except as set forth herein.
