The DIC WAY is an articulation of our new fundamental management philosophy and is composed of three elements: our Management Vision, our Corporate Values and our Principles of Conduct. Our Management Vision is expressed by the concept of Color and Comfort by Chemistry; our Corporate Values are exemplified by our striving to contribute to sustainable development for our customers, society and the global environment; and our Principles of Conduct reflect the standards that DIC Group Employees are expected to observe in order to achieve the above. The DIC WAY expounds these elements in order to ensure the sustainable development of the DIC Group.

Introduction
DIC India was formally born on April 2, 1947; it had been precededsince 1937 by the lesser presence of its parent company in India. DICIndia is part of Dainippon Ink & Chemicals Inc. of Japan (DIC). Thecompany, along with its subsidiaries, are the world leaders in printinginks with a global market share of nearly 40 per cent. DIC is not onlya leader in Graphic Arts but has a strong presence in printerssupplies, machinery, pigments and reprographic products. It offerinks for all types of printing processes and methods. Its inks bothoffset and liquid are enabled for use in newgeneration, upgradedprinting machines. Its latest brand of Offset process colourbrand-named 'XTRA SPEED' is specially user-friendly for high speedprinting jobs, it also produces a wide range of UV lacquersbrand-named 'Viocure' to enhance the print quality of high value-addedjobs done to exacting standards. It offers users a wide range ofinternational brands from DIC, Sun Chemical and Coates Screen to covervirtually all possible applications. DIC India Limited has itsregistered and head offices at Kolkata and manufacturing facilities atKolkata, Delhi, Mumbai, Chennai, Noida and Ahmedabad. The industrialcoatings manufacturing facility of its wholly owned subsidiary DICCoatings India Limited is located at Bangalore. DIC Indias majorrevenues are generated from printing inks. In keeping with itsleadership status in its industry, DIC India is a truly all-Indiacompany. Scientists at DIC have at their disposal all necessarytools, be it spectrophotometer and colour computer, UV rigs or FTIR.DIC Research & Development benefits from world wide experience andknowledge from DIC and its worldwide subsidiaries. DIC Indiasproduct range in inks is truly wide. Its six factories manufacture inksof diverse kinds including black inks, offs et inks, liquid inks, screeninks and print finish inks. These cover virtually all printingprocesses in use in the country today. DIC India has strictpolicies for the use of materials based on international codes ofpractice. The Company has taken voluntary measures to ensure highsafety, health and environment standards at its establishments. Theycover aspects such as waste disposal, occupational health hazardsminimisation, internal safety audits, safety training and providingadvice to customers and contractors on the safe handling, disposal andtr ansportation of the companys products. Various proactiveactions have been taken which include adoption of cleaner technology,conservation of resources through waste reduction, recycling and reuseof waste materials and ongoing training of employees. The Safety,Health and Environment Department of the company oversees and reviewsthe integrated environment, occupational health and safety audits whichensure comprehensive coverage of all Company locations. Thecompany had two wholly owned subsidiary viz. DIC Coatings India Limitedand Rohit (Printing Inks and Paints) Industries Private Limited. In2008 Rohit (Printing Inks & Paints) Industries Private Limited, hadbeen amalgamated with the company.

UV Varnish
DIC Indias Radicure range of UV Varnish produces excellent gloss with smooth finish on paper, board, PVC and lamitube. The varnish can be applied off-line or in-line and are suitable for offset, coater, screen and flexo application. Spot UV through screen printing on matt laminated surface ensures matt/gloss contrast decorative finish. Screen Ink
DISPLAY:
DIC Indias range of Display Screen inks consist of a wide selection of bright colou rs available both in gloss and matt finish to be printed on paper, soft and rigid PVC and acrylic. All the inks are suitable for automatic and semi automatic printing machines and offer excellent balance between screen stability and rapid drying.
Comat : Paper Matt ink suitable for display work, greeting cards and similar applications Silchrome : Paper Gloss ink suitable for display work, greetings cards etc. Vynilon : PVC Matt ink suitable for display jobs requiring an excellent matt non reflective effect. Vynigloss : PVC Gloss ink suitable for stickers displays and banners etc.
INDUSTRIAL: Polyfast : Suitable for printing on treated LDPE, HDPE and PP having proper surface treatment. The ink has
resistance to wide range of detergents, bleaches, motor oil, vanaspati, ghee and similar products. Vynalite : Suitable for printing on a wide range of PVC (both rigid and flexible), acrylic, polycarbonate and other plastic materials for stickers and glow signs. The ink provides good outdoor durability, alcohol and petrol resistance. Vynabond : Suitable for printing on PVC, polycarbonate and acrylic sheets. The inks are low odour non-toxic inks (as per EN71 clause III) and are used in printing shoe upper, children toys, educational materials feeding bottles etc.

SOLVENT BASED ADHESIVE: DICDRY LX 811/LX 75H: A two component adhesive system consisting of a polyurethane based adhesive LX
811 and a poly isocyanate hardener LX 75H. The product is designed for lamination of plastic films to other plastic
films, metalllized film, foil, paper, board etc. It is a high performance product offering excellent chemical and heat resistance with high bond strength. DICDRY LX 830/LX 75H: A two component adhesive system consisting of a polyester based adhesive LX 830 and a poly isocyanate hardener LX 75H. The product is designed for lamination of plastic films to other plastic films, metalllized film, etc.
SOLVENT FREE ADHESIVE: DICDRY NS-2100A/HA-105B: A solvent free two-component polyurethane laminating adhesive applicable for
flexible packaging materials, such as dry foodstuffs, liquids and boil-in-bag foods.

History
1937: Maurice Coates, Managing Director of Coates Brothers, a London-based British Printing Ink manufacturer set
up a small blending unit at Kolkata, India as a branch office of the London-based Company. 1947: Coates Of India was incorporated on April 2nd, under the Indian Companies Act, 1913 the restructured company commenced its business on November 1st, 1947. 1951: The Company opened its second Service Centre in Mumbai. 1956: In accordance with the revised Indian Companies Act, Coates of India became a private limited Company.
1958: Coates of India opened its Chennai Office. 1961: On April 1st, the registered and head office was shifted to a new premise in Kolkata at Canal East Road. A
factory with modified manufacturing facilities was set up. 1962: Coates further expanded its operations by establishing a set up in Delhi. Coates of India became a public limited company under the Indian Companies Act. 1963: Coates of India commenced production of Metal Coating at its Mumbai unit.
1966: The Company set up factory at Delhi for blending activity. 1972: The new factory, office and R & D department at Kolkata was inaugurated on April 21st in the Companys
Silver Jubilee Year. The R & D Department was granted recognition by Department of Science & Technology, Government of India.
1977: The Company made its Maiden public issue of equity share worth Rs. 3.2 million. The public issue was
oversubscribed six times. 1978: The Company set up sales offices at Ahmedabad, Bengaluru and Patna. 1983: Coates tied up with Noble Paints and Varnish (later renamed Noble Synthetics Ltd) in New Mumbai for additional production of synthetic resin, supplementing its production in Mumbai factory. 1985: The Kolkata factory witnessed a mega modernisation program involving installation of highly efficient machines. 1990: The Liquid Ink Manufacturing factory was set up at Noida.
1991: Coates of Indias parentage shifted from British to French when Coates Brothers PLC was acquired by the Oil
and chemicals conglomerate, Total having its headquarters at Paris. Coates became part of Total Chimie, the chemical division of Total S.A. The company set up another plant at Ahmedabad for manufacturing solvent based Inks, and also an Integrated Resin & Metal Coating unit at Bengaluru. 1994: A chip plant was established at Kolkata in collaboration with Chip SPA, Italy; a Total Group company. 1997: The packaging coating division of Coates of India was demerged into Coates Coating India Private limited which was a fully owned subsidiary of Coates of India. The Kolkata unit became an ISO 9001 certified unit. The other units at Mumbai, Noida, Ahmedabad and Bengaluru also started to work towards obtaining same certification. 1999: The parentage once again shifted from Total Chimie to Dainippon Ink & Chemicals Inc., Japan as Total sold its worldwide ink business to Sun Chemical, a wholly owned subsidiary of Dainippon Ink & Chemicals. Acquisition of 8.42% stake by Sun Chemicals in the company pursuant to an open offer made by it under SEBI Takeover Regulations. 2001: DIC, Japan the ultimate holding company decided to consolidate all its investments in Asian Group companies under DIC Asia Pacific Pte Limited, Singapore. 51% stake held by holding company Coates PLC was transferred to Sun Chemical thereby increasing its stake to 59.42%. Sun Chemical thus became the holding company.
2002: The entire stake of 59.42% in the company was transferred from Sun Chemical to DIC Asia Pacific Pte Ltd,
making it the holding company. DIC Asia Pacific Pte Ltd took the creeping acquisition route to acquire further 6.34% stake in the company, thereby raising its share to 65.76%. 2004: With effect from 6th August, the name of the company was changed to DIC India Limited to reflect the business group to which the company belonged. 2008: The stake of DIC Asia Pacific Pte Ltd was raised to 71.75% pursuant to Right Issue allotted. Rohit (Printing Ink & Paints) Industries Private Limited amalgamated with DIC India Limited. 2010: DIC India sold its entire stake in Coates Coating India Private Limited to Valspar, a North American manufacturer of paints and coatings.
Quality Policy
The factories located at Kolkata, Noida, Mumbai and Ahmedabad are all ISO certified by BVQI. Kolkata and Noida plant are ISO 9001:2008, ISO 14001:2004 and BS OHSAS 18001:2007 certified. Mumbai and Ahmedabad plant are ISO 9001:2008 certified.

Dr.PrabirKumarDutt
Dr. P K Dutt, B.Sc, M.Tech (Chemical Engineering and Chemical Technology), Ph.D (Polymer Chemistry), joined the Company on 1st August 1970 and was appointed as a member of the Board with effect from May 1984. On 1st January 1987, Dr. Dutt was designated as the Assistant Managing Director. Dr. Dutt was appointed as the Managing Director with effect from 26th July 1991. On 29th May 2007, Dr. Dutt was appointed as Chairman & Managing Director by the Board and was thereafter appointed as the Chairman & Chief Executive Officer for a period commencing from 1st April 2008 till 31st March 2011. Pursuant to the succession planning of the Company, Dr. Dutt had been appointed as the Chairman of the Company for the period commencing from 1st January 2011 to 31st March 2012. With effect from 1St April, 2012, he has been appointed as the non-executive Chairman of the Company. He is also a member of the Shareholders/Investors Grievance Committee.
Mr.SamirBhaumik
Mr. S Bhaumik, B.Com(Hons), LLb and FCA, prior to his appointment on 29th October 2007 as a Wholetime Director, was the Chief Operating Officer (News Ink) of the Company. He has been associated with the Company for the last 15 years. With effect from 1st January 2011, he has been appointed as the Managing Director of the Company and is presently responsible for the overall business of the Company.
Mr.SubirBose
Mr. S Bose holds a B.Tech in Chemical Engineering from IIT (Kanpur) and PGDBA from IIM, Ahmedabad. Mr. Bose has over 35 years of experience in the Paints Industry and is currently the Managing Director of Berger Paints India Limited besides holding Directorships in several of its group Companies. Mr. S Bose was inducted on the Board with effect from 27th July 2007 and is a member of the Audit Committee. He is not related to any of the Directors and does not hold any shares in the Company. Mr. P L Agarwal was inducted on the Board with effect from 30th October 2008. He is not related to any of the Directors and does not hold any shares in the Company. He is also the Chairman of the Shareholders/Investor grievance Committee.
Mr.DipakBanerjee
Mr. D Banerjee, a Chartered Accountant, started his career with Life Insurance Corporation in 1970 and thereafter, in 1975, joined Hindustan Lever. His tenure with Lever included a two year secondment to Lever Brother, Nigeria. In 1992, Mr. Banerjee became the Commercial Director of Unilever Plantations Group. Between 1993 and 1997 he was designated as Commercial Officer Africa and Middle East Group of Unilever, London and retired in July 2000 as Chairman, Unilever Uganda Ltd. Mr. Banerjee joined the Board of your Company on 8th March, 2001. He is not related to any of the Directors and does not hold any shares in the Company. He is also the Chairman of the Audit Committee and the Remuneration Committee.
Mr. Koek was inducted on the Board with effect from 29th June, 2004 and is a member of the Audit Committee, Shareholders/Investors Grievance Committee and Remuneration Committee. He is not related to any of the Directors and does not hold any shares in the Company. Mr. Choudhuri was inducted on the Board with effect from 29th October, 2007. He is not related to any of the Directors and does not hold any shares in the Company.
Mr.KazuoKudo
Mr. Kazuo Kudo, graduated with Bachelor of Economics from Hitotsubashi University in Tokyo, Japan and joined DIC Corporation, Japan where he was in the legal department till 1988 when he was sponsored by DIC Corporation for a full time MBA with University of Washington, Seattle, USA in 1988-90. Prior to joining DIC Asia Pacific Pte Limited, Singapore, a subsidiary of DIC Incorporation, Japan as its Regional Managing Director, Mr. Kudo was the Executive Officer in DIC Corporation wherein he was responsible for Corporate strategic planning, public & investor relation and corporate marketing. He had also held the directorship of Sun Chemicals Corporation from February 2006 to March 2008 wherein he had been responsible for governance of the top management. Mr. Kudo has over 33 years of experience in the DIC Group and has vast experience in the field of legal, group company restructuring, corporate strategic planning, budgeting, investor relation and corporate marketing. Mr. Kudo was inducted on the Board with effect from 2nd June 2010 and is a member of the Remuneration Committee. He is not related to any of the Directors and does not hold any shares in the Company.

Mr. U Sengupta, a Mechanical Engineering from the Indian Institute of Technology (IIT), Kharagpur and a MBA Gold Medalist from the Indian Institute of Management, Ahmedabad led the US Foods major ConAgra's affiliate in India, Agro Tech Foods Ltd. (ATFL) as President and CEO for eleven years. During his tenure Agro Tech Foods developed from an edible oils company to a Rs. 1,000 crores integrated packaged foods business. Before joining ConAgra and ATFL, he worked for the consumer products giant Unilever in India and abroad for twenty-four years. He was also the Chairman of the AP state chapter of the Confederation of Indian Industries (CII) during 2008-09. He has also been past Chairman of CII's National Committee on Food Processing and Chairman of CII's Foodpro '99. Mr. SenGupta started a programme called 'Feeding Children Better' while working with ATFL and is actively associated with several institutions engaged in providing education, nutrition and healthcare to underprivileged children in different parts of the country. Mr. Sengupta was inducted on the Board with effect from 26th July 2011 and is the Chairman of the Shareholders/Investors Grievance Committee. He is not related to any of the Directors and does not hold any shares in the Company.
Mr.BhaskarNathGhosh
Mr. Ghosh, born on 31st January 1946, is a Chartered Accountant. He started out in January 1972 with the Tea Department of Duncan Brothers in Accounts Department and subsequently shifted to Goodricke Group Limited in 1978. He retired in December 2008 as Managing Director (Finance & Corporate Affairs) and CFO from Goodricke Group Limited after a service of 37 years during which he held several senior positions. He also held membership in various Committees like Indian Tea Association, Tea Research Asociation etc. Mr B N Ghosh brings with him vast expertise in the field of finance like investment planning, corporate projections, risk management, long term financial planning and corporate decision making. He does not hold any Directorship in any other Company. Mr. B. N. Ghosh was inducted on the Board with effect from 25th July 2009 and is also a member of the Audit Committee. He is not related to any of the Directors and does not hold any shares in the Company.
