TRAINING WORK DEPUTATION AGREEMENT This Training Work Deputation Agreement (Agreement) is made on [ Date] between [the Employee

(Name, Fathers name & Residence address)], employed in Subash Projects and Marketing Limited (hereinafter called the Employee) of the first part, and Subash Projects and Marketing Limited with its registered office at [Please insert] (hereinafter called the Company) of the second part . WHEREAS the Employee is employed as [Designation] in the Company AND WHEREAS the Company has agreed to depute him/her for training work at [ Location] for a period of __________ The Employee acknowledges that on account of his association with the training work, the Employee would be gaining exposure and training in ____________ field by virtue of which the Employee would acquire highly specialized capability, knowledge, training, know how, confidential and proprietary information. AND WHEREAS the Company has also agreed to continue to pay the employee during the period of his / her deputation from ________________ to ____________the salary and allowances which the Employee is entitled to in consideration the employee assuring the Company that the specialized capability, knowledge and training so acquired by the Employee on account of his association with training/ work would be available to the Company for a period of [Please insert] year on completion of training work and on the employee agreeing to the terms and conditions hereinafter contained. NOW IT IS HEREBY AGREED BY AND BETWEEN THE PARTIES HERETO as follows: 1. The Employee hereby covenants with the Company as follows: a. The Employee shall, during the said period of or during such further periods as Company may require him to spend in Location for training work as aforesaid, devote his/her whole time and attention to such training work and shall adhere to work timings, norms and regulations in relation to the training work and shall not accept any employment, whether part-time or full-time during the training work period. The Employee shall do his/her best to acquire proficiency in the work to which such training work relates. On the completion of his/her training work but not later than 7 days from the date of completion of his/her training work or in case the Company extends his/her stay for such assignment, not later than the expiry of such extended period, the Employee shall return to the Companys office at [Please

insert] and shall report to the Company the result of his/her training work/project work and shall submit such further information as Company may require. c. Not later than seven days from the date of completion of his/her training work or the extended period, the Employee shall rejoin the service of the Company in such capacity and on such salary as the Company may determine at its discretion and shall serve the Company for a period of [Please insert] year after the completion of training work and in case the period of training work is extended as aforesaid, for such extended period exceeding [Please insert] as the Company may determine and shall not take employment during the said period of [Please insert] year or the said longer period with any other employer. If the Employee fails to return within 7 days from the date of completion of training work excluding the period of leave applied for sufficiently early and granted by the Company effective subsequent to completion of training work or within such extended period as mentioned in sub-clause (b) hereof, as the case may be or to rejoin the services of the Company on his/her return as aforesaid or if the Employee leaves/abandons the service of the Company before the expiry of the period of [Please insert] year or the said extended period mentioned in sub-clause (C) hereof, on the happening of any such event the Employee shall forthwith pay to the Company a sum equivalent to his/her annual CTC and the amount of expenses incurred by the Company on the employee during the period of training work. The employee shall also pay interest accrued on the said sum at the rate of 15% per annum such interest to be calculated from the date of expenditure incurred by the Company till the repayment of the said entire sum.

Notwithstanding anything herein contained in the event of dismissal of the services of the Employee, for any acts of misdemeanour, financial misappropriation and misuse of office property etc., or any other reason by the Company, the said sum of annual CTC and the amount of expenses (As applicable) and such further sum, if any as is mentioned in sub-clause (d) of clause 1 hereof shall become payable by the Employee immediately with interest as aforesaid and the Employee shall be bound to pay the same. 3. The Employee further agrees that whatever confidential information, proprietary information, inventions, copyright works, mask works, intellectual property rights, copyrights, designs, patents, lay out designs etc. come to the knowledge of the Employee during the course of his employment with the Company/training/Project Work, shall be the exclusive property of the Company and the Employee hereby assigns all such rights in favour of the Company. The Employee undertakes that he shall not disclose to any third party, any confidential information acquired by the Employee from the company, its business associates, technical collaborators and clients for a period of five years from the date of receipt/knowledge. 4. The Employee further agrees in the event of the event of dismissal of the services of the Employee, for any acts of misdemeanour, financial misappropriation and misuse of office property etc., or any other reason by the Company or if the employee resigns from service, he or she will not join a company that is engaged in the area of rehabilitation of pipes. 5. The Employee further undertakes that he shall not abandon his training work at _________ (Place) nor shall he immigrate from the place of his training work and undertakes to report for duty at the Office of the Company not later than seven days from the date of completion of his/her training work or the extended period. 6. In the event of willful acts of misconduct or breach of the terms of this Agreement by the Employee, the Company shall have the right to terminate the employment of the Employee without any notice to the Employee and he/she will be governed as per the terms and conditions of his Appointment Letter.

7. This Agreement shall remain valid for a period of [Please insert] year after the completion of training work except Confidentiality clause. SURETY BOND We, _______________, Son of Mr. __________, presently residing at _________ (hereinafter referred to as the Employee) and Mr. ___________, Son of Mr. ________, presently residing at __________ (hereinafter referred to as the Surety), do hereby bind ourselves, our heirs, successors, executors, administrators, assigns jointly and severally to pay to Subash Projects and Marketing Limited. with its registered office at [Please insert] (hereinafter called the Company) on demand a sum of Rs. ________ (Rupees _________) alongwith interest @ 15%, such interest to be calculated from the date of expenditure incurred by the Company till repayment of the entire sum, or such part thereof as shall remain unpaid by the Employee and also interest as aforesaid being the sum equivalent to Employees annual CTC and the amount of expenses incurred by the Company on the employee during the initial or extended period of training work towards the due performance of the obligations of the said Employee towards the Company as contained in the Agreement dated _______. We further hereby undertake that in the event of the Employee resigning or in any other manner abandoning his employment with the Company during the period of training work or before the expiry of the period of [Please insert] year from _________ (date) i.e. the date of completion of the training work, pursuant to the Agreement dated ________ between the Employee and the Company and in the event of breach of any of the obligations in respect of the Agreement entered into between the Employee and the Company, we the Executants shall jointly and severally pay to the Company a sum of Rs. ________ alongwith interest @ 15%, such interest to be calculated from the date of expenditure incurred by the Company till repayment of the entire sum, or such part thereof as shall remain unpaid by the Employee and also interest as aforesaid, being sum equivalent to his/her annual CTC and the amount of expenses incurred by the Company on the employee during the initial or extended period of training work towards the due performance of the obligations of the said Employee towards the Company as contained in the Agreement dated ______. In the event of the completion of the training work by the Employee and the Employee remaining in employment of the Company for a minimum period of five years from _______ or in the event of the said Employee failing to remain in employment for the said period of five years on account of his resignation or abandonment of employment or termination of his service by the Company on account of any acts of misconduct, omission or commission, on payment of the said sum of Rs. __________ alongwith interest @ 15%, such interest to be calculated from the date of expenditure incurred by the Company till repayment of the entire sum, or such part thereof as shall remain unpaid by the Employee and also interest as aforesaid, by the Executants, this Surety Bond shall stand discharged.
