I. COMPANY OVERVIEW The IML Co. is an emerging manufacturing firm engaged in producing chemical solutions, with a solid foundation of competence and commitment. The firm produces innovative, environmental friendly goods under its Eco & Eco product lines, a contributory campaign of the organization towards green protection. It initially conceptualized pineapple peelings for the production of metal polish. IML stands by the name initials of the businesss founders, (Asharany) Inovejas, (Cristopher Rom) Melendres, and (Barry) Lumba. Established under a general partnership, the founders of the organization all shared equal authority to the organization. IML reflects an enterprise committed to serve and satisfy consumers by producing just quality products. It aims to expand its competence by providing new products consistent with consumers quality demand and ecological standards as well.

A. COMPANY & BRAND LOGO

The logo of the IML Co. depicts a three-leaf image which represents each of the participating founders, which logo took inspiration from the pineapple scale-like segments. The all-green shade of the logo hints at the participation of the company towards green living.

Eco & Eco is the brand portfolio of the organization which dedication is purely established in providing ecologically-friendly and economic products, on which the origin of the umbrella brand evolved from.

Metacleene is a metal polish innovated from pineapple peelings. The brand logo pictures out three different images that represent the shine capability of the item, its ecologically-friendly feature, and its ability to protect metal items against corrosion or exposure to rust. B. MISSION Our mission takes a stand as our drive force towards the roadmap to success. We dedicate ourselves in instigating satisfaction by providing just quality products, and epitomize an organization that is empowered to compete to the global market, through achieving operational excellence and employing a diverse, innovative and results-oriented team.

C. VISION The IML envisions itself to represent a top-ranking company in performance, quality and product innovation.

D. OBJECTIVES The IML entails its objectives for the fulfillment of its mission. These cover the prospect: To provide excellent quality products that will attend to the needs and demand of every client. To offer an exemplary, quality service to customers that enhances our reputation in the field of our expertise. To expand the enterprises services by increasing its product lines through its cost-effective growth of its market share. To integrate its research and development to augment and improve the companys eco-friendly products.

I. FORM OF BUSINESS ORGANIZATION

A. OWNERSHIP FORM The proponents of the firm engage themselves to form a partnership organization. A partnership is a type of business entity in which partners (owners) share with each other the profits or losses of the business undertaking in which all have invested. Partnerships are often favored over corporations for taxation purposes, as the partnership structure does not generally incur a tax on profits before it is distributed to the partners (i.e. there is no dividend tax levied). However, depending on the partnership structure and the jurisdiction in which it operates, owners of a partnership may be exposed to greater personal liability than they would as shareholders of a corporation.

B. GENERAL PARTNERSHIP AGREEMENT Article of Partnership of IML Co.

KNOW ALL MEN BY THESE PRESENTS:

Those, we the undersigned, all of legal age and residents of the Republic of the Philippines, have agreed to form a General Partnership under the terms and conditions herein after set forth and subject to the provisions of existing laws of the Republic of the Philippines.

AND WE HEREBY CERTIFY: ARTICLE I: That the name of the partnership shall be IML Co. ARTICLE II: That the principal office of the partnership shall be located at Elisco Rd., Kalawaan, Pasig City. ARTICLE III: That the names, citizenship and residence of the partners of said partnership are as follows: ARTICLE IV: That the term for which partnership is to exist is
