The Mission of the CLMA is to increase awareness and utilization of custom manufactured contact lenses.
Objectives of the CLMA
Educate eye care professionals, the public and the industry about contact lens technology, features and benefits. Initiate and support legislation beneficial to CLMA membership, practitioners and patients. Sponsor and support research and development of quality contact lens materials. Suggest and enforce industry manufacturing standards. Participate in seminars, conferences and congresses dealing with eye health care. Promote THE CONTACT LENS INDUSTRY.
Code of Ethics
Each member of the CLMA agrees it will be their policy to abide by the following Code of Ethics:
To design and manufacturer products of good quality that serve the needs of practitioners and their patients. To present qualifications consistent with integrity and the highest standards of our industry, and to scrupulously avoid any false, misleading and deceptive statement or advertising with respect to quality, constructions or performance of products. To support and promote high standards of inspection, sampling, analysis, data, testing and consultation. To collect and disseminate information regarding contact lenses and accessories to the public (for the betterment of public health). To sponsor and promulgate research to contact lenses and accessories in hospitals, clinics, colleges and universities and among other persons or institutions. To meet all applicable state, FDA and other national government regulations as related to the industry.

BY LAWS
ARTICLE 1 - NAME The name of the organization is Contact Lens Manufacturers Association. The organization is a not-for-profit association incorporated in the State of Georgia. ARTICLE II - PURPOSES The aims and purposes of the Association shall be: 1. 2. 3. 4. 5. 6. 7. 8. 9. To collect and disseminate information regarding contact lenses and accessories to the public (for the betterment of public health); To recommend standards of nomenclature and manufacturing for the improvement of the industry; To sponsor and promulgate research related to contact lenses and accessories in hospitals, clinics, colleges and universities and among other persons or institutions; To provide information to the eye care field regarding contact lenses and accessories by sponsoring or participating in seminars, conferences and congresses related to education in the eye care field or field of health care; To provide and disseminate information to the industry regarding laws and regulations affecting the industry and to the enforcement of same; To provide industry statistics; To exchange knowledge among the members for the improvement of the industry; To provide a forum to evaluate new inventions and ideas related to the industry; To promote the contact lens industry in all other lawful ways.
ARTICLE III - MEMBERSHIP Section 1 There shall be five classes of members; Regular Member, Associate Member, Honorary Member, Special Member, and International Member.

A corporation, subsidiary, or other form of organization may hold membership in one or more membership classes and will be responsible for dues for each membership held. Multiple memberships within an organization shall be collectively considered as a single member for the purpose of Article IV, and shall be limited to a single vote. (a) 1. 2. (b) 1. Regular Member: Is, and has been for at least six months, actively engaged in the fabrication of finished contact lenses from raw material (i.e.; any material which is not finished to final parameters); and Agrees to abide by the Articles of Incorporation, By-Laws and Code of Ethics of the Association. Associate Member: Is engaged in manufacturing of equipment or parts for, or producing materials used in, contact lens fabrication or in any way changing, altering or completing the structure of a finished contact lens made from raw materials, or in providing related products; and Agrees to abide by the Articles of Incorporation, By-Laws and Code of Ethics of the Association. Honorary Member: Past Presidents who are not affiliated with a member company and such others as the Board of Directors may elect. Special Member: A person, firm, or organization engaged in providing information, financial, consulting or other services ancillary to the operations of the contact lens industry. International Member: An organization which meets the requirements of (a), (b), or (d) of this section, but which does not market such products or services in the United States of America. Section 2 Membership in the Association may be held in the organization name only, and not in the name of an officer, director or employee. Each member shall designate in writing its representative and such representative shall be an employee or principal of the member. No person shall serve simultaneously as the representative of more than one member. Section 3 Each Regular Member and Associate Member shall have one vote, which shall be exercised only by its offical representative. Other membership classes shall have no vote. Section 4 Applications for membership shall be in writing accompanied by such application fee as may be required by the Board of Directors. Election to membership shall be by affirmative vote of a majority of the Board of Directors present and voting at any regular or special meeting of the Board, or by mail vote. Provided, however, that, in the case of a mail vote, a unanimous affirmative vote shall be required for election. Action on any application receiving a majority but less than unanimous affirmative mail vote shall be deferred until the next regular or special meeting of the Board of Directors.

ARTICLE IV - OFFICERS AND DIRECTORS Section 1 The general management of the Association shall at all times be vested in the Board of Directors consisting of: (a) The President, Vice President, and Secretary-Treasurer, who shall be elected from the representatives of the Regular and Associate membership; provided, however, that not more than two Associate members shall serve as an Officer at any given time. (b) Five Directors, who shall be elected from the representatives of the Regular membership; (c) Two Directors who shall be elected from the representatives of the Associate membership; (d) The immediate past President of the Association or, if that person is unable or declines to serve, the individual who shall have next most recently served as President. Section 2 Not more than one representative of any member shall hold office or serve on the Board of Directors at any one time. Section 3 The President, Vice President and Secretary-Treasurer shall each be elected for a term of one year. Only those persons who have served on the Board of Directors for at least one year shall be eligible for election to the office of President, Vice President, or Secretary-Treasurer. Section 4 The five non-officer Directors elected from the representatives of the Regular Members shall each be elected for a term of two years. Section 5 The two non-officer Directors elected from the representatives of the Associate Members shall be elected for a term of two years. Section 6 In the event of a vacancy in the office of Vice President or Secretary-Treasurer, or on the Board of Directors, by reason of retirement, death, cessation as the designated representative of a member, or otherwise, the remaining members of the Board of Directors shall, within 90 days, elect a representative of the same membership class for the unexpired portion of the term. In the event of a vacancy in the office of President, the Vice President shall assume the duties of the president until the next election of officers. In the event that the Vice President is unable or declines to assume the duties of President, the Board shall appoint the Secretary-Treasurer or one of the remaining Directors to act as President until the next election of officers. Section 7 The Officers and Directors of the Association shall serve without compensation. Reasonable expense reimbursement will be made to Officers and Directors when serving as the official representative for the Association, and when attending Board of Directors meetings not held in conjunction with the Annual Meeting.

Section 8 One or more salaried staff, not to be associated with any member of the Association, may be employed at the discretion of the Board of Directors. Section 9 Prior to the regular Fall meeting of the members each year, the Board of Directors shall prepare a budget of anticipated receipts and expenditures for the next succeeding calendar year for presentation to, and approval by, the members. Based upon its evaluation of the Associations revenues, the Board shall have discretion to reduce or re-allocate expenditures within the previously approved budget, providing that such changes shall not increase total expenditures. Section 10 The Board of Directors may create and dissolve such standing and special committees from time to time as it deems appropriate for conducting the affairs of the Association. All such committees shall have the authority and exercise such powers as are specifically conferred upon them by the Board of Directors, and shall be subject to the supervision of and shall report to the Board of Directors. The Board of Directors may appoint from among its members an Executive Committee composed of three or more Directors and delegate to such Committee in the intervals between meetings of the Board any of the powers of the Board of Directors. The Board shall report to the Membership at the annual meeting regarding the creation, dissolution, or continuation of committees. ARTICLE V - DUTIES OF OFFICERS Section 1 President: The President shall preside at all meetings of the Board of Directors and members of the Association and perform all the duties and responsibilities normally attached to the Office of President. Section 2 Vice President: In the absence of the President, the Vice President will temporarily perform all the duties and responsibilities of the President. Section 3 Secretary-Treasurer: The Secretary-Treasurer shall be responsible for notifying each member of every meeting of the Association, issuance of notices concerning meetings of the Board of Directors, preparing and maintaining a true record of the proceedings of all meetings, and submission of a report of the financial condition of the Association at each meeting of the members and at meetings of the Board of Directors when so directed by the President. Section 4 Disbursements: All checks and other negotiable instruments must be signed by any two of the three elected officers to be valid, unless otherwise provided by resolution of the Board of Directors.

ARTICLE VI - MEETINGS Section 1 Membership, Annual: The regular annual meeting of the members shall be held at a time and place determined by the Board of Directors. Written notice of the time and place of the regular annual meeting shall be mailed to each member at the last recorded address of the member at least twenty (20) days prior to the meeting. Section 2 Membership, Special: Special meetings of the membership may be called by the President, and must be called by him upon receiving a written request signed by four (4) members of the Board of Directors or by 25 percent of the Regular and Associate Members of the Association in good standing. Not less than thirty (30) days notice of special meetings of the membership shall be mailed to the members by the Secretary upon notification by the President. Notice shall include the time and place of the meeting, and subject matter to be brought before the attention of the members. Section 3 Membership, Quorum: A majority of the Regular and Associate Members, present in person, shall constitute a quorum at all meetings of members. Section 4 Directors, Regular: A regular meeting of the Board of Directors shall be held without other notice then this ByLaw in conjunction with, and at the same place as the regular annual meeting of members. The Board of Directors may provide, by resolution, the time and place for the holding of additional regular meeting or meetings without notice other than such resolution, or with such notices as the Board may direct. Section 5 Directors, Special: Special meetings of the Board of Directors may be called at the discretion of the President or upon written request sent to the Secretary by a minimum of four (4) Directors. Written notice of the time, place and subject matter shall be mailed by the Secretary not less than ten (10) days prior to the special meeting. Such meeting may be held by conference telephone. Any Director may waive notice, and attendance or participation of a Director at any meeting shall constitute a waiver of notice except where he attends or participates for the express purpose of objecting to the transaction of any business because the meeting is not lawfully called or convened. Section 6 Directors, Quorum: A majority of Directors, present in person, or participating by conference telephone, shall constitute a quorum at all meetings of the Board of Directors. Section 7 All meetings of the members and Board of Directors shall be conducted in conformity with Roberts Rules of Order except as otherwise provided in these By-Laws. Section 8 Any action required to be taken at a meeting of the Board of Directors, may be taken without a meeting if unanimous consent in writing, setting forth the action so taken, shall be signed by all of the Directors.

ARTICLE VII - SUSPENSION AND TERMINATION OF MEMBERSHIP Section 1 Termination of membership shall occur as a result of resignation or expulsion. Section 2 A member may be expelled upon withdrawal from the industry, or it may be expelled or its rights suspended for non-payment of dues or assessments, for failure to abide by the Associations By-Laws, or for conduct prejudicial to the Association or the industry. Any complaint other than non-payment of dues or assessments shall be referred to a committee for investigation, report and recommendation to the Board of Directors. The accused member shall be promply notified of any complaint. The Board of Directors, if of the opinion that the accused member should be suspended or expelled, at a regular meeting, or at a special meeting called for the purpose, by a majority vote of the Directors present and voting, may suspend or expel the accused member: (a) If such member is in arrears in payment of any dues or assessments for a period of ninety (90) days; or (b) For cause if in the judgment of the Board of Directors the facts warrant such action; provided that the latter case a committee has filed charges against such member with the Secretary and a copy thereof shall have been served personally or by registered mail upon such member together with a notice stating the time and place for hearing at a regular or special meeting of the Board of Directors at which he may appear and present his defense, which notice and written charges shall have been sent to or served upon such member at least twenty (20) days before the date of such hearing. Section 3 All sums owed to the Association prior to resignation or expulsion must be paid regardless of termination of membership. ARTICLE VIII - FEES, DUES AND ASSESSMENTS Section 1 Annual Dues: The Board of Directors shall have the power to establish annual dues to be paid by the members for the succeeding calendar year to conduct the activities included in the budget, and to establish different amounts of dues to be paid by the different classes of members. Section 2 All annual dues are due and payable on a calendar year basis and shall be paid annually, quarterly or semi-annually commencing January 1. All companies joining during any calendar year will be invoiced for a full years dues when their applications are approved. At the time of the normal annual dues billing (December 1 for the twelve-month period January 1 through December 31) members who joined within the past twelve months will be invoiced in full for the ensuing twelve months (calendar year), less a credit equivalent to the number of months during the past calendar year in which they were not official members. Section 3 In addition to the annual dues referred to in Section 1, the Board, with the approval of the Regular Members and Associate Members, may establish special assessments for dues paying members. Such special assessments may be levied and fixed at a regular or special meeting of the members called for that purpose, or by mail ballot, and shall require the affirmative vote of two-thirds (2/3) of the total number of Regular Members and Associate Members present and voting at a meeting, or, in the case of a mail ballot, by two-thirds (2/3) of the total ballots of the Regular Members and Associate Members cast by mail, provided that written notice of the proposed assessment shall have been mailed to the Regular Members at least thirty (30) days prior to the date for tallying of such mail vote.

ARTICLE IX - AMENDMENTS TO BY-LAWS Section 1 These By-Laws may be amended by a vote of two-thirds (2/3) of the total number of Regular Members and Associate Members present in person or by proxy at a regular or special membership meeting, provided that written notice of the proposed amendment(s) shall have been given with the notice of such meetings. Section 2 These By-Laws may be amended without a meeting by a vote of two-thirds (2/3) of the total ballots of the Regular Members and Associate Members cast by mail, provided that written notice of the proposed amendment(s) shall have been mailed at least thirty (30) days prior to the date for tallying of such mail vote.
