("Licensor").
I.ContentofLicensedMaterials;GrantofLicense
ThematerialsthatarethesubjectofthisAgreementshallconsistoftheDisneylandParis:SleepingBeautyCastlePaper
Modelinelectronicandphysicalform(hereinafterreferredtoasthe"LicensedMaterials").
LicenseeacknowledgesthatthecopyrightandtitletotheLicensedMaterialsandanytrademarksorservicemarksrelating
theretoremainwithLicensorand/oritssuppliers.Licenseeshallnothaveright,titleorinterestintheLicensedMaterials
exceptasexpresslysetforthinthisAgreement.
LicensorherebygrantstoLicenseenonexclusiveuseoftheLicensedMaterialsinaccordancewiththisAgreement.
II.AccessofLicensedMaterialstoLicensee
LicensorwillprovidetheLicensedMaterialstotheLicenseeinthefollowingmanner:
FileTransfer.CopiesoftheLicensedMaterialswillbeprovidedtotheLicenseethroughtheDisneyExperiencewebsiteat
thesolediscretionoftheLicensor.
III.Fees
LicenseeisrequiredtomakenopaymenttoLicensorforuseoftheLicensedMaterials.
IV.AuthorizedUseofLicensedMaterials
AuthorizedUses.LicenseemaymakealluseoftheLicensedMaterialsasisconsistentwiththeFairUseProvisionsofUnited
Statesandinternationallaw.NothinginthisAgreementisintendedtolimitinanywaywhatsoeverLicensee'srightsunder
theFairUseprovisionsofUnitedStatesorinternationallawtousetheLicensedMaterials.
TheLicensedMaterialsmaybeusedforpurposesofresearch,educationorothernoncommercialuseasfollows:
Archival/BackupCopy.UponrequestofLicensee,Licenseemaycreateone(1)copyoftheentiresetofLicensedMaterialsto
bemaintainedasabackuporarchivalcopyduringthetermofthisAgreement.
V.SpecificRestrictionsonUseofLicensedMaterials
UnauthorizedUse.LicenseeshallnotknowinglypermitanyoneothertousetheLicensedMaterials.
ModificationofLicensedMaterials.LicenseeshallnotmodifyorcreateaderivativeworkoftheLicensedMaterialswithout
thepriorwrittenpermissionofLicensor.
RemovalofCopyrightNotice.Licenseemaynotremove,obscureormodifyanycopyrightorothernoticesincludedinthe
LicensedMaterials.
DistributionRights.Licenseehasnorightstotransfer,host,orredistributetheLicensedMaterialsoritsderivativesunder
anycircumstancesorbyanymeansavailablenoworinthefuture.

CommercialPurposes.OtherthanasspecificallypermittedinthisAgreement,LicenseemaynotusetheLicensedMaterials
forcommercialpurposes,includingbutnotlimitedtothesaleoftheLicensedMaterialsorbulkreproductionordistribution
oftheLicensedMaterialsinanyform.
VI.LicensorPerformanceObligations
AvailabilityofLicensedMaterials.LicensorshallmaketheLicensedMaterialsavailabletoLicenseeathis/herdiscretion.
NotificationofModificationsofLicensedMaterials.LicenseeunderstandsthatfromtimetotimetheLicensedMaterials
maybeaddedto,modified,ordeletedfrombyLicensorand/orthatportionsoftheLicensedMaterialsmaymigrateto
otherformats.
CompletenessofContent.Whereapplicable,LicensorwillinformLicenseeofinstanceswhereonlinecontentdiffersfrom
theprintversionsoftheLicensedMaterials.
Whereapplicable,Licensorshallusereasonableeffortstoensurethattheonlinecontentisatleastascompleteasprint
versionsoftheLicensedMaterials,representscomplete,accurateandtimelyreplicationsofthecorrespondingcontent
containedwithintheprintversionsofsuchMaterials,andwillcooperatewithLicenseetoidentifyandcorrecterrorsor
omissions.
WithdrawalofLicensedMaterials.LicensorreservestherighttowithdrawfromtheLicensedMaterialsanyitemorpartof
anitemforwhichitnolongerretainstherighttopublish,orwhichithasreasonablegroundstobelieveinfringescopyright
orisdefamatory,obscene,unlawfulorotherwiseobjectionable.
VII.LicenseePerformanceObligations
ProtectionfromUnauthorizedUse.LicenseeshallusereasonableeffortstoprotecttheLicensedMaterialsfromanyuse
thatisnotpermittedunderthisAgreement.IntheeventofanyunauthorizeduseoftheLicensedMaterialsbyan
AuthorizedUser,(a)LicensormayterminatesuchAuthorizedUser'saccesstotheLicensedMaterials,(b)Licensormay
terminatetheaccessoftheInternetProtocol("IP")address(es)fromwhichsuchunauthorizeduseoccurred,and/or(c)
LicenseeshallterminatesuchAuthorizedUser'saccesstotheLicensedMaterialsuponLicensor'srequest.Licensorshall
takenoneofthestepsdescribedinthisparagraphwithoutfirstprovidingreasonablenoticetoLicenseeandcooperating
withtheLicenseetoavoidrecurrenceofanyunauthorizeduse.
VIII.EarlyTermination
IntheeventthateitherpartybelievesthattheothermateriallyhasbreachedanyobligationsunderthisAgreement,orif
LicensorbelievesthatLicenseehasexceededthescopeoftheLicense,suchpartyshallsonotifythebreachingpartyin
writing.Thebreachingpartyshallhave1weekfromthereceiptofnoticetocuretheallegedbreachandtonotifythenon
breachingpartyinwritingthatcurehasbeeneffected.Ifthebreachisnotcuredwithinthe1week,thenonbreachingparty
shallhavetherighttoterminatetheAgreementwithoutfurthernotice.
UponTerminationofthisAgreementforcauseonlineaccesstotheLicensedMaterialsbyLicenseeandshallbeterminated.
AuthorizedcopiesofdigitalLicensedMaterialsmustbedestroyedimmediately.
IX.PerpetualLicense
Exceptforterminationforcause,LicensorherebygrantstoLicenseeanonexclusive,royaltyfree,perpetuallicensetouse
anyLicensedMaterialsthatwereaccessibleduringthetermofthisAgreement.Suchuseshallbeinaccordancewiththe
provisionsofthisAgreement.ThemeansbywhichLicenseeshallhaveaccesstosuchLicensedMaterialsshallbeina
mannerandformsubstantiallyequivalenttothemeansbywhichaccessisprovidedunderthisAgreement.

X.Warranties
SubjecttotheLimitationssetforthelsewhereinthisAgreement:
LicensorwarrantsthatithastherighttolicensetherightsgrantedunderthisAgreementtouseLicensedMaterials,thatit
hasobtainedanyandallnecessarypermissionsfromthirdpartiestolicensetheLicensedMaterials,andthatuseofthe
LicensedMaterialsbyAuthorizedUsersinaccordancewiththetermsofthisAgreementshallnotinfringethecopyrightof
anythirdparty.
XI.LimitationsonWarranties
NotwithstandinganythingelseinthisAgreement:
Neitherpartyshallbeliableforanyindirect,special,incidental,punitiveorconsequentialdamages,includingbutnot
limitedtolossofdata,businessinterruption,orlossofprofits,arisingoutoftheuseofortheinabilitytousetheLicensed
Materials.
Licensormakesnorepresentationorwarranty,andexpresslydisclaimsanyliabilitywithrespecttothecontentofany
LicensedMaterials,includingbutnotlimitedtoerrorsoromissionscontainedtherein,libel,infringementofrightsof
publicity,privacy,trademarkrights,moralrights,orthedisclosureofconfidentialinformation.
Exceptfortheexpresswarrantiesstatedherein,theLicensedMaterialsareprovidedonan"asis"basis,andLicensor
disclaimsanyandallotherwarranties,conditions,orrepresentations(express,implied,oralorwritten),relatingtothe
LicensedMaterialsoranypartthereof,including,withoutlimitation,anyandallimpliedwarrantiesofquality,performance,
merchantabilityorfitnessforaparticularpurpose.Licensormakesnowarrantiesrespectinganyharmthatmaybecaused
bythetransmissionofacomputervirus,worm,timebomb,logicbomborothersuchcomputerprogram.Licensorfurther
expresslydisclaimsanywarrantyorrepresentationtoAuthorizedUsers,ortoanythirdparty.
XII.AssignmentandTransfer
Neitherpartymayassign,directlyorindirectly,allorpartofitsrightsorobligationsunderthisAgreementwithouttheprior
writtenconsentoftheotherparty,whichconsentshallnotbeunreasonablywithheldordelayed.
XIII.GoverningLaw
ThisAgreementshallbeinterpretedandconstruedaccordingto,andgovernedby,thelawsofCalifornia,excludingany
suchlawsthatmightdirecttheapplicationofthelawsofanotherjurisdiction.Thefederalorstatecourtslocatedin
CaliforniashallhavejurisdictiontohearanydisputeunderthisAgreement.
XIV.EntireAgreement
ThisAgreementconstitutestheentireagreementofthepartiesandsupersedesallpriorcommunications,understandings
andagreementsrelatingtothesubjectmatterhereof,whetheroralorwritten.
XV.Amendment
NomodificationorclaimedwaiverofanyprovisionofthisAgreementshallbevalidexceptbywrittenamendmentsignedby
authorizedrepresentativesofLicensorandLicensee.
