NOW THIS DEED OF AGREEMENT WITNESS THE TERMS AND
CONDITIONS AS FOLLOWS :
1-That the Agreement shall !ome into for!e immediately and shall remain
valid until the 3nal !om"letion of the 1o# or !an!elled #y T&' $()C&A*')-
2-That the materials more s"e!i3!ally des!ri#ed in *!hedule-A shall #e
su""lied #y T&' *($$./')

delivery site for any reasona#le ground or grounds and the T&' *($$./')
shall #e res"onsi#le to deliver the materials at the ne+ site- The

"arties-
5-That the 6uality and 6uantity of the materials shall #e as "er
s"e!i3!ation given #y T&' $()C&A*') as +ell as sam"les su#mitted #y
T&' *($$./') and a""roved #y T&' $()C&A*')-
7-That the delivery of the materials shall #e made #y T&' *($$./') at
their o+n !ost, management and res"onsi#ility as "er *!hedule-8-

9-That T&' *($$./') shall #e fully res"onsi#le for delivery of the
materials in good !ondition at the s"e!i3ed site of T&' $()C&A*')
through delivery do!:ets in tri"li!ate-
;-That T&' $()C&A*')<s re"resentative%s, shall ins"e!t the goods
at__________________ and reserves the right to re1e!t any goods if the

the same day as the 6uality !ontrol !he!: #y the re"resentative%s, of T&'
$()C&A*')- )e"resentative %s, of T&' $()C&A*') +ill a!!om"any the
goods from the 6uality !ontrol !he!: to the site of delivery- Any goods
+hi!h are not a!!om"any #y the re"resentative%s, of T&' $()C&A*') +ill
not #e a!!e"ted-
10-That the !ost of su""ly of materials +ill #e %enter amount and
currency, des!ri#ed s"e!i3!ally in *!hedule - A and "aya#le #y T&'
$()C&A*') to T&' *($$./')-
11-That T&' $()C&A*') reserves the right to !hange the 6uantity of
items if they feel ne!essary during the validity of this Agreement-
12-That T&' *($$./') shall not +ithout the !onsent in +riting of T&'
$()C&A*') assign or su#-let the !ontra!t or any "art thereof, or ma:e
any agreement +ith any "erson>!om"any for the e2e!ution of any "ortion
of the su""ly- /n this regard !onsent #y T&' $()C&A*') +ill not relieve
T&' *($$./') from full and entire res"onsi#ility for this Agreement-
14-That T&' *($$./') shall indemnify T&' $()C&A*') in res"e!t of all
!laims, damages, !om"ensation or e2"enses "aya#le in !onse6uen!e of
any in1ury or a!!ident !aused #y them ie- T&' *($$./')-
15-That the !ustom duty, @AT or other Ta2es and !ost of trans"ortation, or
any other in!idental !harges, if re6uired in !onne!tion of the delivery of
goods shall #e #orne #y T&' *($$./')-
17-That the $ayment shall #e made #y T&' $()C&A*') from

1;-That if T&' *($$./') shall in any manner negle!t or fail to !arry on the

entitled to !an!el The Agreement and demand damages-

of total !ontra!t value for ea!h day of delay-
