INTRODUCTION
OUR OBJECTIVE
Local Engineering (M) Sdn. Bhd was incorporated under Company Act 1965 on
August 06 1995 and wholly owned (100%) by Bumiputra. In the beginning,
Local Engineering (M) Sdn. Bhd started its business by providing various
services to clients mainly within the Kerteh Industrial Area, Terengganu.

SYARAT-SYARAT AM LESEN PETRONAS
1. Syarikat ini dikehendaki berdaftar, mendapatkan lesen, permit atau kebernaran daripada pihak
berkuasa yang berkenaan untuk mengendalikan perkhidmatan atau pembekalan peralatan atau
bahan-bahan yang berkaitan dalam operasi atau aktiviti-aktiviti syarikat ini yang diperlukan;
2. Lesen ini tidak boleh dipindahmilik kepada mana-mana syarikat/pihak lain;
3. Lesen ini akan dibatalkan sekiranya syarikat ini didapati berada di dalam proses penyelesaian
hutang-hutangnya (liquidation), penggulungan (winding-up) atau pembubaran (dissolution);
4. Syarikat ini hendaklah memaklumkan kepada PETRONAS sebarang perubahan ke atas kedudukan
syarikat seperti pemilikan ekuiti, lembaga pengarah dan kakitangan pengurusan dalam masa
empat belas (14) hari dari perubahan tersebut berlaku. Kegagalan untuk berbuat demikian
boleh mengakibatkan lesen ini dibatalkan;
5. Syarikat ini hendaklah mengambil tindakan segera untuk memenuhi syarat-syarat khas yang
dikenakan di dalam lampiran lesen dan memaklumkan kepada PETRONAS atas perkembangan
tindakan tersebut;
6. Syarikat ini tidak dibenarkan mengambil syarikat lain sebagai prinsipal, agen, sub-kontraktor atau
sebaliknya untuk memberi apa-apa perkhidmatan atau membekal apa-apa kemudahan, kelengkapan
atau peralatan bagi pihaknya tanpa kebenaran bertulis daripada PETRONAS terlebih dahulu;
7. Syarikat hendaklah membenarkan wakil pihak PETRONAS membuat lawatan pemeriksaan/audit ke
atas premis/syarikat dan menyemak/menyalin dokumen-dokumen serta menemubual kakitangan
syarikat dan pihak yang berkaitan;
8. Lesen ini hendaklah ditunjukkan kepada pegawai-pegawai PETRONAS apabila dikehendaki untuk
diperiksa;
9. Lesen ini adalah sah untuk memberi perkhidmatan dan membekal peralatan bagi bidang-bidang
yang tercatat di lampirannya sahaja;
10. Syarikat ini boleh dikenakan tindakan sekiranya pada pendapat PETRONAS, syarikat melakukan
satu atau lebih daripada perkara-perkara seperti berikut;
a. Gagal melaksanakan kerja yang diberikan sehingga selesai.
b. Gagal untuk melaksanakan tanggungjawab kontrak atau mana-mana tanggungjawab lain di
bawah undang-undang terhadap rakan kongsi, prinsipal, agen, sub-kontraktor dan sebagainya.
c. Menerima ' garnishee order' .
d. Menghadapi tindakan muflis.
e. Tidak dapat dikesan melalui alamat terakhir.
f. Mengsub-kontrak kerja kepada kontraktor lain tanpa kebenaran bertulis daripada PETRONAS.
g. Menolak mana-mana kontrak atau tender yang diberikan.
h. Memasuki atau menerima kontrak atau tender semasa di dalam penggantungan lesen.
i. Memberi maklumat palsu, tidak tepat atau mengelirukan.
j. Tidak mematuhi peraturan-peraturan dan etika-etika tender meliputi tetapi tidak terhad kepada
menghantar surat layang, memberi rasuah atau melobi;
k. Melakukan kegiatan yang tidak sewajar dengan Lesen ini.
11. Menurut peraturan 9, Peraturan-Peraturan Petroliam 1974, seseorang yang memulakan atau
meneruskan sesuatu urusan atau perkhidmatan yang tersebut dalam Peraturan 3 tanpa lesen atau
tidak mematuhi apa-apa syarat lesen tersebut adalah melakukan suatu kesalahan dan apabila
disabitkan boleh dikenakan denda tidak lebih daripada RM 50,000.00 (Ringgit Lima Puluh Ribu)
atau penjara selama tempoh tidak lebih daripada dua (2) tahun atau kedua-duanya dan mengenai
sesuatu kesalahan yang berterusan ia boleh dikenakan denda lanjutan RM 1,000.00 (Ringgit Seribu)
tiap-tiap satu (1) hari atau sebahagian daripada satu (1) hari kesalahan itu berterusan selepas hari
pertama sabitan itu direkodkan;
12. Kelulusan ini bukan satu perjanjian/jaminan bahawa syarikat tuan akan dipanggil untuk menyertai
tender atau sebutharga oleh PETRONAS atau anak-anak syarikatnya;
13. Syarikat ini sama ada secara dengan sendirinya, melalui pekerja-pekerjanya, pengarah-pengarahnya,
agen-agennya atau kakitangan-kakitangannya:-
a. Tidak dibenarkan menggunakan logo titisan minyak (oil drop) PETRONAS atau perkataan
"PETRONAS" atau menggunakan sebarang tanda, logo atau perkataan atau memakai gaya
cetakan (typeface), gaya huruf (font), rupa atau warna yang menyerupai cap-cap dagangan
yang dimiliki atau yang digunakan oleh PETRONAS ataupun anak-anak syarikatnya ("cap-cap
dagangan PETRONAS") dalam sebarang bentuk sekalipun sama ada pada bahan cetakan, laman
web ataupun papan tangan; dan
b. Tidak dibenarkan melakukan apa-apa perbuatan atau dalam apa-apa cara sama ada secara
langsung atau tidak langsung mengaku bahawa ia adalah rakan kongsi atau mempunyai
sebarang kaitan/hubungan dengan PETRONAS dan/atau anak-anak syarikatnya,
MELAINKAN DAN KECUALI Syarikat ini dibenarkan menggunakan rujukan [Syarikat] ini
dilesenkan oleh PETRONAS [No. lesen], di bawah Peraturan 3 Peraturan-peraturan Petroliam
1974.
14. Lesen ini boleh dibatalkan, digantung atau disenaraihitamkan pada bila-bila masa jika mana-mana
syarat di atas, syarat-syarat am pelesenan dan pendaftaran PETRONAS dan syarat-syarat lain yang
terkandung didalam Panduan Am Permohonan Lesen dan Pendaftaran PETRONAS tidak dipatuhi.

2. BANK GUARANTEE (PERFORMANCE)
2.1 Purpose: To be issued as Performance Guarantee in relation to the contract.
2.2 Beneficiary: Majlis Perbandaran Kemaman
2.3 Tenor: ln accordance with the underlying contract'
2.4 ln the event there is a call or clalm on the guarantee and the Bank has to honour the call or

B. DURATION
Repavment on Demand
The Bank reserves the right in particular to terminate the relationship should there be, in the Bank's
opinlon, a material adverse change in the circumstances, financial or otherwise. Notwithstanding the
above, the facilities are repayable on demand and the liability therein under shall remain continuing until
full settlement.
C. REVIEW

The facilities may be subject to annual review or at the Bank's option any other more frequent
review(s) as the bank at its sole discretion may decide. Any review if so conducted shall be in the
manner as the Bank shall determine.
2. Upon such review, the Bank may renew, cancel, terminate, suspend, vary the limit of the Facility,
impose renewal fees and/or impose additional conditions as the Bank deems fit.

3. Any decision by the Bank not to conduci a review during any review period of any failure, omission or
delay on the part of the Bank to conduct such review shall not be construed as a waiver of the Bank's
right to review nor prejudice the Bank's rights to recall or recover outstanding owing by the borrower
and or guarantors on demand.
4. The next review will be 28 February 2012.
D. ADDITIONAL SECURITY
1. 30% cash margin / placement of Time Deposit upon issuance of Performance Guarantee.
2. 50% cash margin / placement of Time Deposit upon issuance of Advance Payment Guarantee.
3. B% deduction for the sinking fund collection from each contract proceeds received.
4. Open All Monies First Party Charge over Cash Deposit and Letter of Set-Off are to be executed in
favour of the Bank and to be stamped.

5. Suratikatan Penyerahan Hak & Surat Persetujuan Kerajaan or lrrevocable Letter of Notification, or
Letter of lnstruction or Letter of Assent or Notice of Assignment or Consent of Assignment from the
Borrower to Majlis Perbandaran Kemaman, and duly acknowledged/issued by Majlis Perbandaran
Kemaman to remit the contract proceeds directly to the Borrower's escrow account with the Bank.
6. 30% margin or placement of First Party Time Deposit amounting RM253,539-00 to secure the
Performance Guarantee facility to be collected from the Advance Payment Guarantee proceeds.
7. 50% margin or placement of First Party Time Deposit amounting RM1,996,554-00 to secure the
Advance Performance Guarantee facility to be collected from the Advance Payment Guarantee
proceeds.
8. 53% margin or placement of First Party Time Deposit amounting RM1,743,015-00 to secure the
Overdraft (Restricted)-Pre facility to be collected from the Advance Payment Guarantee proceeds.
9. 8% deduction for the sinking fund collection from each contract proceeds received.
E. EXISTING SECURITY
All the existing security is to remain unchanged, and, they are to secure the entire banking facilities
granted from time to time.
F. EXECUTION OF SECURITY DOCUMENTATION
All relevant security documentation is to be executed within sixty (60) days from the date of acceptance of
this Letter of Offer by the Borrower, failing which the Bank shall be entitled at its absolute discretion to
extend the time for execution for such period as it deems fit, or to terminate / cancel this offer and upon
such termination or cancellation, the Bank's liability hereunder shall be absolved and the Borrower shall
have no right to claim against the Bank.

G. AVAILABILITY PERIOD
The availabitity
period for all facilities is wrthin six (6) months of date of facilities placed at Borrower's
disposal, otherwise the facilities shall be treated as lapsed and cancelled.
H. DISBURSEMENT
The disbursement of all the facilities are further subject to:-
(a) execution of security documentation acceptable to the Bank upon compliance with conditions
precedent;
(b) the Specific Terms & Conditions annexed hereto.
I. ACCEPTANCE
Apart from the above amendments, all other existing terms and conditions of our facility(ies) to you shall
remain the same.
Please indicate your acceptance of the above banking arrangement by signing and returning to the Bank
the duplicate of the Letter of Offer, the Standard Terms and Conditions and the Specific Terms and
Conditions within fourteen (14) days from the date hereof, together with the following documents, duly
certified true copy by the Company Secretary:
(a) a copy of the Board Resolution together with a copy of the certificate of incorporation and
Memorandum and Articles of Association; and
(b) a copy of the latest Forms 24, 44 and 49 of the Borrower,
failing which the Bank shall be entitled at its absolute discretion to either treat this offer as having lapsed
or extend the time of acceptance for such period as it deems fit.
ln the event of a discrepancy or an ambiguity or any inconsistency(ies) between the terms of this Letter of
Offer and those of the Standard Terms and Conditions and / or the Specific Terms and Conditions, the
terms of this Letter of Offer shall prevail to the extent of such discrepancy or ambiguity or
inconsistency(ies).
This Letter of Offer will be governed by Malaysian laws.
The terms of this Letter of Offer may be varied or waived by notice in writing by the Bank and the Bank in
its absolute discretion may require the Borrower to countersign such written notice.
