Capital Pride Bankruptcy Post-Mortem: Important Notes

The legal implications of anything we say in a public forum about the circumstances surrounding the bankruptcy are such
that the outgoing BOD will not be able to answer questions from the floor on this particular subject, or to say anything
that has not first been reviewed by our legal counsel.
We are sincerely sorry for this. We do not have any secrets, and are happy to tell you everything that we know. At the
meeting we will be providing a detailed report on what led to the bankruptcy, along with supporting documentation. If
the report doesn't answer the questions you have coming into the meeting, please be in touch to ask us your questions
directly and we will be happy to answer them. We will be responding to emails within 48 hours of receiving them for up to
a week after the meeting has adjourned.
We will have a professional who will be able to answer any general questions that you may have about the bankruptcy. He
will be able to explain what bankruptcy means from a governance standpoint, and what creditors can expect now that our
assets are in the hands of a trustee.

Going Forward
When an organization declares bankruptcy, the by-laws for that organization cease to apply, including the democratic
infrastructure they provide for the election of a new committee. The membership is automatically dissolved.
There are two groups of individuals who are offering to take on the establishment of a new organization and responsibility
for the festival going forward. Instead of what might otherwise be a race to see who can first plant a flag, we are offering
these parties an opportunity to address those assembled and to put their respective offers up for a vote.
At the end of the bankruptcy post-mortem, we will be inviting everyone gathered to remain to hear what these groups
would like to propose. We will propose that they each be given five minutes to pitch what they have in mind, along with
five minutes to answer questions from the floor.

We will be proposing to extend suffrage to the following groups:


Members in good standing with Capital Pride as of October 23rd .
Organizations that registered for the 2014 parade or community fair (one vote per group).
Official 2014 Festival Community Partners (one vote per group)
Major Festival Sponsors in 2014 (one vote per group five in total).
We encourage you to be in touch with us prior to the meeting if you have any questions or concerns, and wed like to
thank you for your patience and understanding through what has been a difficult situation for all involved.
